In t e r m s of a s s e t s a d m i n i s t e r e d , th e F D IC L i q u id a ti o n D iv is io n i s th e l a r g e s t R E IT in th e c o u n t r y , th e 1 7 th l a r g e s t d i v e r s i f i e d f i n a n c i a l f i r m i n th e c o u n t r y (a h e a d of s u c h g ia n ts a s B e n e f i c i a l F i n a n c e a n d F i r s t B o s to n ) , a n d th e 4 9 th r a n k i n g c o n g l o m e r a t e on th e F o r t u n e m a g a z i n e l i s t of th e 500 l a r g e s t 2 c o r p o r a t i o n s in th e c o u n t r y ( ju s t a h e a d of A r m c o S te e l, S p e r r y R an d , a n d H o n e y w e ll) . T h e r e a r e 7 8 , 000 a s s e t s b e in g a d m i n i s t e r e d b y o u r l i q u i d a t o r s w ith a n a g g r e g a t e b o o k v a lu e o f $ 2 . 6 b i l l i o n . O v e r $900 m i l l i o n of t h e s e a s s e ts a r e re a l- e s ta te re la ted . To a d m i n i s t e r t h e s e a s s e t s , o u r L i q u i d a t i o n D i v i s i o n e m p lo y s o n ly 583 m e n a n d w o m e n w h ile o p e r a t i n g in 30 s t a t e s , c o v e r i n g o v e r 79 l i q u i d a t i o n s . It o p e r a t e s a t a c o s t of a p p r o x i m a t e l y 2% of c o l l e c t i o n s , s u b s t a n t i a l l y b e lo w th e c o s t s of 1 5 -2 0 % fo u n d i n n o n - b a n k in g c o r p o r a t e b a n k r u p t c i e s . T h is m a s s i v e s i z e i s a r e c e n t d e v e l o p m e n t , a l b e i t i n o u r ju d g m e n t , not n e c e s s a r ily a te m p o r a r y one. In 1 9 74, o u r L i q u i d a t i o n D i v i s i o n c o n s i s t e d of 233 e m p l o y e e s a n d c o m p r i s e d a b o u t 7 p e r c e n t of a l l F D IC e m p l o y e e s . In 1976, i t s 583 e m p l o y e e s a c c o u n t f o r o v e r 16 p e r c e n t of a l l F D IC e m p l o y e e s . A s r e c e n t l y a s 1972, th e a s s e t s i n o u r l i q u i d a t i o n s t o t a l e d u n d e r $300 m i l l i o n . T h e r e c e n t r a p i d g r o w t h of th e liq u i d a t i o n a c t i v i t y c a n b e e a s i l y u n d e r s t o o d w h e n w e r e a l i z e t h a t th e 8 l a r g e s t b a n k f a i l u r e s in F D IC h i s t o r y h a v e o c c u r r e d s i n c e O c t o b e r 1973. T h a t 1973 f a i l u r e w a s th e U, S. N a tio n a l B an k of San D ie g o w h ic h l e f t u s w ith $ 1 . 2 b i l l i o n of a s s e t s to l i q u i d a t e , o u r f i r s t m a s s iv e liq u id a tio n . We w e r e t r y i n g to a b s o r b t h a t w h e n th e F r a n k l i n N a tio n a l B a n k f a i l u r e d r o p p e d $ 3. 6 b i l l i o n of a s s e t s in o u r l a p s . W hen w e a r r a n g e a p u r c h a s e a n d a s s u m p t i o n t r a n s a c t i o n , th e F D IC b e c o m e s th e m a j o r c r e d i t o r w ith a c l a i m a g a i n s t th e e s t a t e of th e f a i l e d b a n k . B u t e v e n in t h is c a s e , t h e r e a r e c l a i m a n t s , s u c h a s s u b o r d i n a t e d c r e d i t o r s a n d s t o c k h o l d e r s , w h o a r e e n t i t l e d to a n y fu n d s r e m a i n i n g a f t e r p a y m e n t of a l l g e n e r a l c r e d i t o r s a n d a f t e r th e F D IC r e c o v e r s th e f u ll a m o u n t of i t s a d v a n c e (plus i n t e r e s t ) . In e i t h e r c a s e , t h e r e f o r e , w h e t h e r w e h a v e a p a y o u t o r a p u r c h a s e a n d a s s u m p t i o n t r a n s a c t i o n , th e F D IC i s o p e r a t i n g a s a f i d u c i a r y w ith 4 a n o b lig a tio n to r e c o v e r a s m u c h a s p o s s i b l e f o r th e u l t i m a t e c l a i m a n t s on the e s t a t e of th e f a i l e d b a n k . O u r l iq u id a tio n s a r e to b e c o n d u c te d " h a v in g d u e r e g a r d to t h e c o n d itio n of c r e d i t in th e l o c a l i t y . " E s s e n t i a l l y , t h i s m e a n s t h a t th e d i s p o s i t i o n of a s s e t s of a f a i l e d b a n k i s to b e c o n d u c te d in a n o r d e r l y m a n n e r , r a t h e r th a n o n a f o r c e d - s a l e b a sis. T h is i s c o n s i s t e n t w ith b o th c o n c e r n f o r th e i m p a c t of f o r c e d liq u id a tio n on th e l o c a l c o m m u n i t y , a n d c o n c e r n w ith r e c o v e r i n g th e m a x i m u m a m o u n t p o s s i b l e f o r t h e b e n e f i c i a r i e s of th e li q u i d a t i o n . R e c e i v e r s h i p s of f a i l e d b a n k s , l ik e a n y r e c e i v e r s h i p , a r e c o n d u c te d u n d e r th e j u r i s d i c t i o n of th e c o u r t s , a n d s a l e s of a s s e t s b y th e r e c e i v e r a r e s u b j e c t to a p p r o v a l b y th e c o u r ts . T h e l i q u i d a t o r w ho w a s p e r f e c t l y c o m f o r t a b l in d e a li n g w ith a lo a n s e c u r e d b y 300 a c r e s of c o tto n in T e x a s w a s n o t so c o m f o r t a b l e i n d e a li n g w ith 30, 000 a c r e s in C a l i f o r n i a on w h ic h o r a n g e s , a v o c a d o s , a n d g r a p e s w e r e b e in g g ro w n , a n d w in e p r o d u c e d . In t h i s t a l k , I c a n d e s c r i b e th e s c o p e of o u r liq u id a tio n a c t i v i t i e s a n d t e l l y o u how w e h a v e b e e n o p e r a t i n g . T h e s c o p e a n d n a t u r e of o u r o p e r a t i o n h a v e c h a n g e d so d r a m a t i c a l l y in th e l a s t fe w y e a r s t h a t it is u n l i k e l y t h a t th e m a n a g e m e n t o r p r o c e d u r a l a p p r o a c h th a t w a s b e s t f o r th e 19 6 0 s i s s t i l l o p t i m a l to d a y . We h a v e a n u m b e r of s t u d i e s of o u r l i q u i d a tio n e f f o r t u n d e r w a y , a n d I e x p e c t t h a t t h e r e w ill b e b o th o r g a n i z a t i o n a l a n d p r o c e d u r a l c h a n g e s i n t r o d u c e d i n th e n e a r f u t u r e . C l e a r l y th e s p e e d w ith w h ic h w e h a v e b e e n f o r c e d to d e a l w ith l a r g e r a n d m o r e c o m p le x a s s e t s h a s n e c e s s i t a t e d g o in g o u t s i d e o u r o r g a n i z a t i o n to h i r e c o n s u l t a n t s w ith k n o w le d g e in s o m e of t h e s e p a r t i c u l a r a r e a s , r a t h e r th a n t r y to d e v e lo p o u r e x p e r t i s e i n t e r n a l l y .
