N o t w i t h s t a n d i n g t h e d i f f i c u l t i e s , h o w e v e r , I b e l i e v e t h a t it is i m p o r t a n t and p e rh a p s c r u c ia l - - that b a n k e rs and bank r e g u la to r s develop a s y s t e m a t i c a n d r e a s o n e d a p p r o a c h t o r e g u l a t o r y r e f o r m . In m y j u d g m e n t , t h e f a i l u r e to d e v e l o p s u c h a p o s i t i v e a p p r o a c h w i l l h a v e s e v e r a l a d v e r s e c o n s e q u e n c e s . A g o l d e n o p p o r t u n i t y w i l l be l o s t to d e a l in a m e a n i n g f u l w a y w i t h t h e p r o b l e m s of e x c e s s i v e a n d i n e f f i c i e n t r e g u l a t i o n , a n d t o h i g h l i g h t the u n in t e n d e d ill e f f e c ts an d h id d e n c o s t s of r e g u l a t i o n . In m y j u d g m e n t , t h e f a i l u r e of r e c e n t l e g i s l a t i v e e f f o r t s to f o c u s u p o n s p e c i f i c , d e m o n s t r a t e d s h o r t c o m i n g s of the s y s t e m i n s u r e s th a t a t l e a s t one s e r i o u s fla w w ill be w ith u s fo r a t l e a s t two m o r e y e a r s . R e c e n t e v e n ts h ave i l l u s t r a t e d th a t the e x istin g f r a m e w o r k fo r the r e g u la tio n a n d s u p e r v i s i o n of b a n k h o l d i n g c o m p a n y s y s t e m s is n o t o n l y u n d u l y c o s t l y -3b e c a u s e of t h e o v e r l a p p i n g a n d c o n f l i c t i n g j u r i s d i c t i o n s i n v o l v e d , b u t a l s o in s o m e i n s t a n c e s s i m p l y h a s n o t f u n c t i o n e d p r o p e r l y . In t h r e e of o u r l a r g e s t b a n k f a i l u r e s in t h e p a s t e i g h t e e n m o n t h s - - t h e i n s o l v e n c i e s of t h e $ 1 / 2 b i l l i o n a s s e t H a m i l t o n N a t i o n a l B a n k of C h a t t a n o o g a a n d t h e $175 m i l l i o n A m e r i c a n C i t y B a n k of M i l w a u k e e , a n d t h e d i s t r e s s e d m e r g e r of t h e P a l m e r N a t i o n a l B a n k of S a r a s o t a - - t h e c a u s e of b&nk f a i l u r e w a s n o t a b u s i v e s e l f - d e a l i n g , w h i c h f r o m I96 0 t h r o u g h 1973 w a s f a r a n d a w a y t h e p r e d o m i n a n t c a u s e of f a i l u r e , b u t r a t h e r m a s s i v e u n s a f e a n d u n s o u n d l e n d i n g p r a c t i c e s o c c u r r i n g in t h e e s s e n t i a l l y u n s u p e r v i s e d e n v i r o n m e n t of a n o n - b a n k i n g h o l d i n g c o m p a n y a f f i l i a t e . T h e f a i l u r e of t h e H a m i l t o n N a t i o n a l B a n k of C h a t t a n o o g a - - a v e n e r a b l e , tr a d i ti o n a lly c o n s e r v a t i v e , w e l l - r u n in stitu tio n - - i s the m o s t g ra p h ip a n d t r a g i c i l l u s t r a t i o n of t h i s p h e n o m e n o n . B u t f o r $80 m i l l i o n ip m o r t g ag es in itiated by an A tla n ta - b a s e d m o r t g a g e co m p an y affiliate o v er a p e r i o d of m o n t h s a n d d u m p e d on t h e b a n k , t h e b a n k in C h a t t a n o o g a w o u l d b e in e x i s t e n c e t o d a y . T h e s e c a s e s i l l u s t r a t e two p o in ts w h ic h should be r e c o g n i z e d by both the b an k in g a g e n c i e s and th e C o n g r e s s . F i r s t of a ll, th e notion th a t one s e g m e n t of a h o l d i n g c o m p a n y o p e r a t i o n c a n b e i n s u l a t e d f r o m t h e r e m a i n d e r of t h e s y s t e m is q u i t e s i m p l y a m y t h . It is t h e w o r s t f o r m of s e l f - d e c e p t i o n to t h i n k t h a t t h e l e a d b a n k in a h o l d i n g c o m p a n y is in a safe and sound c o n d itio n b e c a u s e its l a s t e x a m in a t io n w as s a t i s f a c t o r y if o t h e r f a c e t s of t h e h o l d i n g c o m p a n y s y s t e m a r e n o t u n d e r g o i n g e q u a l l y ( r i g o r o u s s c r u t i n y . (I s h o u l d e m p h a s i z e p a r e n t h e t i c a l l y t h a t I a m n o t a n a d v o c a t e of m o r e s t r i n g e n t p o r t f o l i o s u p e r v i s i o n , Q u i t e t h e c o n t r a r y . ) R a t h e r , m y p o i n t is t h a t w h e n h o l d i n g c o m p a n i e s w e r e a l l o w e d to p r o c e e d in a m a n n e r t h a t w o u l d be u n a c c e p t a b l e in a c o m m e r c i a l b a n k , s o m e of t h e m w e r e e n c o u r a g e d , in e f f e c t , to h i d e e n o r m o u s r i s k . T h e s e c o n d p o i n t f l o w s f r o m t h e f i r s t . T h a t i s , it s i m p l y m a k e s n o s e n s e f o r a s m a n y a s f o u r b a n k r e g u l a t o r y a g e n c i e s to h a v e s a f e t y a n d s o u n d n e s s j u r i s d i c t i o n o v e r v a r i o u s s e g m e n t s of a n i n t e g r a t e d b u s i n e s s e n t e r p r i s e . In ev itab ly , this a p p r o a c h w ill be a t t i m e s conflicting and u n c o o r d in a te d . T h i s b r i n g s m e t o w h a t s e e m s t o m e to b e a s e c o n d e l e m e n t of a n y s e r i o u s a t t e m p t to r e f o r m a r e g u l a t o r y f r a m e w o r k : t h a t is , a c o n c e r t e d e f f o r t s h o u l d b e m a d e to e l i m i n a t e r e d u n d a n c y a n d o v e r l a p w i t h i n t h e f r a m e w o r k of r e g u l a t i o n t h a t a p p l i e s to a n i n d u s t r y . A l t h o u g h m a n y of t h e r e g u l a t o r y r e f o r m p r o p o s a l s w h i c h s u r f a c e d r e c e n t l y p u r p o r t e d to r a t i o n a l i z e th e b a n k r e g u l a t o r y s t r u c t u r e , s o m e of t h e m o s t n o t a b l e i n s t a n c e s of d u p l i c a t i o n a n d i n e f f i c i e n c y w e r e l a r g e l y i g n o r e d . In m y j u d g m e n t , t h e e x i s t i n g s y s t e m o f r e v i e w u n d e r t h e B a n k M e r g e r A c t r e p r e s e n t s a c l a s s i c e x a m p l e of a r e g u l a t o r y p r o c e s s w h i c h , a l t h o u g h b e n i g n , is r e d u n d a n t , t i m e - c o n s u m i n g , a n d u n d u l y c o s t l y . A s yo u k n o w , o u r p r e s e n t s y s t e m of r e v i e w o f t h e c o m p e t i t i v e a s p e c t s o f a m e r g e r h a s t h r e e e l e m e n t s . U n d e r t h e s t a t u t e , t h e p r i m a r y f e d e r a l r e g u l a t o r is c h a r g e d w ith the r e s p o n s i b i l i t y for c o n s i d e r i n g both a n t i - t r u s t and banking f a c t o r s in d e t e r m i n i n g w h e t h e r a g i v e n m e r g e r s h o u l d b e a p p r o v e d o r d e n i e d . S e c o n d , e a c h of t h e r e m a i n i n g t w o f e d e r a l b a n k i n g a g e n c i e s a n d t h e J u s t i c e D e p a r t m e n t is r e q u i r e d to f i l e w i t h t h e p r i m a r y r e g u l a t o r it s o w n a n a l y s i s of t h e c o m p e t i t i v e i m p l i c a t i o n s o f t h e m e r g e r in q u e s t i o n . F in a lly , a f t e r a p p r o v a l by the banking a g e n c y , J u s t i c e m a y , w ithin t h i r t y d a y s , s u e t o o v e r t u r n t h e m e r g e r on a n t i - t r u s t g r o u n d s . T h i s s y s t e m w a s d e s i g n e d by C o n g r e s s o s t e n s i b l y to o b t a i n u n i f o r m a p p li c a ti o n of the A c t. M o r e o v e r , on p a p e r a t l e a s t , the s y s t e m s e e m s a good e x a m p l e of how c h e c k s an d b a l a n c e s c a n be b u ilt into g o v e r n m e n t a l processes. Y et , in f a c t , t h e r e c o r d a s d e v e l o p e d a n d r e v i e w e d b y t h e S enate Banking C o m m itte e this s e s s io n r e v e a ls that u n ifo rm ity has not b e e n t h e r e s u l t . A n d I c a n p e r s o n a l l y t e s t i f y to t h e f a c t t h a t t h e a d v i s o r y o p i n i o n s c o n t r i b u t e l i t t l e , if a n y t h i n g , in t h e w a y of f a c t s o r a n a l y s i s t h a t is n o t b r o u g h t to o u r a t t e n t i o n b y F D I C s t a f f . T h u s , t h e n e t e f f e c t of t h i s p r o c e s s i s , in m y j u d g m e n t , t h a t t h e e n e r g i e s of b r i g h t c o m p e t e n t p e o p l e a r e c o n s u m e d in a m e a n i n g l e s s t a s k a n d t h a t m o r e p a p e r is c i r c u l a t e d in a c i t y a l r e a d y c h o k e d w i t h it . T h e r e d u n d a n c y , it s e e m s t o m e , c o u l d b e r e m e d i e d w i t h o u t a l t e r i n g t h e p r e s e n t a p p l i c a t i o n of t h e l a w . A t t h e v e r y l e a s t , t h e r e q u i r e m e n t o f t h e e x t r a c o m p e t i t i v e f a c t o r r e p o r t s s h o u l d b e e l i m i n a t e d . H o w e v e r , I w o u l d go a s t e p f u r t h e r , a n d r e c o m m e n d s i m p l y th a t the p r i m a r y bank s u p e r v i s o r a n d the J u s t i c e D e p a r t m e n t b e g i v e n n o t i c e o f t h e i n t e n t i o n o f tw o b a n k s to m e r g e . T h e b a n k a g e n c y w o u l d h a v e t h e r e s p o n s i b i l i t y of r e v i e w i n g t h e m e r g e r f r o m a s a f e t y a n d s o u n d n e s s p o i n t of v i e w a n d t h e J u s t i c e D e p a r t m e n t w o u l d r e v i e w t h e c o m p e t i t i v e f a c t o r s . If, in t h e j u d g m e n t of t h e b a n k i n g a g e n c y , the? m e r g e r w a s d e f e c t i v e in t e r m s of b a n k i n g f a c t o r s , t h e n t h e a g e n c y w o u l d h a v e t h e a u t h o r i t y to p r e v e n t it. T h a t d e c i s i o n w a s u n d o u b t e d l y b a s e d on t h e b e l i e f t h a t t h e s p e c i a l e x p e r t i s e of t h e b a n k s u p e r v i s o r s w o u l d b e t t e r p r o t e c t i n v e s t o r s , on t h e i d e a t h a t t h e d i s c l o s u r e of t h e s o r t m a n d a t e d b y t h e s e c u r i t i e s l a w s w a s i n c o m p a t i b l e w i t h t h e m a i n t e n a n c e of c o n f i d e n c e in t h e b a n k i n g s y s t e m a n d , p e r h a p s , on t h e p o l i t i c a l c l o u t of b a n k s a t t h e tim e. W h a t e v e r t h e r e a s o n s u n d e r l y i n g t h i s s c h e m e o r it s m e r i t s , t h e r a p i d e v o l u t i o n of t h e h o l d i n g c o m p a n y a n d i t s d o m i n a n c e o f b a n k i n g h a v e s e r v e d to n u l l i f y it. In o r d e r t o u n d e r s t a n d , m u c h l e s s i n t e l l i g e n t l y r e f o r m , t h e s t r u c t u r e a n d c o n t e n t of b a n k s u p e r v i s i o n a n d r e g u l a t i o n , e a c h of t h e s e f u n c t i o n s a n d it s r e l a t i o n s h i p to o t h e r f u n c t i o n s s h o u l d b e f u l l y c o m p r e h e n d e d a n d e v a l u a t e d . I n d e e d , I t h i n k t h a t it is q u i t e l i k e l y t h a t m u c h of t h e r e c e n t c o n t r o v e r s y s u r r o u n d i n g b a n k s u p e r v i s i o n is t h e r e s u l t o f m i s u n d e r s t a n d i n g , c o n f u s i o n a n d s u b m e r g e d d i s a g r e e m e n t s a s to t h e r e l a t i v e w e i g h t s w h i c h a r e to b e a c c o r d e d t h e d i f f e r e n t f u n c t i o n s i n v o l v e d in b a n k r e g u l a t i o n .
