FEDERAL RESERVE BANK OF ST. LOUIS E L E C T IO N OF D IR E C T O R S September 18, 1941. TO T H E MEMBER BANKS IN D ISTRICT No. 8: An election will be held under the provisions o£ Section 4 of the Federal Reserve Act to choose successors to the fol lowing directors of this bank: C la ss A d ire c to r, Sidney Maestre (President, Mississippi Valley Trust Co., S t Louis), and C lass B d ire cto r, John R. Stanley ( Secretary-Treasurcr, Stanley Clothing Co., Evansville, Ind.), whose terms expire December 31 of this year, and C la ss B d ire cto r, Harvey C. Couch (President, Arkansas Power & Light Co., Pine Bluff, A rk.), deceased, whose successor will be elected for the unexpired portion of term ending December 31, 1943. Mr. Maestre was elected by banks in Group 1, Mr. Couch by Group 2 banks, and Mr. Stanley by banks in Group 3. Consequently, their successors will be chosen, respectively, by these groups. Group 1 consists of banks having capital and sur plus of $500,000 and over; Group 2, banks with capital and surplus of over 5100,000 but less than $500,000, and Group 3, banks having capital and surplus of $100,000 and less. Lists of the banks composing the voting groups are given on the fol lowing pages. Each bank^ in Group 1 is permitted to nominate a candidate for Gass A director, and each bank in Groups 2 and 3 a candidate for Class B director.* The nomination must be made by resolution of the board of directors and certified to me on or before October 25. A form and self-addressed envelope for this purpose are enclosed. On October 31 a list of the candidates (indicating by whom nominated) and a preferential ballot will be mailed to each bank in the groups men tioned The ballot must be cast within fifteen days after receipt The polls will open on November 3 and close at 2 p. m. on November 18. 1941. At that time the ballot box will be opened in the board room of this bank, the votes counted and results announced. The candidates are invited to be present or represented cm that occasion. In order to be counted, the ballot must be executed by an officer authorized to cast the vote. On the following pages are shown the officers heretofore designated for this purpose. The authority conferred on them continues until revoked. Each bank that has not designated such officers, or any bank that desires to change its authorization, should do so by reso lution of its board of directors and certify the appointments to me before the polls close. A form is herewith furnished to each bank that has not made such designations b y title. The Federal Reserve Act provides: “Whenever any two or more member banks within the same Federal reserve dis trict are affiliated with the same holding company affiliatef, participation by such member banks in any such nomination or election shall be confined to one of such banks, which may be designated for the purpose by such holding company affiliate.’’ A holding company affiliate having one or more subsidiary member tanks in each group may designate one of such banks in each group. Certified copies of the resolutions making such designations should be filed with me. Respectfully, W ILLIA M T. NARDIN, Chairman of the Board. •S ection 4 of the Federal Reserve Act provide* that “ Class A ahall consist of three members, who shall be chosen by and be representative of the stockholding banks. No officer or director of a member bank shall be eligible to serve as a Class A director unless nom inated and elected by banks which are members of the same group as the member bank of which he is an officer or director. Any person who is an officer or director of more than one member bank shall not be eligible for nomination as a G a ss A director except by banks in the same group as the bank having the largest aggregate resources of any of those of which such person is an officer or director. Class B shall consist of three members, who at the tim e of th eir election shall be actively engaged in their district m commerce, agricu ltu re or some other industrial pursuit. No director of Class B shall be an officer, director or employee of any bank. No S enator or Representative in Congress shall be . . . an officer o r a director of a Federal reserve bank." In a resolution adopted December 23, 1915, the Board of G overnors o f the Federal Reserve System expressed the opinion “ th at persons hold ieg political or public office in the service of the U nited States, or of an y S tate, territo ry , county, district, political subdivision, or m unicipality thereof, or acting as members of political p arty committees, cannot consistently with the spirit and underlying principles of the Federal Reserve Act, serve as directors or officers of Federal reserve banks.” On December 28, 1915. the Board resolved that ••national bank exam iners shall not h ereafter be elected . . . to directorships in Federal reserve banks.'* U n d er date of Ju ly 2, 1925. the Board advised it had "reached the conclusion th at a person whose sole occupation is th at of officer of an insurance com pany is not eligible for election as a Class B director . . and on October 18, 1939, that it “ feels th at a person whose sole occupation is th a t of president of a Federal savings and loan association . . . is not eligible for election and service as a Class B director.” tT h e Banking Act of 1933 as amended August 23, 1935, defines the term “ bolding company affiliate" as follows: “ T he terra ‘holding company affiliate' shall include any corporation, business tru st, association, or other sim ilar o rg an izatio n — (1 ) W hich owns or controls, directly or indirectly, either a m ajority of the shares of capital stock of a m ember bank or more than 50 per centum of the number of shares voted for the election of directors of any one bank at the preceding election, or controls in any m anner the election of a m ajority of the directors of any one bank: or (2 ) F or the benefit of whose shareholders or members all or substantially all the capital stock of a member bank is held by tru stees.” MEMBER BANKS COMPOSING GROUP 1 AND OFFICERS DESIG NATED TO V O TE (T o elect one Class A Director) ARK ANSAS El D orado________F irs t National B ank_______________-C hm ,, P res., V.
