An election will be held under the provisions of Section 4 of the Federal Reserve Act to choose
successors to the follow ing directors of this bank whose terms expire December 31 of this y e a r : Class
A director. John G. Lonsdale (Chairman of Board, Mercantile-Commerce Bank & Trust Co., St. Louis),
and Class B director, M. P. Sturdivant (Planter, Glendora, Miss.).
The Class A director was elected by banks in Group 1 and the Class B director by Group 3 banks.
Consequently, their successors will be chosen, respectively, by these groups. Group 1 consists of banks
having capital and surplus in exccss of $599,000; Group 2, banks with capital and surplus of $599,000 to
$100,000, inclusive, and Group 3, banks having capital and surplus less than $100,000. Lists of the banks
composing the voting groups are given on the following pages.
Each bank in Group 1 is permitted to nominate a candidate for Class A director and each bank in
Group 3 a candidate for Class B director.* The nomination must be made by resolution of the board
of directors and certified to me on or before October 26. A form and self-addressed envelope for this
purpose are enclosed. On November 1. a list of the candidates (indicating by whom nominated) and a
preferential ballot will be mailed to each bank in the two groups mentioned. The ballot must be cast
within fifteen days after receipt. The polls will open on November 4 and close at 2 p. m. on November
19, 1935. At that time the ballot box will be opened in the board room of this bank, the votes counted
and the results announced. T he candidates are invited to be present or represented on that occasion.
In order to be counted, the ballot must be executed by an officer authorized to cast the vote. On
the following pages are shown the officers heretofore designated for this purpose. The authority con
ferred on them continues until revoked. Each bank that has not designated such officers, or any bank
that desires to change its authorization, should do so by resolution of its board of directors and certify
the appointments to me before the polls close. A form is herewith furnished to each bank that has not
made such designations by title.
Section 4 of the Federal Reserve Act, as amended June 16, 1933, provides: “W henever any two or
more member banks within the same Federal reserve district are affiliated with the same holding com
pany affiliatef, participation by such member banks in any such nomination or election shall be con
fined to one of such banks, which may be designated for the purpose by such holding company affili
ate.” Each bank affected thereby should have the holding company designate, by resolution of its board
of directors, which affiliated bank is to participate in the nomination and election, and should send me
a certified copy of the resolution.
While the banks in Group 2 do not elect a director this year, this circular is sent to them without
forms for their information.

•S ectio n 4 of the Federal Reserve Act provides th at “ Class A shall consist of th ree m em bers, who shall be chosen by and l>e representative
of the stockholding banks. N’o officcr or d irector ot a m em ber bank shall be eligible to serve as a Class A director unless nom inated and elected
by banks which are m en d ers of tin- sam e group as the m em ber bank of which he is an officer or director. Any person who is an officer o r director
of more than one m em ber bank shall not tie eligible for nom ination as a Class A director except by banks in the same group as the bank
having th e largest ag g reg ate resources of any of those of which such person is an officer or director. Class 11 shall consist of three m em bers, who
at the tim e of their election shall be actively engaged in their district in com m erce, agriculture or some other industrial pursu it. N o d irecto r of
Class B shall be an officer, directo r or '•mployee of any bank. No S enator o r R epresentative in Congress shall be . . . an officer or a d irector of
a F ed rral reserve bank " In a r solution adopted D ecem ber 23. 1915, the Board of Governors of the Federal Reserve System expressed the
opinion “ th at persons h oldirg political or puiilic office in the service of the U nited S tates, or of any S tate, territory, county, district, political
subdivision, or m unicipality thereof, or actin g as m em bers *>f political p arty com m ittees, cannot consistently w ith the spirit and underlying princi
ples of th e Federal Reserve A ct, serve as directors or officers of F ederal reserve banks.” On D ecem ber 28, 1915, the Iloard resolved that
“ national bnnk exam iners shall not h ereafter be elected * * * to directorships in F ederal reserve banks.” U n d er date of Ju ly 2. 1925, the Hoard
advised it had “reached the conclusion th a t a person whose sole occupation is th at of officer of an insurance company is no t eligible for election
as a Class H director of a F ederal reserve bank.”
tT h e Banking Act ot 1933 as am ended A ugust 23, 1935, defines the term ‘‘holding com pany affiliate" as follows: “ The term ‘holding
com pany affiliate' shall include any corporation, business tru st, association, or other sim ilar o rg a n iz a tio n — (1) W hich owns o r controls, directly
or indirectly, either a m ajority of the sh a res of capital stock of a m em ber bank or m ore than 50 per centum of the num ber of shares voted for
the election of directors of an y one bank a t the preceding election, or controls in any m anner the election of a m ajority of the directors of any
one b a n k ; or (2) F o r the benefit of whose shareholders or m em bers all or substantially all the capital stock of a m em ber bank is held by
tru stees."
"N o tw ith stan d in g the foregoing, the term ‘holding com pany affiliate’ shall not include (except for the purposes of section 23A of the
F ederal Reserve A ct, as am ended) anv corporation all of the stock of which is owned by the U nited S tates or any organization which is d e te r
mined by the Board of G overnors of the Federal Reserve System not to be engaged, directly or indirectly, as a business in holding the stock of,
or m anaging or controlling, banks, banking associations, savings banks, o r tru st com panies."
