H. Lee Cooper, President, Ohio Valley N ational Bank of H enderson, H enderson, K entucky Class B D irector, M r. Leo J. W ieck, Leo J . W'ieck & Co., St. Louis, M issouri M r. Cooper, the Class A D irector, was elected by banks in G roup 2 and his successor will be chosen by the banks in this group. G roup 2 consists of banks having capital and surplus of $300,000 an d over, b u t under $1,500,000. M r. Leo J. W ieck, who has served as a Class B D irector since M arch 18, 1954, has indicated th a t he does not wish to be a can d id ate for re-election. M r. W ieck was elected by banks in G roup 1 and his successor will be chosen by th e banks in this group. G roup 1 consists of banks having capital and surplus of $1,500,000 and over. T h e banks com prising G roups 1 and 2 a re listed on the following pages. T he group in which a m em ber ban k will be entitled to vote will be determ ined by its classification as of the d a te of this letter, even though its capital and surplus m ay subsequent ly change prior to the d a te of the election. Each bank in G roup 1 is p erm itted to nom inate one candidate for Class B D irector and each bank in G roup 2 is perm itted to nom inate one can d id ate for Class A Director.* T he nom inations m ust be m ade b y resolution of the Board of D irectors and certified to me on or before O ctober 21, 1960. A form for this purpose is enclosed. On O ctober 28, 1960, a list of the candidates (indicating by whom nom inated) and a preferential ballot will be mailed to each bank in the voting groups. T he ballot m ust be cast w ithin fifteen days .tfter receipt. T h e polls will oj>en at 9 a.m ., on Octol>er 31, 1960, an d close at 2 p.m . on N ovem ber 15, 1960. At th a t tim e the ballot box will be opened in the Board Room of this bank, the votes counted and results of the election announced. T h e candidates are invited to be present or represented on th a t occasion. In order to be counted, the ballot m ust be executed by an officer authorized to cast th e vote. If th e official signature of the officer, or officers, authorized to cast the ballot has n ot been filed w ith this Federal Reserve Bank, such official signature should be filed before th e polls close. Inasm uch as the authority conferred on these officers continues until revoked, th ey need not be reappointed. Each member bank which has not designated an officer, o r officers, for the purpose of signing the ballot, or any bank th a t desires to change its a u th o r ization, should do so by resolution of its Board of D irectors and certify the ap p o in tm en t to me before the polls close. Very truly yours, P IE R R E B .M c B R ID E , C hairm an of the Board. * Section 4 of the Federal Reserve Act contains the following provisions: “ Class A shall consist of three m embers, who shall be chosen by and be repre sentative of the stockholding banks.” “ N o officer or director of a m em ber bank shall be eligible to serve as a Class A director unless nom inated and elected by banks which are members of the sam e group as th e m em ber bank of which he is an officer or director.” “Any person who is an officer or director of m ore th an one m em ber bank shall not be eligible for nom ination as a Class A director except by banks in the same group as the bank having the largest aggregate resources of any of those of which such j>erson is an officer or direc to r.” “ Class B shall consist of three members, who a t the tim e of their election shall be actively engaged in their district in comm erce, agriculture or some other industrial p ursuit.” “ No director of Class B shall be an officer, director, or employee of any b an k .” “ No Senator or R epresentative in Congress shall be a m em ber of the Board of Governors of the Federal Reserve System or an officer or a director of a Federal reserve b an k .” In a resolution adopted December 23, 1915, th e Federal Reserve Board expressed the opinion “ th a t persons holding political or public office in th e service of the U nited S tates, or of any State, territo ry , county, district, politi cal subdivision, or m unicipality thereof, or acting as m em bers of political p a rty com m ittees, cannot consistently with the spirit and underlying principles of the Federal Reserve Act, serve as directors or officers of Federal Reserve B anks.” GROUP 1 Consisting of member banks having capital and surplus of $1,500,000 and over.
