ELECTION OF PIKECTOKS

St. Louis, September 22, 1932.
T O T H E M E M B E R BA N K S IN D IS T R IC T No. 8:

An election will be held under the provisions of Section 4 of the Federal Reserve Act to choose
successors to the following directors of this bank whose terms expire December 31 of this year: Class
A director, John G. Lonsdale (President, Mercantile-Commerce Bank & Trust Co., St. Louis), and
Class B director, M. P. Sturdivant (Planter, Glendora, Miss.).
The Class A director was elected by banks in Group 1 and the Class B director by Group 3 banks.
Consequently, their successors will be chosen, respectively, by these groups. Group 1 consists of banks
having capital and surplus in excess of $599,000 : Group 2. banks with capital and surplus of $599,000 to
$100,000, inclusive, and Group 3, banks having capital and surplus less than $100,000. Lists of the banks
composing the voting groups are given on the following pages.
Each bank in Group 1 is permitted to nominate a candidate for Class A director and each bank in
Group 3 a candidate for Class B director.* The nomination m ust be made by resolution of the board
of directors and certified to me on or before October 29. A form and self-addressed envelope for this
purpose are enclosed. On November 4 a list of the candidates (indicating by whom nominated) and a
preferential ballot will be mailed to each bank in the two groups mentioned. The ballot must be cast
within fifteen days after receipt. The polls will open on November 7 and close at 2 p. m. on November
22, 1932. At that time the ballot box will be opened in the board room of this bank, the votes counted
and the results announced. The candidates are invited to be present or represented on that occasion.
In order to be Counted, the ballot must be executed by an officer authorized to cast the vote. On
the following pages are shown the officers heretofore designated for this purpose. The authority con­
ferred on them continues until revoked. Each bank that has not designated such officers, or any bank
that desires to change its authorization, should do so by resolution of its board of directors and certify
the appointments to me before the polls close. There is furnished herewith a form which provides for
the designation by title of several officers and for their signatures.
W hile the banks in Group 2 do not elect a director this year, this circular is sent to them without
forms for their information.

•S ectio n 4 of th e F ederal R eserve A ct provides th at “ Class A shall consist of three m em bers, w ho ihatl be chosen by and be rep re sen ta­
tive of th e stockholding banks. N o officer o r director of a m em ber ban k shall be eligible to serve as a Class A director unless nom inated and
elected by banks which are m em bers of the same group as the m em ber bank of which he is an officer or director. A ny person w ho is an
officer o r d irector of m ore than one m em ber bank shall n o t be eligible for nom ination as a Class A director except by banks in the sam e cro u p
as the ban k having th e largest aggregate resources of any of those of which such person is an officer or director. Class B shall con sist of
th ree m em bers, w ho a t th e tim e of th eir election shall be actively engaged in their district in comm erce, agriculture or som e o th er in dustrial
pursuit. N o d irector of C lais B shall be an officer, director or em ploye o f any bank. N o S enator or R epresentative in Congress shall be a m em ­
ber of th e Federal R eserve Board o r an officer o r a director of a F e d eral reserve bank."
I n a resolution adopted D ecem ber 23, 191S, the Federal R eserve Board expressed the opinion “ th at persons holding political o r public
office in th e service of the U nited S tates, o r of anjr S tate, territo ry , county, district, political subdivision, o r m unicipality thereof, or a c tin g as
mem bers of political p arty com m ittees, cannot consistently with the sp irit and underlying principles of the Federal Reserve A ct, serve as directors
or officers of F ederal reserve b an k s." O n D ecem ber 28, 1915, the Federal R eserve Board resolved th a t “national bank exam iners shall not
hereafter be elected • • • to directorships in F ederal reserve banks." U nder date of July 2, 1925, the Federal R eserve Board advised it had
“ reached th e conclusion th at a person whose sole occupation is that of officer of an insurance company is not eligible for election as a C lass B
director of a F ederal reserve ban k ."
