Election of Directors
(B y m em ber banks classified in Group 2 on O ctober 2 5 , 1 9 8 3 , that is, m em ber banks with
capital and surplus o f $ 6 ,5 0 0 ,0 0 0 to $ 4 0 0 ,0 0 0 ,0 0 0 , inclusive, on that date)
To the Member Banks of the Second Federal Reserve District:

In accordance with the provisions of section 4 of the Federal Reserve Act, as amended, and Circular
No. 9571, dated October 25, 1983, on the nomination of directors of this Bank for terms of office from
January 1, 1984 to December 31, 1986, to succeed P eter D. Kiernan , class A director, and John R. O pel ,
class B director, whose terms expire December 31, 1983, there are shown on the following pages the
names of the candidates nominated for such offices, and by whom nominated.
To each member bank classified in Group 2 on October 25, 1983, the following are being sent with this
circular:
(a) Ballot for use in voting for candidates for class A director and class B director.
(b ) Pink ballot envelope in which the ballot is to be sealed.
( c ) Certificate envelope bearing on its face the certificate in regard to the vote.
( d ) Addressed envelope in which all of the foregoing should be returned to me.
The ballot and the certificate on the certificate envelope must be executed by an officer who has been
authorized to cast the vote. A list of the officers designated for this purpose by the member banks in Group
2 was contained in the above-mentioned circular dated October 25, 1983, and a similar list revised to date is
contained herein. In order that the ballot may be secret, the name of the bank and the name and title of
the voting officer should not be written on the ballot, but should be written only on the certificate envelope.
(1) The ballot should be marked.
(2) The marked ballot should be placed in the pink ballot envelope and that envelope sealed.
(3) Then the sealed pink ballot envelope should be placed within the certificate envelope, and the
certificate envelope should be sealed and the certificate thereon executed.
(4) Then the certificate envelope containing the sealed pink ballot envelope should be returned to me
in the enclosed addressed envelope.
The law provides that the ballot shall be cast within 15 days after receipt of the list of candidates
transmitted herewith. The polls will open at 10 a.m., November 29, 1983, and will close at 12 noon on
Wednesday, December 14, 1983, and in order to be counted as valid the ballot must be received by me at or
before the latter time. Upon the closing of the polls the ballot box will be opened in the board room of this
Bank, the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers,
and the results of the election announced. The candidates may, if they so desire, be present or represented
on this occasion.

Because banks in Groups 1 and 3 will not vote in this election, this circular is sent to them without
forms and for their information only.

T. JOSEPH SEMROD

T. J oseph Semrod was born in Oklahoma City, Oklahoma, on December 13, 1936. He received a B.A.
degree in 1958, and an LL.B. degree in 1963, from the University of Oklahoma.
Mr. Semrod began his banking career with Liberty National Bank and Trust Company in Oklahoma
City in 1963. After serving in various official positions at that bank, he became president of the bank in
1973 and president of its holding company in 1976. He joined United Jersey Banks, Princeton, N.J., in
April 1981 and was elected chairman of United Jersey Bank, the lead bank, in May of that year. In
December 1981, Mr. Semrod also became chairman of the holding company.
Among his other activities, Mr. Semrod is chairman of the board of regents of the Stonier Graduate
School of Banking at Rutgers University and serves on the faculty of the American Bankers Association’s
National Commercial Lending School. He is a member of the executive committee of the ABA’s Education
Policy and Development Council. He is also a member of the executive committee of the National Urban
League and a member of the Young Presidents Organization.

JOHN R. OPEL
Chairman of the Board

Armonk, New York

J ohn R. O pel was born in Kansas City, Missouri, on January 5, 1925. He received an A.B. degree
from Westminster College in 1948 and an M.B.A. degree from the University of Chicago in 1949.

Mr. Opel began his career with IBM as a salesman in 1949. In 1966 he was elected corporate vice
president. He was named group executive of the data processing product group in 1972 and was elected
to the board of directors that same year. He was elected president of the corporation in 1974, and in
January 1981 he became chief executive officer. In February 1983 he was elected chairman of the board.
Among his many civic and professional activities, Mr. Opel is a director of Pfizer, Inc., vice chairman
of The Business Council, co-chairman of The Business Roundtable, a trustee of Westminster College and
the Institute for Advanced Study, and a member of the board of governors of United Way of America
and the Wilson Council.
Mr. Opel is now a class B director of the Federal Reserve Bank of New York, having been elected for
the three-year term ending December 31, 1983.
