Election of Directors
(By member banks classified in Group 3 on November 6, 1975, that is, member banks with
capital and surplus of less than $3,000,000 on that date)
To the M em ber B an k s o f the Second F ed eral Reserve D istrict:

In accordance with the provisions of section 4 of the Federal Reserve Act, as amended, and Circular
No. 7747, dated November 6 , 1975, on the nomination of directors of this Bank for terms of office from
J a n u a r y 1, 1976 to December 31, 1978, to succeed N e w m a n E. W a i t , J r ., class A director, and J a c k B.
J a c k s o n , class B director, whose terms expire December 31, 1975, there are shown on pages 2 through 4
the names of the candidates nominated for such offices, and by whom nominated.
To each member bank classified in Group 3 on November 6 , 1975, except those member banks that are
subsidiaries of the same bank holding company and have not been designated to participate in this election,*
the following are being sent with this c irc u la r:
(a) Ballot for use in voting for candidates for class A director and class B director.
(b) Pink ballot envelope in which the ballot is to be sealed.
(c) Certificate envelope bearing on its face the certificate in regard to the vote.
(d) Addressed envelope in which all of the foregoing should be returned to me.
The ballot and the certificate on the certificate envelope must be executed by an officer who has been
authorized to east the vote. A list of the officers designated for this purpose by the member banks in Group 3
was contained in the above-mentioned circular dated November 6 , 1975, and a similar list revised to date is
contained herein. In order that the ballot may be secret, the name of the bank and the name and title of
the voting officer should not be w ritten on the ballot, but should be written only on the certificate envelope.
(1) A fter the ballot has been marked,
(2) It should be placed in the pink ballot envelope and that envelope sealed.
(3) Then the sealed pink ballot envelope should be placed within the certificate envelope, and the
certificate envelope should be sealed and the certificate thereon executed.
(4) Then the certificate envelope containing the sealed pink ballot envelope should be returned to
me in the enclosed addressed envelope.
The law provides that the ballot shall be cast within 15 days after receipt of the list of candidates
transm itted herewith. The polls will open at 10 a.m., December 8 , 1975, and will close at 12 noon on
Tuesday, December 23, 1975, and in order to be counted as valid the ballot must be received by me at or
before the latter time. Upon the closing of the polls the ballot box will be opened in the board room of this
Bank, the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers,
and the results of the election announced. The candidates may, if they so desire, be present or represented
on this occasion.

Because banks in Groups 1 and 2 will not vote in this election, this circular is sent to them without
forms and for their information only.

NICHOLAS L. DEAK
President
Deak National Bank, Fleischmanns, N. Y.
N i c h o l a s L. D e a k was born in H ung ary in 1905 and now resides in Searsdale,
Ph.D. in international finance from the University of Neuchatel in Switzerland.

Mr. Deak began his banking career by serving with the European subsidiaries of the Overseas Bank
Ltd., London, from 1933-1937. In 1937 he was employed by the Economic Departm ent of the League of
Nations, Geneva, Switzerland. In 1939 he came to the United States and established a foreign exchange
business in New York City. D uring World W a r II, Mr. Deak joined the U. S. Arm y and served with the
Office of Strategic Services. At the end of the war he continued to serve with the Department of State in
the Research and Intelligence Division until 1946, when he was separated from the Army with the rank
of major.
I n 1946 Mr. Deak continued his activities in the foreign exchange business by reestablishing his own
firm, Deak & Co., Inc., which in 1953 acquired the foreign exchange house of Perera Company, Inc. In
1957 he acquired a controlling interest in the Deak National Bank (formerly F irst National Bank of
Fleischmanns, New York), and is president and a director of that bank. Mr. Deak also owns a controlling
interest in a Swiss and an Austrian bank.
Mr. Deak has been a member of the faculty of the Commercial Lending School of the American
Bankers Association, and has taught money and banking at the College of the City of New York. He is
adjunct professor in international banking at the New York Law School. Mr. Deak is chairman of the
International Commercial Lending Committee of the American Bankers Association and a member of the
executive committee of its Commercial Lending Division.
In the field of civic activities, Mr. Deak is immediate past chairman of the board of trustees of
Perkiomen School, a college preparatory school in Pennsburg, Pennsylvania. He currently serves as a
member of the board of directors of the British-American Chamber of Commerce.

was born Ju ly 18, 1913, in Brooklyn, N. Y. He now resides in Cortlandville, N. Y.

Mr. Taw began his banking career as a national bank examiner in 1937, in which capacity he served
through 1957. In 1958 he joined the First National Bank of Cortland, becoming an executive vice president
and director in 1959. In Ja n u a ry 1969 he was appointed president of the bank.
He is currently a member of the board of directors of the Independent Bankers Association of New
York State. He has also served in several capacities over the years with the New York State Bankers
Association, including treasurer and member of the administrative board, and member-at-large and group
I I I representative of the council of administration.
Among his civic activities, Mr. Taw is currently vice president of the Cortland County Development
Corporation, a director of the College Development Foundation of Cortland, Inc., and a director and
former president of the Cortland Free Library.

JACK B. JACKSON
President

J a c k B. J a c k s o n was born January 27, 1916, in Sherman, Texas, and now resides in New Vernon,
N. J . He was graduated from Austin College in Sherman, Texas in 1938 with a bachelor’s degree in
business. In 1972 he was named a trustee of Austin College.

Mr. Jackson joined the J. C. Penney Company at its Sherman, Texas store in 1941. He became a store
manager in Memphis, Tenn., in 1952 and a district manager in 1953. Mr. Jackson was appointed southern
regional manager in 1962 and was given the additional responsibility of vice president in 1969. In 1970
he came to the company’s New York headquarters, becoming director of regional operations in 1971 and
president in 1972. He has been a director of the corporation since 1971.
Mr. Jackson’s professional activities include membership in the Economic Club
the Presidents Club of New York. He is also a member of the board of the Economic
of New York City, Inc.; a director, and vice chairman of the business section, of
Greater New York, Inc.; a member of the steering committee of Coalition Jobs,
Businessmen; and a member of the board of governors of United Way of America.
