Election of Directors
To the Member B anks o f the Second Federal Reserve D istrict:

In accordance with the provisions of section 4 of the Federal Reserve Act, as amended, and Circular
No. 7029, dated November 1, 1972, on the nomination of —

1. a class A director of this Bank for the unexpired portion of the term ending December 31, 1973,
to fill the vacancy caused by the resignation from that office of W i l l i a m S. R e n c h a r d , effective
December 31, 1972, and
2. directors of this Bank for terms of office from January 1, 1973 to December 31, 1975, to succeed
A r t h u r S . I I a m l i n , class A director, and M a u r i c e R. F o r m a n , class B director, whose terms
expire December 31, 1972,
there are showm on the following pages the names of the candidates nominated for such offices, and by
whom nominated.
The member banks in Group 1 will choose a class A director for the unexpired portion of the term
ending December 31, 1973. The member banks in Group 3 will choose a class A director and a class B
director, both for three-year terms ending December 31, 1975. To each member bank classified in Group 1
or Group 3 on November 1, 1972, except those member banks that are subsidiaries of the same bank holding
company and have not been designated to participate in this election,* the following are being sent with this
circular:
(a) Ballot for use in voting for candidates as follow s:
(i)

By each bank in Group 1, for a candidate for class A director for the unexpired portion of the
term ending December 31, 1973;

(ii) By each bank in Group 3, for candidates for class A director and class B director, both for
three-year terms ending December 31, 1975.
(b) Ballot envelope in wrhich the ballot is to be sealed.
(c) Certificate envelope bearing on its face the certificate in regard to the vote.
(d) Addressed envelope in which all of the foregoing should be returned to me.
The ballot and the certificate on the certificate envelope must be executed by an officer who has been
authorized to cast the vote. Lists of the officers designated for this purpose by the respective member banks
in Groups 1 and 3 were contained in the above-mentioned circular dated November 1, 1972, and similar
lists revised to date are contained herein. In order that the ballot may be secret, the name of the bank and
the name and title of the voting officer should not be written on the ballot, but should be written only on
the certificate envelope.

* As indicated in C ircular No. 7029, dated November 1, 1972, section 4 of the Federal Reserve Act, as amended, provides
th a t whenever any member banks within the same F ederal Reserve D istrict are subsidiaries of the same bank holding company
within the meaning of the Bank Holding Company A ct of 1956, p articipation in the nom ination or election of directors of
Federal Reserve Banks by such member banks, including such bank holding company if it is also a member bank, shall be
confined to one of such banks, which may be designated fo r the purpose by such holding company. Consequently, if two or more
member banks in Group 1 are subsidiaries of the same bank holding company, or if two or more member banks in Group 3
are subsidiaries of the same bank holding company, the ballot of any such bank cannot be counted as valid unless there
is on file with me evidence th a t such bank has been so designated.




(1) A fter the ballot has been marked,
(2) It should be placed in the ballot envelope and that envelope sealed.
(3) Then the sealed ballot envelope should be placed within the certificate envelope, and the certificate
envelope should be sealed and the certificate thereon executed.
(4) Then the certificate envelope containing the sealed ballot envelope should be returned to me in
the enclosed addressed envelope.
The law provides that the ballot shall be cast within 15 days after receipt of the list of candidates
transmitted herewith. The polls will open at 10 a.m., December 5, 1972, and will close at 12 noon on
Wednesday, December 20, 1972, and in order to be counted as valid the ballot must be received by me at or
before the latter time. Upon the closing of the polls the ballot box will be opened in the board room of this
Bank, the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers,
and the results of the election announced. The candidates may, if they so desire, be present or represented
on this occasion.
Because banks in Group 2 will not vote in this election, this circular is sent to them without forms and
for their information only.

Candidate for Class A Director
For Unexpired Portion of Term Ending December 31, 1973

DAVID ROCKEFELLER, NEW YORK, N. Y.
Chairman of the Board
The Chase Manhattan Bank (National Association), New York, N. Y.
D a v id R o c k e f e l l e r was born in New York City on June 12, 1915. He received a Bachelor of Science
degree from Harvard University in 1936 and, after post-graduate study at Harvard and the London School
of Economics, he received a Ph.D. degree in economics from the University of Chicago in 1940. He holds
honorary doctor of laws degrees from several colleges and universities.

He was secretary to the Mayor of New York in 1940-41 and assistant regional director of the U. S. Office
of Defense, Health and Welfare Service in 1941-42. He served in the U. S. Army during W orld War II
and was awarded the U. S. Legion of Merit, the U. S. Army Commendation Ribbon, and the French Legion
of Honor.
Mr. Rockefeller began his career with The Chase National Bank of the City of New York as an assistant
manager in its foreign department in 1946 and became a senior vice president in 1952. When Chase National
merged with the Bank of the Manhattan Company in 1955, Mr. Rockefeller was appointed an executive vice
president in charge of the bank development department. He became vice chairman of the board in 1957,
with responsibility for the administrative and planning functions of the bank. In 1961 he was named presi­
dent and chairman of the executive committee and assumed his present position as chairman of the board
and chief executive officer in 1969. He also serves as chairman of the parent holding company, the Chase
Manhattan Corporation, and of the Chase International Investment Corporation, a foreign-financing subsid­
iary of the bank.
A leader in many public and private projects in the international, governmental, civic, and cultural
fields, Mr. Rockefeller, among other activities, is chairman of the executive committee and board of trustees
of Rockefeller University, chairman of the Downtown-Lower Manhattan Association, chairman of the board
of the Council on Foreign Relations, Inc., and vice chairman of the board of trustees of the Museum of
Modern Art. He is a member of the steering committee of the National Urban Coalition, vice chairman and
trustee of the Rockefeller Brothers Fund, and a trustee of the Rockefeller Family Fund, the Council of the
Americas, the University of Chicago, and the U. S. Council of the International Chamber of Commerce,
Inc. Mr. Rockefeller also serves as a director of the International Executive Service Corps, The Business
Committee for the Arts, the Center for Inter-American Relations, the Overseas Development Council, and
Rockefeller Center, Inc. He has been president of the Harvard College Board of Overseers and served as a
member of that Board from 1954 to 1968.

NEWMAN EDWARD WAIT, JR ., SARATOGA SPRINGS, N. Y.
President
The Adirondack Trust Company, Saratoga Springs, N. Y.
N e w m a n E d w a r d W a i t , J r ., was born February 25, 1922, in Saratoga Springs, N. Y. He received a
Bachelor of Arts degree from Cornell University in 1943. From 1943 to 1946 he served in the U. S. Army
and received a Bronze Star for heroism in action.
Mr. Wait joined The Adirondack Trust Company in 1946, becoming assistant treasurer of the bank
in 1953 and treasurer in 1954. He served as executive vice president from 1961 to 1964, when he became
president. He has been a director of the bank since 1954.
Active in community affairs, Mr. Wait is president of the Saratoga Performing Arts Center, Inc.
and of the Corporation of Yaddo, an artists’ retreat in Saratoga. He is also a trustee of the New York
Racing Association, Skidmore College, and the New York State Bankers Retirement System, and a director
of the American Dressage Institute, the Sunnyview Hospital in Schenectady, N. Y., and the Saratoga
County Laboratory. Mr. Wait has also served on the boards of many other civic and charitable organizations.

J a c k B. J a c k s o n was born January 27, 1916, in Sherman, Tex., and now resides in New Vernon, N. J .
He was graduated from Austin College in Sherman, Tex., in 1938 with a bachelor’s degree in business. In
1972 he was named a trustee of Austin College.
Mr. Jackson joined the J. C. Penney Company at its Sherman, Tex., store in 1941. He became a store
manager in Memphis, Tenn., in 1952 and a district manager in 1953. Mr. Jackson was appointed southern
regional manager in 1962 and was given the additional responsibility of vice president in 1969. In 1970 he
came to the company’s New York headquarters, becoming director of regional operations in 1971 and
president in 1972. He has been a director of the corporation since 1971.
Mr. Jackson’s professional activities include membership in The Economic Club of New \ oik, The
Presidents Club of New York, and The Sales Executive Club of New York. He is also a member o t e
board of the Economic Development Council of New York City, Inc.
