FEDERAL RESERVE BANK OF N EW YORK r C ir c u la r N o . 6 4 3 3 “I u N ovem ber 7, 1969 J Election of Directors (B y m em ber banks classified in Group 3 on Septem ber 30, 1969, that is, m em ber banks with capital and surplus o f less than $3,000,000 on that date) To the Member Banks of the Second Federal Reserve District: In accordance with the provisions o f section 4 o f the Federal Reserve A ct, as amended, and C ircular No. 6412, dated September 30, 1969, on the nomination o f directors o f this Bank fo r terms o f office from Jan uary 1, 1970 to December 31, 1972, to succeed E ug en e H. M orrison , class A director, and M au rice R. F o r m a n , class B director, whose terms expire December 31, 1969, there are shown on pages 2 and 3 the names o f the candidates nominated fo r such offices, and b y whom nominated. To each member bank classified in Group 3 on September 30, 1969, except those member banks that are subsidiaries o f the same bank holding com pany and have not been designated to participate in this election,* the follow in g are being sent with this circu lar: (a) Ballot fo r use in voting fo r candidates fo r class A director and class B director. (b ) Colored ballot envelope in which the ballot is to be sealed. (c ) Certificate envelope bearing on its face the certificate in regard to the vote. (d ) Addressed envelope in which all o f the foregoin g should be returned to me. The ballot and the certificate on the certificate envelope must be executed b y an officer who has been authorized to cast the vote. A list o f the officers designated fo r this purpose b y the member banks in Group 3 was contained in the above-mentioned circular dated September 30, 1969, and a similar list revised to date is contained herein. In order that the ballot may be secret, the name o f the bank and the name and title o f the voting officer should not be written on the ballot, but should be written only on the certificate envelope. (1 ) A fte r the ballot has been marked, (2 ) It should be placed in the colored ballot envelope and that envelope sealed. (3 ) Then the sealed colored ballot envelope should be placed within the certificate envelope, and the certificate envelope should be sealed and the certificate thereon executed. (4 ) Then the certificate envelope containing the sealed colored ballot envelope should be returned to me in the enclosed addressed envelope. The law provides that the ballot shall be cast within 15 days after receipt o f the list o f candidates transmitted herewith. The polls will open at 10 a.m., November 10, 1969, and will close at 12 noon on Tuesday, November 25, 1969, and in order to be counted as valid the ballot must be received b y me at or before the latter time. U pon the closing o f the polls the ballot box will be opened in the board room o f this Bank, the sealed envelopes containing the ballots w ill be opened, the votes counted and checked b y tellers, and the results o f the election announced. The candidates may, if they so desire, be present or represented on this occasion. Because banks in Groups 1 and 2 will not vote in this election, this circular is sent to them without forms and for their information only. A lbert L. N ic k e r so n , Chairman of the Board. * As indicated in Circular No. 6412, dated September 30, 1969, section 4 of the Federal Reserve Act, as amended, provides that whenever any member banks within the same Federal Reserve District are subsidiaries of the same bank holding company within the meaning of the Bank Holding Company Act of 1956, participation in the nomination or election of directors of Federal Reserve Banks by such member banks, including such bank holding company if it is also a member bank, shall be confined to one of such banks, which may be designated for the purpose by such holding company. Consequently, the ballot of any bank in Group 3 affected by this provision of law cannot be counted as valid unless there is on file with me evidence that such bank has been so designated. Mr. H am lin began his business career with Smith and Hall, investment counselors, Rochester, N. Y . H e first became associated with The Canandaigua National Bank and Trust Com pany as a director in 1942, becom ing its president and trust offieer in 1948. He has served the New Y ork State Bankers Association as its treasurer and in other capacities, as follow s: chairman o f Group I I ; member at large to the Council o f Adm inistration; director o f the Trust D ivision ’s Bank F id u cia ry F u n d ; and member o f that D ivision’s E xecutive Committee. He served as a director o f the Buffalo Branch o f the Federal Reserve Bank o f New Y ork from M ay 1963 to the end o f 1968. President, B. Forman Co., Inc., Rochester, N. Y. M a u r i c e R. F o r m a n was born in Rochester, N. Y., on July 3, 1904. He was educated in the Rochester public schools and attended Lehigh University, after which he spent several years in the European offices of B. Forman Co., Inc., a general merchandising concern in Rochester. He served with the U. S. Arm y in W orld W ar II in the Pacific, advancing to the rank of major. He became president of B. Forman Co., Inc., in 1953 and continues to serve in that capacity. Mr. Forman is vice president and a director of Midtown Holdings Corp., Rochester, a director of Associated Merchandising Corporation, New York City, and president of Star Television Co., Inc. He is also a trustee of Rochester Institute of Technology and of St. John Fisher College. He serves his com munity as a member of the boards of the Rochester Community Chest, Bureau of Municipal Research, Rochester Memorial A rt Gallery, and Jewish Home for the Aged. Mr. Forman is now a class B director of the Federal Reserve Bank of New York, having been elected for the three-year term ending December 31, 1969. He previously served as a director of the Bank’s Buffalo Branch, from January 1963 to the end of 1966, and was chairman for the year 1965.
