FEDERAL RESERVE BANK OF NEW YORK [Circular No. 5 2 5 5 T L November 14, 1962J Nomination and Election of Directors (By member banks classified in Group 2 on October 8, 1962, that is, member banks with capital and surplus of more than $1,000,000 but less than $25,000,000, on that date) To the Member Banks o f the Second Federal Reserve D istrict: In accordance with the provisions of section 4 of the Federal Reserve Act, as amended, and Circular No. 5237, dated October 8, 1962, on the election of directors of this Bank for terms of office from January 1, 1963, to December 31, 1965, to succeed C e s a r J. B e r t h e a u , class A director, and K e n n e t h H . H a n n a n , class B director, whose terms expire December 31, 1962, there are shown on pages 2 and 3 the names of the candidates nominated for such offices, and by whom nominated. To each bank classified in Group 2 on October 8, 1962, except banks affiliated with holding company affiliates which have designated another bank to participate in this election,* the following are being sent with this circular: (a) (b) (c) (d) Preferential ballot for use in voting for candidates for class A director and class B director. Colored ballot envelope in which the ballot is to be sealed. Certificate envelope bearing on its face the certificate in regard to the vote. Addressed envelope in which all of the foregoing should be returned to me. The ballot and the certificate on the certificate envelope must be executed by an officer who has been authorized to cast the vote. A list of the officers designated for this purpose by the member banks in Group 2 formed a part of the above-mentioned circular dated October 8, 1962, and a similar list revised to date forms a part of this circular. In order that the ballot may be secret, the name of the bank and the name and title of the voting officer should not be written on the ballot, but should be written only on the certificate envelope. (1) A fter the preferential ballot has been marked, (2) It should be placed in the colored ballot envelope and that envelope sealed. (3) Then the sealed colored ballot envelope should be placed within the certificate envelope, and the certificate envelope should be sealed and the certificate thereon executed. (4) Then the certificate envelope containing the sealed colored ballot envelope should be returned to me in the enclosed addressed envelope. The law provides that the ballot shall be cast within 15 days after receipt of the list of candidates transmitted herewith. The polls will open at 10 a.m., November 15, 1962, and will close at 12 o ’clock noon, on Friday, November 30, 1962, and in order to be counted as valid the ballot must be received by me at or before the latter time. Upon the closing of the polls the ballot box will be opened in the board room of this Bank, the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers, and the results of the election announced. The candidates are invited to be present or represented on this occasion. Because banks in Groups 1 and 3 will not vote in this election, this circular is sent to them without forms and for their information only. P h i l i p D. R e e d , Chairman of the Board. * As indicated in Circular No. 5237, dated October 8, 1962, section 4 of the Federal Reserve Act, as amended, provides that whenever any two or more member banks within the same Federal Eeserve District are affiliated with the same holding company affiliate, participation by such member banks in the election of directors of Federal Reserve Banks shall be confined to one o f such banks, and the holding company affiliate may designate the bank to participate in such election. Consequently, the ballot o f any bank in Group 2 so affiliated cannot be counted as valid unless there is on file with me evidence that such bank has been so designated. Candidate for Class A Director RALPH H. RUE, SCHENECTADY, NEW YORK President, The Schenectady Trust Company, Schenectady, N. Y. R a l p h H. R u e was born September 14, 1902, in Schenectady, New York. He was graduated from Union College in 1923 with the degree of Bachelor of Science. In 1921 while still a student, he joined The Schenectady Trust Company as a part-time employee, becoming a full-time employee upon graduation. He became assistant treasurer of the bank in 1932, and after serving in a number of other official capacities, both in commercial banking and in trust work, he became executive vice president and trust officer in August 1948, and president three months later. Mr. Rue has been active in local, regional, and state banking associations: he is now president of the Schenectady County Clearing House Association and has been a member of the Council of Administration and of the Administrative Board, New York State Bankers Association. He is a member of the Advisory Board and chairman, Finance Committee, of St. Clare’s Hospital in Schenectady; and trustee and member, Finance Com mittee, of the Schenectady Children’s Home. He is treasurer and director of the Schenectady Hotel Company, Inc., and is a former alumnus trustee of Union College. HANNAN, NEW YORK, N. Y. Executive Vice President, Union Carbide Corporation, New York, N. Y. K e n n e t h H. I I a n n a n was born January 25, 1911, in Lincoln, Nebraska. He was graduated from Yale College in 1933 with the degree of Bachelor of Arts, and from Yale Law School in 1936 with the degree of Bachelor of Laws. I n 1936 he joined the legal staff of the Union Carbide and Carbon Corporation (now Union Carbide Corporation), New York City, and has been with that corporation since then, except for a period of service with the U. S. Navy from 1941 to 1945. After serving as secretary and as treasurer of the corporation, Mr. Hannan became vice president and a director in 1954. Since 1956 he has been an executive vice president and a member of the Appropriations Committee. Mr. Hannan is also a director of the American Brake Shoe Company, the New York Life Insurance Com pany, and Eurofund, Inc. He is a member of the Board of Governors q£ the Society of the New York Hospital, and of the Advisory Board of the Hoover Institute on War, Revolution and Peace. Mr. Hannan has been serving as a class B director since January 1, 1960, having been previously elected by Group 2 banks.
