FED ER AL RESERVE BANK OF N EW YORK ( Circular N o. 4 9 6 3 1 Novem ber 16. 1960 J Nomination and Election of Directors (By member banks classified in Group 3 on October 10, 1960, that is, member banks with capital and surplus of $1,000,000 or less, on that date) To Member Banks of the Second Federal Reserve District: In accordance with the provisions o f section 4 o f the Federal Reserve A ct, as amended, and Circular No. 4944, dated October 10,1960, on the election o f directors o f this Bank for terms o£ office from January 1, 1961, to December 31,1963, to succeed C y r u s M. H i g l e y , class A director, and A u g u s t u s C. L o n g , class B director, whose terms expire December 31,1960, there are shown on pages 2 and 3 the names o f the candidates nom inated fo r such offices, and by whom nominated. T o each bank classified in Group 3 on October 10, 1960, except banks affiliated with holding com pany affiliates which have designated another bank to participate in this election,* the follow in g are being sent with this circu la r: (a ) (b ) (c ) (d ) Preferential ballot fo r use in voting fo r candidates fo r class A director and class B director. Colored ballot envelope in which the ballot is to be sealed. Certificate envelope bearing on its face the certificate in regard to the vote. Addressed envelope in which all o f the foregoing should be returned to me. The ballot and the certificate on the certificate envelope must be executed b y an officer who has been authorized to cast the vote. A list o f the officers designated fo r this purpose b y the respective member banks in Group 3 form ed a part o f the above mentioned circular dated October 10, 1960, and a similar list revised to date form s a part o f this circular. In order that the ballot may be secret, the name o f the bank and the name and title o f the voting officer should not be written on the ballot, but should be written on ly on the certificate envelope. (1 ) A fte r the preferential ballot has been marked, (2 ) It should be placed in the colored ballot envelope and that envelope sealed. (3 ) Then the sealed colored ballot envelope should be placed within the certificate envelope, and the certificate envelope should be sealed and the certificate thereon executed. (4 ) Then the certificate envelope containing the sealed colored ballot envelope should be returned to me in the enclosed addressed envelope. The law provides that the ballot shall be cast within 15 days after receipt o f the list o f candidates transmitted herewith. The polls will open at 9 a.m., November 17, 1960, and will close at 12 o ’clock noon, on F rid ay, December 2, 1960, and in order to be counted as valid the ballot must be received b y me at or before the latter time. U pon the closing o f the polls the ballot box will be opened in the board room o f this Bank, the sealed envelopes containing the ballots will be opened, the votes counted and checked b y tellers, and the results o f the election announced. The candidates are invited to be present or represented on this occasion. Because banks in Groups 1 and 2 will not vote in this election, this circular is sent to them without forms and for their information only. P h ilip D. A u g u s t u s C. L o n g was born on August 23, 1904, in Starke, Florida. A fter being graduated from the United States Naval Academ y in 1926, he served in the Navy before join in g The Texas Company (now Texaco Inc.) on January 1, 1930. Mr. Long has served with Texaco both here and abroad, and in 1949 was elected vice president in charge o f Foreign Operations — Eastern Hemisphere. He was named a director o f the Company a year later. In 1951, he was elected execu tive vice president; in 1953, president; and in 1956, chairman o f the board o f directors and chief executive officer. Mr. Long is a director o f the Freeport Sulphur Company and the Equitable Life Assurance Society o f the United Slates. He is also a board member o f the American Petroleum Institute, and a member o f the Business A dvisory Council o f the Department o f Commerce. He is a trustee o f the Presbyterian Hospital in the City o f New York. Mr. Long has been serving as a class B director o f the Federal Reserve Bank o f New Y ork since M ay 1957.
