F E D E R A L R E S E R V E B A NK O F N E W YORK f Circular N o. 4 8 1 5 1 I Novem ber 27, 1959 J Nomination and Election of Directors (B y m em ber banks classified in G roup 2 on O ctober 20, 1959, that is, m em ber banks with capital and surplus o f $800,000 and m ore, but less than $20,000,000, on that date) To M em ber Banks o f the Second Federal R eserve D istrict: In accordance with the provisions o f section 4 o f the Federal Reserve A ct, as amended, and Circular No. 4796, dated October 20, 1959, on the election o f directors o f this Bank fo r terms o f office from January 1, 1960, to December 31, 1962, to succeed C h a r l e s W . B i t z e r , class A director, and L a n s i n g P. S h i e l d , class B director, whose terms expire December 31, 1959, there are shown on pages 2 and 3 the names o f the candidates nominated fo r such offices, and b y whom nominated. T o each bank classified in Group 2 on October 20, 1959, except banks affiliated with holding com pany affiliates which have designated another bank to participate in this election,* the follow in g are being sent with this circu la r: (a ) Preferential ballot fo r use in voting fo r candidates fo r class A director and class B director. (b ) Colored ballot envelope in which the ballot is to be sealed. (c ) Certificate envelope bearing on its face the certificate in regard to the vote. (d ) Addressed envelope in which all o f the foregoing should be returned to me. The ballot and the certificate on the certificate envelope must be executed by an officer who has been authorized to cast the vote. A list o f the officers designated fo r this purpose b y the respective member banks in Group 2 form ed a part o f the above mentioned circular dated October 20, 1959, and a similar list revised to date form s a part o f this circular. In order that the ballot may be secret, the name o f the bank and the name and title o f the voting officer should not be written on the ballot, but should be written only on the certificate envelope. (1 ) A fte r the preferential ballot has been marked, (2 ) It should be placed in the colored ballot envelope and that envelope sealed. (3 ) Then the sealed colored ballot envelope should be placed within the certificate envelope, and the certificate envelope should be sealed and the certificate thereon executed. (4 ) Then the certificate envelope containing the sealed colored ballot envelope should be returned to me in the enclosed addressed envelope. The law provides that the ballot shall be cast within 15 days after receipt o f the list o f candidates transmitted herewith. The polls will open at 9 a.m., November 30, 1959, and w ill close at 12 o ’clock noon, on Tuesday, December 15, 1959, and in order to be counted as valid the ballot must be received by me at or before the latter time. U pon the closing o f the polls the ballot box w ill be opened in the board room o f this Bank, the sealed envelopes containing the ballots w ill be opened, the votes counted and checked b y tellers, and the results o f the election announced. The candidates are invited to be present or represented on this occasion. Because banks in Groups 1 and 3 will not vote in this election, this circular is sent to them, without forms and for their information only. John E. B e r t h e a u was born in San Francisco on June 5, 1897, and was graduated from the University o f C a li fornia, class o f 1919. He served as a lieutenant, artillery, U. S. Army, 1918-19, AEF. Mr. Bertheau started his banking career at the American Trust Company of San Francisco in 1924. In 1925 he became manager, Los Angeles Office, American National Company o f San Francisco, and representative, American Trust Company of San Francisco; from 1928 to 1930, he was vice president and New York City representative. He was also vice president, manager, and direc tor, 1928-30, of the Pacific Trust Company, American Pacific Corporation, New York City. From 1930 to 1947 he w as vice president, The Marine Midland Trust Company o f New York, and from 1939 to 1947 he was also president and director o f Fidelity Safe Deposit Company, New York City. Mr. Bertheau became executive vice president and a director o f Peoples Trust Company of Bergen County in 1948, and president, in 1951. He is also a director o f Cary Chemicals, Inc. He was graduated from Hamilton College, Clinton, New \ork, with the degree of Bachelor o f Philosophy in 1914 and was awarded the honorary degree o f Doctor o f Laws by that College in 1952. In W orld War I, he served in the U. S. Navy as an aviator. Practically his entire business career has been with Bristol-Myers Company. He served as vice president from 1928 to 1949, and as president from 1949 to 1958, when he became chairman o f the board. He is also a director o f Bristol Laboratories, Grove Laboratories, Luzier, Inc., Clairol Inc., and Thomas & Betts. Mr. Bristol has served as a director o f the National Association o f Manufacturers and the National Conference of Christians and Jews. For two years, he was national chairman o f the United Negro College Fund. He is currently a director and chairman o f the Executive Committee o f The Advertising Council and a director of the Health Information Foundation. Executive Vice President, Union Carbide Corporation, New York, N. Y. K e n n e t h H. H a n n a n was born January 25, 1911, in Lincoln, Nebraska. H e was graduated from Yale College in 1933 with the degree o f Bachelor o f Arts, and from Yale Law School in 1936 with the degree o f Bachelor o f Laws. In 1936 he joined the legal staff of the Union Carbide and Carbon Corporation (now Union Carbide Corporation), New York City, and has been with that corporation since then, except for a period o f service with the U. S. Navy from 1941 to 1945. After serving as secretary and as treasurer o f the corporation, Mr. Hannan became vice president and a director in 1954. Since 1956 he has been an executive vice president and a member of the Appropriations Committee. Mr. Hannan is also a director o f the American Brake Shoe Company and the New York Life Insurance Company. He is a member o f the Board o f Governors o f the Society o f the New York Hospital.
