FEDERAL OF RESERVE NEW BANK YORK /"Circular N o. 47061 I October 20. 1959 J Nomination and Election of Directors T o M em ber Banks in the Second F ederal R eserve D istrict : An election will be held under the provisions of section 4 o f the Federal Reserve Act, as amended, to choose successors to the following directors of this Bank whose terms will expire December 31, 1959: class A director, Charles W . B itzer, Chairman, City Trust Company, Bridgeport, Connecticut, and class B director, L a n s i n g P. Shield, President, The Grand Union Company, East Paterson, N. J. B oth d irectors w ere elected by m em ber banks in G roup 2 and their successors will be chosen by this group. T he m em ber banks in G roups 1 and 3 will not participate in this election. The classification o f member banks fo r the purpose o f nom ination and election o f class A and B directors o f the F ederal R eserve Bank o f New Y ork is as fo llo w s : Group 1 consists o f banks with capital and surplus o f $20,000,000 and m ore; Group 2, o f banks with capital and surplus o f $800,000 and more, but less than $20,000,000; and Group 3, o f banks with capital and surplus o f less than $800,000. F o r the purposes o f this election, a member bank’s classification w ill be determ ined b y its capital and surplus as o f the date o f this circular, even though its capital and surplus may change b efore the polls close. The banks com prising G roup 2 are listed on the follow ing pages. E xcept in the case o f two o r m ore banks affiliated with the same holding com pany affiliate,* each bank in G roup 2 is perm itted to nominate a candidate fo r class A director and a candidate ♦Section 4- of the Federal Reserve A ct, as amended, reads in part as follow s: “ . . . That whenever any two or more member banks within the same Federal reserve district are affiliated with the same holding com pany affiliate, participation by such member banks in any such nomination or election shall be confined to one o f such banks, which may be designated fo r the purpose by such holding com pany affiliate. ” * Accordingly, banks in Group 2 affected by the foregoing provision of the law are requested to take prompt action to have the appropriate holding company affiliate designate, if it has not already designated, one o f its affiliated banks to participate in this nomination and election. fo r class B director.** The nom inations should be made b y resolutions o f the boards o f directors o f the nom inating banks and certified copies o f such resolutions should be sent to me so as to reach me on or b efore N ovem ber 23, 1959. The enclosed printed form s show the appropriate form s o f resolution, and one execu ted cop y o f each form should be returned to me. On N ovem ber 27,1959, copies o f the list o f candidates (indicating by whom nom inated) and preferential ballots will be mailed so that, in the normal course o f the m ails, they w ill be received b y all banks in Group 2 on N ovem ber 30, 1959. The law provides that the ballot shall be cast within 15 days after receipt o f this list. The polls w ill open at 9 a.m., N ovem ber 30, 1959, and w ill close at 12 o ’clock noon on Tuesday, Decem ber 15, 1959. U pon the closing o f the polls the ballot box w ill be opened in the board room o f this Bank, the votes counted and checked by tellers, and results o f the election announced. The candidates w ill be invited to be present or represented on that occasion. In order to be counted as valid, the ballot must be executed b y an officer authorized to cast the v ote and must be received b y me at or before the time thus fixed fo r the closing of the polls (i.e., at or before 12 o ’clock noon on Tuesday, Decem ber 15, 1959). The officers hereto fore designated fo r this purpose by the respective banks in Group 2 are shown in the list on the follow in g pages. E ach G roup 2 bank that has not designated an officer o r officers f o r the purpose o f executing the ballot, or any G roup 2 bank that desires to change its authorization, should do so by resolution o f its board o f d ire cto rs; a certified cop y o f such resolution must reach me before the polls close. B ie r w ir t h , Chairman o f the Board. **Section 4 of the Federal Reserve Act, as amended, reads in part as follows: ‘ ‘ Class A shall consist o f three members, who shall be chosen by and be representative o f the stock holding b a n k s.. . . No officer or director o f a member bank shall be eligible to serve as a class A director unless nominated and elected b y banks which are members o f the same group as the member bank o f which he is an officer or director. “ A n y person who is an officer or director o f more than one member bank shall not be eligible for nomination as a class A director except b y banks in the same group as the bank having the largest aggregate resources o f any o f those o f which such person is an officer or director. ’ ’ “ Class B shall consist o f three members, who at the time o f their election shall be actively engaged in their district in commerce, agriculture or some other industrial pursuit. . . .
