FEDERAL RE SERVE BANK OF NEW YORK /■Circular No. 4 5 2 51 L October 30, 1957 J Nomination and Election of Directors (B y m em ber banks in G roup 3 only, that is, m em ber banks with capital and surplus o f less than $800,000) T o M em ber Banlcs in the Second Federal R eserve D istrict: In accordance with the provisions o f section 4 o f the Federal Reserve A ct, as amended, and Circular No. 4509, dated September 24, 1957, in regard to election o f directors o f this Bank fo r terms o f office from January 1, 1958, to December 31, 1960, to succeed F erd. I. C o l l i n s , class A director, and A u g u s t u s C . L o n g , class B director, whose terms expire December 31, 1957, there are shown on pages 2 and 3 the names o f the candidates nominated fo r such offices, and b y whom nominated. To each bank in Group 3, except banks affiliated with holding com pany affiliates which have desig nated another bank to participate in this election,* the follow in g are being sent with this circu la r: (a ) Preferential ballot fo r use in voting fo r candidates fo r class A director and class B director. (b ) Colored ballot envelope in which the ballot is to be sealed. ( c ) Certificate envelope bearing on its face the certificate in regard to the vote. ( d ) Addressed envelope in which all o f the foregoin g should be returned to me. The ballot and the certificate on the certificate envelope must be executed b y an officer who has been authorized to cast the vote. A list showing the officers designated fo r this purpose by the respective member banks in Group 3 was attached to the above mentioned circular dated September 24, 1957, and a similar list revised to October 25, 1957, is attached to this circular beginning at page 4. In order that the ballot may be secret, the name o f the bank and the name and title o f the voting officer should not be written on the ballot, but should be written only on the certificate envelope. (1 ) A fte r the preferential ballot has been marked, (2 ) It should be placed in the colored ballot envelope and that envelope sealed. (3 ) Then the sealed colored ballot envelope should be placed within the certificate envelope, and the certificate envelope should be sealed and the certificate thereon executed. (4 ) Then the certificate envelope containing the sealed colored ballot envelope should be returned to me in the enclosed addressed envelope. The law provides that the ballot shall be cast within 15 days after receipt o f the list o f candidates transmitted herewith. The polls will open on October 31, 1957, and will close at 12 o ’clock noon, on Friday, November 15, 1957, and in order to be counted as valid the ballot must be received by me at or before the latter time. U pon the closing o f the polls the ballot box will be opened in the board room o f this Bank, the sealed envelopes containing the ballots will be opened, the votes counted and checked b y tellers, and the results o f the election announced. The candidates are invited to be present or represented on this occasion. Because banks in Groups 1 and 2 will not vote in this election, this circular is sent to them without form s and fo r their inform ation only. J E. Consequently, the ballot o f any bank in Group 3 so affiliated cannot be counted as valid unless there is on file with me evidence that such bank has been so designated. Candidate for Class A Director CYRUS M. HIGLEY, NORWICH, NEW YORK President and Trust Officer, The Chenango County National Bank and Trust Company o f Norwich, Norwich, New York C y r u s M. H ig l e y was born in 1894 in Norwich, New York. He was educated at Philips Andover Academy and at the Sheffield Scientific School o f Yale University, from which he was graduated in 1915. Mr. Higley is also a graduate of the Bankers School of Public Relations at Syracuse University, and the Bankers School of Agriculture at Cornell University. Mr. Higley entered banking in 1915 with The Chenango County National Bank and Trust Company of Norwich. He has been its trust officer since 1929 and its president since 1938. He is a former chairman o f Group III o f the New York State Bankers Association and served the Association as an agricultural key banker for many years. Mr. Higley is president of the Board o f Education o f the Norwich City School District, and is treasurer and a director o f the National School Boards Association, Inc. He is a trustee o f Harpur College, Endicott, New York. Mr. Higley is treasurer and a director o f the Chenango County TB and Public Health Association and the Chenango County Chapter o f the American Heart Association. He is a director o f The Chenango and Unadilla Telephone Corporation; Dunco Realty, Inc.; W. H. Dunne Company, Inc.; and Victory Chain, Inc. LONG, NEW YORK, N. Y. Chairman, Board o f Directors, The Texas Company, New York, N. Y. A u g u s t u s C. L o n g was born on A u g u s t 23, 1904, in Starke, Florida. He attended the United States Naval Academy, and after graduating in 1926 served with the Navy through 1929. Mr. Long joined The Texas Company in 1930, and since then, except for a period with the Navy during W orld War II, has served both here and abroad with that company or a subsidiary. In 1949, Mr. Long was elected vice president in charge of Foreign Operations— Eastern Hemisphere. Mr. Long became a director of The Texas Company in 1950; a year later he was elected executive vice president. Mr. Long became president in 1953, and chairman and chief executive officer in 1956. Mr. Long is a director of Arabian American Oil Company, Trans-Arabian Pipe Line Company, and Seaboard Oil Company, all o f which are affiliated with The Texas Company. He is a director o f the American Petroleum Institute, a member of the National Industrial Conference Board, and a trustee o f the Presbyterian Hospital in New York. Mr. Long has been serving as a class B director of the Federal Reserve Bank o f New York since May 10, 1957.
