Nomination and Election of Directors
(B y m em ber banks in G roup 2 only, that is, m em ber banks with capital and
surplus over $400,000 but less than $10,000,000)

To Member Banks in the Second Federal Reserve D istrict:

In accordance with the provisions o f section 4 o f the Federal Reserve A ct, as amended, and
Circular No. 4020, dated September 24, 1953, in regard to election o f directors o f this Bank fo r terms o f
office from January 1, 1954, to December 31, 1956, to succeed B u r r P . C l e v e l a n d , class A director, and
L a n s i n g P . S h i e l d , class B director, whose terms expire December 31, 1953, there are shown on pages
2 and 3 the names o f the candidates nominated fo r such directors, and by whom nominated.
To each bank in Group 2, except banks affiliated with holding com pany affiliates which have desig­
nated another bank to participate in this election,* the follow in g are being sent with this circu la r:
(a ) Preferential ballot fo r use in voting fo r candidates fo r class A director and class B director.
(b ) Colored ballot envelope in which the ballot is to be sealed.
( c ) Certificate envelope bearing on its face the certificate in regard to the vote.
(d ) Addressed envelope in which all o f the foregoin g should be returned to me.
The ballot and certificate on the certificate envelope must be executed by an officer who has been
authorized to east the vote. A list showing the officers designated for this purpose b y the respective
member banks in Group 2 was attached to the above mentioned circular dated September 24, 1953, and a
similar list amended to October 26, 1953, is attached to this circular beginning at page 4. In order that the
ballot may be secret, the name o f the bank and the name and title o f the voting officer should not be written
on the ballot, but should be written only on the certificate envelope.
(1 ) A fter the preferential ballot has been marked,
(2 ) It should be placed in the colored ballot envelope and that envelope sealed.
(3 ) Then the sealed colored ballot envelope should be placed within the certificate envelope,
and the certificate envelope should be sealed and the certificate thereon executed.
(4 ) Then the certificate envelope containing the sealed colored ballot envelope should be
returned to me in the enclosed addressed envelope.
The law provides that the ballot shall be east within 15 days after receipt o f the list o f candidates
transmitted herewith. The polls will open on October 29, 1953, and will close at 12 o ’clock noon, on Friday,
November 13, 1953, and in order to be counted as valid the ballot must be received by me at or before
the latter time. U pon the closing o f the polls the ballot box w ill be opened in the board room o f this Bank,
the sealed envelopes containing the ballots will be opened, the votes counted and checked b y tellers, and the
results o f the election announced. The candidates are invited to be present or represented on this occasion.
Because banks in Groups 1 and 3 will n ot vote in this election, this circular is sent to them without
form s fo r their inform ation only.

As indicated in Circular No. 4020, dated September 24, 1953, section 4 of the Federal Reserve Act, as amended,
provides that whenever any two or more member banks within the same Federal reserve district are affiliated with the same
holding company affiliate, participation by such member banks in the election of directors of Federal reserve banks shall
be confined to one of such banks, and the holding company affiliate may designate the bank to participate in such election.
Consequently, the ballot of any bank in Group 2 so affiliated cannot be counted as valid unless there is on file with me
evidence that such bank has been so designated.

J o h n R. E v a n s was born in Blossburg, Pennsylvania, in 1899.
He served with the U. S. Navy during W orld
War I, was graduated from Pennsylvania State College in 1922, and was a member o f the first graduating class of
the Graduate School o f Banking at Rutgers University. Having held various banking positions in Pennsylvania,
Mr. Evans during the thirties was appointed by the Comptroller o f the Currency to assist in the program o f rehabilitation
o f closed banks. He returned to commercial banking as executive vice president o f The First National Bank and Trust
Company o f Hudson, New York. In 1938, he became executive vice president and cashier o f The First National Bank
o f Poughkeepsie, New York, later being elected a director. He has been president o f that institution since 1942.
Mr. Evans served on the Executive Council o f the American Bankers Association from 1936 to 1939, and is now a
member o f its Economic Policy Commission. In the New York State Bankers Association, he has been chairman o f the
Bank Management and Research Committee and o f the Nominating Committee; currently, he is vice chairman o f the
Retirement System and a member o f the Legislative Committee.

L a n s i n g P. S h i e l d was born in Linlithgo, New York, on April 8, 1896. He was graduated from Rutgers University
with the degree of Bachelor o f Arts in 1917 and received the degree o f Doctor o f Laws from that university in 1952.
He became treasurer o f The Grand Union Company in 1928, and vice president the next year; since 1947, he has been
president. Mr. Shield is a director and member o f the executive committee o f the American Re-insurance Company and
o f the finance committee, American Reserve Insurance Company; director and past chairman o f the National Association
o f Food Chains; director o f the Prudential Insurance Company o f America; a member o f the board o f trustees o f the
American Retail Federation; and chairman o f the Puerto Rico Food Advisory Commission. He is vice chairman o f the
board o f trustees, life trustee, and member o f the executive committee o f Rutgers University. He was awarded the
Honor Medal o f the Freedom Foundation in 1951. He is national chairman o f the 1953 United Cerebral Palsy Campaign.
Mr. Shield has been serving as a class B director o f the Federal Reserve Bank o f New York since March 20, 1953.
