Nomination and Election of Directors

T o M em ber Banks in the Second Federal R eserve D istrict:

A n election w ill be held under the provisions o f section 4 o f the F ederal R eserve A ct, as
amended, to choose successors to the follow in g directors o f this Bank whose term s w ill expire
Decem ber 31, 1953: class A director, B u r r P . C l e v e l a n d , P resident, F irst N ational Bank o f
Cortland, Cortland, N. Y ., and class B director, L a n s i n g P . S h i e l d , President, The Grand
U nion Com pany, E ast P aterson, N. J.
B oth d irectors w ere elected by m em ber banks in G roup 2 and tlieir su ccessors will be
chosen b y this group. T he m em ber banks in G roups 1 and 3 will not participate in this election.
The classification o f m em ber banks fo r the purpose o f nom ination and election o f class A
and B directors o f the F ederal R eserve Bank o f New Y ork is as fo llo w s :
Group 1 consists o f banks having capital and surplus o f $10,000,000 or o v e r ;
Group 2, o f banks with capital and surplus over $400,000 but less than $10,000,000 (listed
on pages 3 - 8 ) ; and
Group 3, o f banks having capital and surplus o f $400,000 and less.

E xcep t in the case o f two o r m ore banks affiliated with the same holding com pany affiliate,*
each bank in G roup 2 is perm itted to nominate a candidate fo r class A director and a candidate

the same holding company affiliate, participation by such member banks in any such nomination or election shall be confined
to one of such banks, which may be designated for the purpose by such holding company affiliate.”
Accordingly, banks in Group 2 affected by the foregoing provision of the law are requested to take prompt
action to have the appropriate holding company affiliate designate, if it has not already designated, one o f its affili­
ated banks to participate in this nomination and election.




fo r class B director.** The nom inations should be m ade by resolution o f the boards o f directors
o f the nom inating banks and certified copies o f such resolutions should be sent to me so as to
reach me on 01* before October 26, 1953. The enclosed printed form s show the appropriate
form s o f resolution and one cop y o f each form should be used in sending certified copies o f
the resolutions to me.
On O ctober 28, 1953, copies o f the list o f candidates (indicating by whom nom inated) and
preferential ballots w ill be m ailed so that, in the norm al course o f the m ails, they w ill be
received b y all banks in G roup 2 on O ctober 29, 1953. The law provides that the ballot shall
be cast within 15 days a fter receipt o f this list. The polls w ill open on O ctober 29, 1953, and
w ill close at 12 o ’clock noon on F rid a y, N ovem ber 13, 1953. U pon the closing o f the polls
the ballot b ox w ill be opened in the board room o f this Bank, the votes counted and checked
by tellers, and results o f the election announced. The candidates w ill be im ated to be present
or represented on that occasion.
In ord er to be counted as valid, the ballot m ust be executed by an officer authorized to
cast the vote and must be received b y me at or before the time thus fixed fo r the closing o f
the polls (i.e., at o r b efore 12 o ’clock noon on F riday, N ovem ber 13, 1953). The list on the
follow in g pages shows the officers heretofore designated fo r this purpose by the respective
banks in G roup 2.

to them w ithout fo rm s fo r their inform ation only.

♦♦Section 4 of the Federal Reserve A ct, as amended, reads in part as follow s:
“ Class A shall consist of three members, who shall be chosen by and be representative of the stock-holding banks.
. . . No officer or director of a member bank shall be eligible to serve as a class A director unless nominated and elected
by banks which are members of the same group as the member bank of which he is an officer or director.
“ Any person who is an officer or director of more than one member bank shall not be eligible for nomination as a
class A director except by banks in the same group as the bank having the largest aggregate resources of any of those of
which such person is an officer or director.”
‘ ‘ Class B shall consist of three members, who at the time of their election shall be actively engaged in their district
in commerce, agriculture or some other industrial pursuit. . . . No director of class B shall be an officer, director, or
employee of any bank.”
“ No Senator or Representative in Congress shall be a member of the Board of Governors of the Federal Reserve
System or an officer or a director of a Federal reserve bank.”
In a resolution adopted December 23, 1915, the Board of Governors of the Federal Reserve System expressed
the opinion “ that persons holding political or public office in the service of the United States, or of any State,
territory, county, district, political subdivision, or municipality thereof, or acting as members of political party
committees, cannot consistently with the spirit and underlying principles of the Federal Reserve A ct, serve as
directors or officers of Federal Reserve Banks.” O n December 28, 1915, the Board of Governors of the Federal
Reserve System resolved that “national bank examiners shall not hereafter be elected * * * to directorships in
Federal Reserve Banks.” Under date of July 2, 1925, the Board of Governors of the Federal Reserve System
advised it had “ reached the conclusion that a person whose sole occupation is that of officer of an insurance com­
pany is not eligible for election as a class B director of a Federal Reserve Bank,” and on October 18, 1939, the
Board advised “ that a person whose sole occupation is that of president of a Federal savings and loan association
and who has been serving as a class A director is not now eligible for election and service as a class B director.”
