In the office o f class A director fo r the nnexpired p ortion o f the term ending December 31,1955, to which W . R a n d o l p h B u r g e s s was elected on N ovem ber 14,1952. M r. Burgess did not assume this office in view o f his acceptance o f appointm ent as Consultant and Special D eputy to the S ecretary o f the T reasury on D ebt M anagem ent and M onetary Policies. 2. In the office o f class B director fo r the unexpired portion o f the term ending Decem ber 31, 1953, fro m which M a r i o n B. F o l s o m resigned, effective January 19, 1953, to accept appointm ent as U nder S ecretary o f the Treasury. 3. In the office o f class B director fo r the unexpired p ortion o f the term ending Decem ber 31, 1954, fro m which J a y E . C r a n e resigned, effective January 19, 1953, to accept appointm ent b y the B oa rd o f G overnors o f the F ederal R eserve System as a class C director o f this Bank, and designation as Chairman o f the B oard o f D irectors and F ederal R eserve A gent, effective January 20, 1953. Mr. Burgess was elected a class A director o f the F ederal R eserve Bank o f N ew Y ork by member banks in Group 1 and his successor will be chosen by this group. M r. F olsom was elected a class B director o f this Bank by m em ber banks in G roup 2 and his successor w ill be chosen by this group. M r. T he enclosed printed form shows the appropriate form o f resolution and one cop y should be used in sending a certified co p y o f the resolution to me. On M arch 4, 1953, copies o f the list o f candidates (indicating b y w hom nom inated) and preferential ballots w ill be m ailed so that, in the norm al course o f the mails, they w ill be received by all banks in G roups 1, 2 and 3 on M arch 5, 1953. The law provides that the ballot shall be cast within 15 days a fter receipt o f this list. The polls w ill open on M arch 5, 1953, and w ill close at 12 o ’clock noon on F riday, M arch 20,1953. U pon the closing o f the polls the ballot box w ill be opened in the board room o f this Bank, the votes counted and checked by tellers, and results o f the election announced. The candidates w ill be invited to be present or represented on that occasion. In ord er to be counted as valid, the ballot must be executed b y an officer authorized to cast the vote and m ust be received by me at o r before the time thus fixed fo r the closing of the polls (i.e., at o r b efore 12 o ’clock noon on F rid a y, M arch 20,1953). The list on page 3 shows the officers h eretofore designated fo r this purpose b y the respective banks in G roup 1 ; the list beginning on page 4 shows the officers heretofore designated fo r this purpose by the respective banks in G roup 2 ; and the list beginning on page 10 shows the officers heretofore designated fo r this purpose by the respective banks in G roup 3. Crane, Chairman o f the Board. ♦♦Section 4 of the Federal Reserve A ct, as amended, reads in part as follow s: “ Class A shall consist o f three members, who shall be chosen by and be representative o f the stock holding banks. . . . No officer or director o f a member bank shall be eligible to serve as a class A director unless nominated and elected by banks which are members o f the same group as the member bank o f which he is an officer or director. “ Any person who is an officer or director o f more than one member bank shall not be eligible for nomination as a class A director except by bank3 in the same group as the bank having the largest aggregate resources o f any o f those o f which such person is an officer or director.” “ Class B shall consist o f three members, who at the time o f their election shall be actively engaged in their district in commerce, agriculture or some other industrial pursuit. . . . N o director o f class B shall be an officer, director, or employee o f any bank. *’ “ No Senator or Representative in Congress shall be a member o f the Board o f Governors o f the Federal Reserve System or an officer or a director o f a Federal reserve bank. ’ ’ In a resolution adopted December 23, 1915, the Board of Governors of the Federal Reserve System expressed the opinion “ that persons holding political or public office in the service of the United States, or of any State, territory, county, district, political subdivision, or municipality thereof, or acting as members of political party committees, cannot consistently with the spirit and underlying principles of the Federal Reserve A ct, serve as directors or officers of Federal Reserve Banks.” O n December 28, 1915, the Board of Governors of the Federal Reserve System resolved that “ national bank examiners shall not hereafter be elected * * * to directorships in Federal Reserve Banks.” Under date of July 2, 1925, the Board of Governors of the Federal Reserve System advised it had “ reached the conclusion that a person whose sole occupation is that of officer of an insurance com pany is not eligible for election as a class B director of a Federal Reserve Bank,” and on October 18, 1939, the Board advised “ that a person whose sole occupation is that of president of a Federal sayings and loan association and who has been serving as a class A director is not now eligible for election and service as a class B director.” 2 1953 Election o f Class A Director fo r Term Ending D ecem ber 31, 1955 List of 25 Member Banks in Group 1 Revised to January 29, 1953 G roup 1 consists o f m em ber banks having capital and surplus o f $10,000,000 o r over NEW JE RSEY Name o f Bank or Trust Company Place Officers Authorized to Cast Vote Newark Fidelity Union Trust C o m p a n y .....................................
