FEDERAL RESERVE BANK OF NEW YORK /-Circular N o. 3 4 6 5 1 I June 29, 1949 J Nomination and Election of Class B Director Term Ending December 31, 1950 (By member banks in Group 2 only, that is, member banks with capital and surplus over $400,000 but less than $10,000,000) To Member Banks in the Second Federal Reserve District: In accordance with the provisions of section 4 of the Federal Reserve Act, as amended, and circular No. 3455, dated June 3, 1949, in regard to election of a director of this bank for the term of office ending December 31, 1950, to succeed C h a r l e s E. A d a m s , formerly class B director, there is given on page 2 the name of the candidate nominated for such director, indicating by whom nominated. To each bank in Group 2, except banks affiliated with holding company affiliates which have desig nated another bank to participate in this election*, the following are being sent with this circular: (a) (b) (c) (d) Preferential ballot for use in voting for candidate for class B director. Colored ballot envelope in which the ballot is to be sealed. Certificate envelope bearing on its face the certificate in regard to the vote. Addressed envelope in which all of the foregoing should be returned to me. The ballot and certificate on the certificate envelope must be executed by an officer who has been authorized to cast the vote. A list showing the officers designated for this purpose by the respective member banks in Group 2 was attached to the above mentioned circular dated June 3, 1949, and a similar list amended to June 28, 1949, is attached to this circular beginning at page 3. In order that the ballot may be secret, the name of the bank and the name and title of the voting officer should not be written on the ballot, but should be written only on the certificate envelope. (1) After the preferential ballot has been marked, (2) It should be placed in the colored ballot envelope and that envelope sealed. (3) Then the sealed colored ballot envelope should be placed within the certificate envelope, and the certificate envelope should be sealed and the certificate thereon executed. (4) Then the certificate envelope containing the sealed colored ballot envelope should be returned to me in the enclosed addressed envelope. The law provides that the ballot shall be cast within 15 days after receipt of the list transmitted herewith: The polls will open on June 30, 1949, and will close at 12 o ’clock noon, on Friday, July 15, 1949, and in order to be counted as valid the ballot must be received by me at or before the latter time. Upon the closing of the polls the ballot box will be opened in the board room of this bank, the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers and the result of the election announced. The candidate is invited to be present or represented on this occasion. The banks in Groups 1 and 3 will not vote in this election, and this circular is sent to them without forms for their information only. R o b e r t T. S t e v e n s , Chairman of the Board. * As indicated in circular No. 3455, dated June 3, 1949, section 4 of the Federal Reserve Act, as amended, provides that whenever any two or more member banks within the same Federal reserve district are affiliated with the same holding company affiliate, participation by such member banks in the election of directors of Federal reserve banks shall be confined to one of such banks, and the holding company affiliate may designate the bank to participate in such election. Consequently, the ballot of any bank in Group 2 so affiliated cannot be counted as valid unless there is on file with me evidence that such bank has been so designated. Candidate for Class B D irector MARION B. FOLSOM, ROCHESTER, N. Y. Treasurer and Director, Eastman Kodak Company, Rochester, N. Y . M a r i o n B a y a r d F o l s o m was born in McRae, Georgia, in 1893. He was graduated from the University of Georgia in 1912, and from the Harvard Graduate School of Business Administration in 1914. He entered the employ of the Eastman Kodak Company in 1914. During World W ar I, Mr. Folsom served with the American Expeditionary Forces in France, and attained the rank of Captain. Returning to the Eastman Kodak Company after his war service, he became assistant to the president in 1921, assistant treasurer in 1930, treasurer in 1935, and director in 1947. Mr. Folsom is vice chairman of the Business Advisory Council of the United States Department of Com merce, and of the Committee for Economic Development. He is a trustee of the United States Council of the International Chamber of Commerce, a member of the National Industrial Conference Board, of the New York State Advisory Council on Unemployment Insurance, and of the Advisory Council of the School of Industrial and Labor Relations, Cornell University. He was a director of the United States Chamber of Commerce from 1942 through 1948, and vice chairman of the President’s Advisory Committee on the Merchant Marine during 1947 and 1948. Mr. Folsom served as a director of the Buffalo Branch of the Federal Reserve Bank of New York from April 1938 through 1947; he was chairman of the branch board in 1941, 1944 and 1947. He has also served as a director of the Lincoln Rochester Trust Company and as trustee of the Rochester Savings Bank, both in Rochester.
