Nomination and Election of Directors
(By member banks in Group 2 only, that is, member banks with capital
and surplus of more than $300,000 and less than $10,000,000).
To Member Banks in the Second Federal Reserve

District:

In accordance with the provisions of section 4 of the Federal Reserve Act, as amended, and
circular No. 2845, dated September 29, 1944, in regard to election of directors of this bank for terms of office
from January 1, 1945, to December 31, 1947, to succeed WILLIAM J. FIELD, class A director, and FREDERICK
E. WILLIAMSON, formerly class B director, there are given on pages 2 and 3 the names of the candidates
nominated for such directors, indicating by whom nominated.
To each bank in Group 2, except banks affiliated with holding company affiliates which have designated another bank to participate in this election*, the following are being sent with this circular:

Preferential ballot for use in voting for candidates for class A director and class B director.
Colored ballot envelope in which the ballot is to be sealed.
Certificate envelope bearing on its face the certificate in regard to the vote.
Addressed envelope in which all of the foregoing should be returned to me.

The ballot and certificate on the certificate envelope must be executed by an officer who has been
authorized to cast the vote. A list showing the officers designated for this purpose by the respective
member banks in Group 2 was attached to the above mentioned circular dated September 29, 1944, and a
similar list amended to October 28, 1944, is attached to this circular beginning at page 4. In order that the
ballot may be secret, the name of the bank and the name and title of the voting officer should not be written
on the ballot, but should be written only on the certificate envelope.
(1) After the preferential ballot has been marked,
(2) It should be placed in the colored ballot envelope and that envelope sealed.
(3) Then the sealed colored ballot envelope should be placed within the certificate envelope,
and the certificate envelope should be sealed and the certificate thereon executed.
(4) Then the certificate envelope containing the sealed colored ballot envelope should be
returned to me in the enclosed addressed envelope.
The law provides that the ballot shall be cast within 15 days after receipt of the list of candidates
transmitted herewith. The polls will open on November 2, 1944, and will close at 12 o'clock noon, on Friday,
November 17, 1944, and in order to be counted as valid the ballot must be received by me at or before
the latter time. Upon the closing of the polls the ballot box will be opened in the board room of this bank,
the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers and the
results of the election announced. The candidates are invited to be present or represented on this occasion.
The banks in Groups 1 and 3 will not vote in this election, and this circular is sent to them without
forms for their information only.

* As indicated in circular No. 2845, dated September 29, 1944, section 4 of the Federal Reserve Act, as amended, provides that whenever any two or more member banks within the same Federal reserve district are affiliated with the same
holding company affiliate, participation by such member banks in the election of directors of Federal reserve banks shall
be confined to one of such banks, and the holding company affiliate may designate the bank to participate in such election.
Consequently, the ballot of any bank in Group 2 so affiliated cannot be counted as valid unless there is on file with me
evidence that such bank has been so designated.




Candidate for Class A Director
HARRY H. POND, PLAINFIELD, N. J.
President, The Plainfield Trust Company, Plainfield, N. J.
HARRY HOBSON POND, was born in Vineland, New Jersey, on December 25, 1870. He entered The Vineland
National Bank in 1887, becoming cashier in 1902. In 1910 he joined The Plainfield Trust Company as secretary
and treasurer, and in 1912 was elected a director. He became vice president in 1913, and since 1923 has been
president. In 1913 Mr. Pond also became vice president of The Mechanics & Metals National Bank of the City
of New York, and upon its consolidation with The Chase National Bank of the City of New York in 1926 he
became a vice president of that bank. In 1930 he resigned from that bank to devote his full time to the affairs
of The Plainfield Trust Company.
Mr. Pond is a director of The Plainfield National Bank and president and director of Plainfield Title & Mortgage Guaranty Co. He was one of the organizers of the New Jersey Bankers Association, and was its president
in 1911-12. He is a member of the New York Advisory Board of the Reconstruction Finance Corporation.
Mr. Pond has been active in civic affairs in Plainfield. He has been president of the board of managers of
the Vineland State School since 1910, and a member of the board of governors of the Muhlenberg Hospital,
Plainfield, since 1912.

Chairman, Air Reduction Company, Inc., New York, N. Y.
CHARLES EDWARD ADAMS was born in Toledo, Ohio, on October 29, 1881. He was graduated from St. Paul's
School, Concord, N. EL, in 1900 and from Yale University, with the degree of A. B., in 1904. After serving for
three years as secretary to Mr. Robert C. Pruyn of Albany, N. Y., he became associated successively with the
security firms of F. S. Butterworth & Co., New Haven, Conn., and Callaway, Fish & Co., New York City. In
1917-18 he was a partner of Foster & Adams, New York City. He became treasurer of Air Reduction Company,
Inc. in 1918; vice president in 1920; president in 1921, and chairman in 1937. Since 1927 he has been chairman
of the board of U. S. Industrial Chemicals, Inc.
Mr. Adams is a trustee and member of the executive committee and finance committee of Mutual Life Insurance Company of New York, a director and member of the executive committees of National Distillers Products
Corporation and Vanadium Corporation of America, and a director of several other corporations.
Since 1940 Mr. Adams has served, in various capacities, the Advisory Commission of the Council of National
Defense, the Office of Production Management, the National Defense Mediation Board, the War Production
Board, and the Combined Pulp and Paper Committee of the U. S., Canada, and The United Kingdom.
Mr. Adams is a member of the boards of managers of the Babies Hospital and the Presbyterian Hospital
in the City of New York.
