Nomination and Election of Class A Director
Term Ending December 31, 1938
(By member banks in Group 2 only, tbat is, member banks with capital
and surplus of $301,000 to $1,999,000).
To Member Banks in the Second Federal Reserve District:

In accordance with the provisions of section 4 of the Federal Keserve Act, as amended, and
circular No. 1833, dated April 11, 1938, in regard to election of a director of this bank for the term of
office ending December 31, 1938, to succeed EDWARD K. MILLS, deceased, formerly class A director, there
are given on pages 2 and 3 the names of the candidates nominated for such director, indicating by whom
nominated.
To each bank in Group 2, except banks affiliated with holding company affiliates which have designated another bank to participate in this election*, the following are being sent with this circular:
(a) Preferential ballot for use in voting for candidates for class A director.
(b) Colored ballot envelope in which the ballot is to be sealed.
(c) Certificate envelope bearing on its face the certificate in regard to the vote.
(d) Addressed envelope in which all of the foregoing should be returned to me.
The ballot and certificate on the certificate envelope must be executed by an officer who has been
authorized to cast the vote. A list showing the officers designated for this purpose by the respective
member banks in Group 2 was attached to the above mentioned circular dated April 11, 1938, and a
similar list amended to May 12, 1938, is attached to this circular beginning at page 4. In order that the
ballot may be secret, the name of the bank and the name and title of the voting officer should not be
written on the ballot, but should be written only on the certificate envelope.
(1) After the preferential ballot has been marked,
(2) It should be placed in the colored ballot envelope and that envelope sealed.
(3) Then the sealed colored ballot envelope should be placed within the certificate envelope,
and the certificate envelope should be sealed and the certificate thereon executed.
(4) Then the certificate envelope containing the sealed colored ballot envelope should be
returned to me in the enclosed addressed envelope.
The law provides that the ballot shall be cast within 15 days after receipt of the list of candidates
transmitted on pages 2 and 3. The polls will open on May 16, 1938, and will close at 12 o'clock noon on
Tuesday, May 31, 1938, and in order to be counted as valid the ballot must be received by me at or before
the latter time. Upon the closing of the polls the ballot box will be opened in the board room of this bank,
the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers and the
result of the election announced. The candidates are invited to be present or represented on this occasion.
The banks in Groups 1 and 3 mill not vote in this election, and this circular is sent to them without
forms for their information only.

• As indicated in circular No. 1833, dated April 11, 1938, section 4 of the Federal Reserve Act, as amended, provides that whenever any two or more member banks within the same Federal reserve district are affiliated with the same
holding company affiliate, participation by such member banks in the election of directors of Federal reserve banks shall
be confined to one of such banks, and the holding company affiliate may designate the bank to participate in such election.
Consequently, the ballot of any bank in Group 2 so affiliated cannot be counted as valid unless there is on file with me
evidence that such bank has been so designated.

President, Bank of Yorktown, New York, N. Y.
GEORGE M. ADRIAN was born on October 12, 1877. He was graduated from La Salle Academy in New York
City. Mr. Adrian entered the real estate business in 1895 and has been active in that field ever since. Tn 1910
he became a director of the German Exchange Bank and served that bank, the name of which was changed in 1918
to the Commercial Exchange Bank, in that capacity until 1921.

Mr. Adrian organized the Bank of Yorktown in New York City during 1926 and has been president of that
institution throughout its existence.
Mr. Adrian is a director of each of the following corporations: Yorktown Safe Deposit Company, Michael
J. Adrian Corporation, Geo. M. Adrian & Co., Inc., Orit Securities Corporation, and Noma Electric Corporation.

PETER IGOE was born in Belleville, N. J., on October 20, 1867, and was educated in the public schools of
Belleville and Newark, N. J .

He entered the industrial world at an early age, and in 1895 organized the firm of Igoe Brothers, Brooklyn,
New York, manufacturers and jobbers of hardware, roofing and building specialties. This firm now has offices in
Newark and Asbury Park, New Jersey, as well as in Brooklyn, New York.
In 1906, Mr. Igoe participated in the organization of The First National Bank of Belleville, Belleville, N. J.,
and for many years has served as its President. He was a director of the North Side Bank of Brooklyn for several
years until the merger of that institution with the Manufacturers Trust Company, New York, N. Y., and he has
since served on the Advisory Board of the WiUiamsburg Branch of that trust company.

OTIS A. THOMPSON was born in Longmont, Colorado, June 22, 1883, and was educated in the public schools
of Norwich, N. Y. He was employed by The Chenango County National Bank and Trust Company of Norwich
from 1901 to January, 1913, when he resigned to become cashier of The National Bank and Trust Company of
Norwich, a position which he held until his election as president of that institution in January, 1938.

Mr. Thompson has been active in civic affairs in Norwich and in the affairs of the New York State Bankers
Association. He is at present a member of the Agricultural Commission of the American Bankers Association,
representing the Second Federal Eeserve District.
Mr. Thompson is a director and member of the Finance Committee of The Norwich Pharmacal Company,
vice president and director of The Norwich Knitting Company, member of the Executive Committee and secretary
and director of the Chenango & Unadilla Telephone Corporation, and president and director of The Chenango
Co-Operative Savings & Loan Association, all located in Norwich, N. Y. He is also a director of The First
National Bank in Sidney, Sidney, N. Y.
