Nomination and Election of Directors
To Member Banks in the Second Federal Reserve District:

In accordance with the provisions of Section 4 of the Federal Eeserve Act and Circular No. 1136
dated October 5, 1932, in regard to election of directors of this bank, for terms of office from January 1,
1933 to December 31, 1935 to succeed THOMAS W. STEPHENS, Class A director, and THEODORE F.
WHITMARSH, Class B director, whose terms expire December 31, 1932, there are given on the two following
pages the names of the candidates nominated for such directors, indicating by whom nominated.
The following are being sent to each bank in Group 2 with this circular:
(a) Preferential ballot for use in voting for candidates for Class A director and Class B director.
(b) Colored ballot envelope in which the ballot is to be sealed.
(c) Certificate envelope bearing on its face the certificate in regard to the vote.
(d) Self-addressed envelope in which all of the foregoing should be returned to me.
The ballot and certificate on the certificate envelope must be executed by an officer who has been
authorized to cast the vote. A list showing the officers designated for this purpose by the respective
member banks in Group 2 was attached to the circular above mentioned, Circular 1136 dated October 5,
1932, and a similar list amended to October 28, 1932 is attached to this circular beginning at page 4. In
order that the ballot may be secret, the name of the bank and the name and title of the voting officer
should not be written on the ballot, but should be written only on the certificate envelope.
(1) After the preferential ballot has been marked,
(2) It should be placed in the colored ballot envelope and that envelope sealed.
(3) Then the sealed colored ballot envelope should be placed within the certificate envelope, and
the certificate envelope should be sealed and the certificate thereon executed.
(4) Then the certificate envelope containing the sealed colored ballot envelope should be returned
to me in the enclosed self-addressed envelope.
The law provides that the ballot shall be cast within 15 days after receipt of the list of candidates
transmitted herewith. The polls will open on November 1, 1932, and will close at 12 o'clock noon on
November 16, 1932, and in order to be counted as valid the ballot must be received by me at or before
the latter time. Upon the closing of the polls the ballot box will be opened in the board room of this bank,
the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers
and the results of the election announced. The candidates are invited to be present or represented
on this occasion.
While the banks in Groups 1 and 3 will not vote in this election, this circular is sent to them without
forms for their information.

EDWARD K. MILLS, MORRISTOWN, N. J.

President, Morristown Trust Company
EDWARD K. MILLS was born on July 25, 1874, at Morristown, New Jersey, and has resided in that
community all his life. He was graduated from Princeton University in 1896 and from the Law School
of Columbia University in 1899. He is a member of the bar of the States of New Jersey and New York,
and practiced law at Morristown from 1899 until 1924. During this period he acted as counsel for numerous
banks in Morris County, New Jersey, and at various times was Assistant Prosecutor of the Pleas, Counsel
for the Town of Morristown, Judge of the Court of Common Pleas of Morris County, and a member of
the New Jersey State Senate.

Mr. Mills' first banking- office was as a director of the First National Bank of Morristown. He served
in this capacity until January 1924 when he was elected president of the Morristown Trust Company,
which office he since has held. Mr. Mills is also vice-president of the Morris County Savings Bank and a
director of the Prudential Insurance Company of America.

WALTER C. TEAGLE, NEW YORK, N. Y.
President, Standard Oil Company of New Jersey
WALTER C. TEAGLE was born on May 1, 1878 at Cleveland, Ohio. He was graduated from Cornell
University in 1899, with the degree of Bachelor of Science, having specialized in the study of chemistry.
After his graduation from college he returned to Cleveland and entered the employ of Schofield, Shurmer
& Teagle, a firm engaged in oil refining and distribution of which his father was the active head. In 1900
this company and others were merged into the Eepublie Oil Company, of which Mr. Teagle was vicepresident until 1903.
Subsequently Mr. Teagle was associated in various capacities with the export department of
the Standard Oil Company of New Jersey (1903-1914) ; became president of the Imperial Oil Company,
Ltd. of Canada and later of the International Petroleum Company, Ltd. of Canada (1914) ; and returned
to the Standard Oil Company of New Jersey as president in 1917, which position he since has occupied.
In addition to being a director (since 1910) and president of the Standard Oil Company of New
Jersey, Mr. Teagle is a director and member of the Executive Committee of the White Company, and a
director of the Consolidated Coal Company. At present he is also serving on the Banking and Industrial
Committee of the Second Federal Reserve District arid as chairman of the Coordination Committee of the
Share-the-Work Movement for the United States.
