FEDERAL RESERVE BANK OF NEW YORK [ Circular No. 10410 December 11, 1990 ~| J Election of Class A Director (By member banks classified in Group 3 on November 2, 1990, that is, member banks with capital and surplus of more than $30,000,000 on that date) To the Member Banks o f the Second Federal Reserve District: In accordance with the provisions of section 4 of the Federal Reserve Act, as am ended, and C ircular No. 10396, dated November 2, 1990, on the nomination of a class A director of this Bank for a three-year term ending D ecem ber 31, 1993, there is shown on page 2 the nam e o f the candidate nom inated for such office, and by whom nom inated. To each m em ber bank classified in Group 3 on November 2 ,1 9 9 0 , the following are being sent with this circular: (a) Ballot for use in voting for candidate for class A director. (b) Pink ballot envelope in which the ballot is to be sealed. (c) C ertificate envelope bearing on its face the certificate in regard to the vote. (d) Addressed envelope in which all of the foregoing should be returned to me. T he ballot and the certificate on the certificate envelope m ust be executed by an officer who has been authorized to cast the vote. A list of the officers designated for this purpose by the m em ber banks in Group 3 was contained in the above-m entioned circular dated November 2, 1990, and a sim ilar list revised to date is contained herein. In order that the ballot may be secret, the nam e of the bank and the nam e and title of the voting officer should not be written on the ballot, but should be written only on the certificate envelope. (1) The ballot should be marked. (2) The m arked ballot should be placed in the pink ballot envelope and that envelope sealed. (3) Then the sealed pink ballot envelope should be placed within the certificate envelope, and the certificate envelope should be sealed and the certificate thereon executed. (4) Then the certificate envelope containing the sealed pink ballot envelope should be returned to me in the enclosed addressed envelope. The law provides that the ballot shall be cast within 15 days after receipt of the list o f candidates transm itted herewith. The polls will open at 10 a.m ., D ecem ber 12, 1990, and will close at 12 noon on Thursday, D ecem ber 27, 1990, and in order to be counted as valid the ballot m ust be received by me at or before the latter time. Upon the closing o f the polls the ballot box will be opened in the board room of this Bank, the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers, and the result o f the election announced. C an didates may, if they so desire, be present or represented on this occasion. She joined Phillipsburg National Bank in 1965, becoming Pres ident and Chief Executive Officer in 1985, and Chairman of the Board and Chief Executive Officer in January 1990. She is also President and Chief Executive Officer of Vista Bancorp, Inc., the parent holding company. Among her many civic and professional activities, Ms. Harding is Vice President of the Community Bankers As sociation of New Jersey, an advisory member of the American Bankers Association’s Community Bankers Council, an executive committee member of the New Jersey Bankers Association, and a member of the Phillipsburg Economic De velopment Committee. She is also Vice-Chairperson of the Phillipsburg Citizens’ Advisory Committee, President of the Phillipsburg Area Chamber of Commerce and a director of the New Jersey State Chamber of Commerce, Treasurer of the 200 Club of Warren County, Chairperson of the Northwest New Jersey Regional Women’s Center, a director of the American Cancer Society and the Karen Ann Quinlan Clinic of Hope, and an advisory member of the Warren County Commission for Women.
