To Member Banks in Group 1:
Mr. Marion Sansom, a Class B Director of this bank, who was elected by banks in Group 1,
has tendered his resignation on account of continued ill health. The resignation was accepted at
the meeting of the Board of Directors of this bank held on the 5th instant, with much regret.
Section 4 of the Federal Reserve Act provides that: “ Vacancies that may occur in the
several classes of directors of Federal reserve banks may be filled in the manner provided for
the original selection of such directors, such appointees to hold office for the unexpired terms
of their predecessors.” Section 4 also provides that Class B Directors, at the time of their
election, shall be actively engaged in commerce, agriculture or some other industrial pursuit.
Mr. Sansom’s term would have expired December 31, 1925, and in accordance with the
provisions of the Act quoted above the Federal Reserve Board has approved the holding of a
special election for the selection of Mr. Sansom’s successor.
The polls will open on Tuesday, June 16th, and remain open for fifteen days, or up to and
including June 30th. Only banks in Group 1 (those with combined capital and surplus in excess
of $399,000) will vote in this special election.
Forms of resolutions are enclosed, upon which the Board of Directors of your bank may
nominate a director and, unless a previous designation of an active officer to cast the ballot
has been made, authorize one of your officers (by title only) to do so. These resolutions,
duly certified, with seal affixed, should be returned to the undersigned as soon as possible
after your Board of Directors has taken action.
The officer of your bank who has been previously designated to cast your vote, and whose
authority has been certified to the Chairman of this bank, is indicated in the attached list.
Where an officer has been designated by name and title, and no change in the name or title
of such officer has occurred since the designation was made, no further action is necessary.
However, if any person listed no longer holds the title indicated then a new designation should
be made by title only. The designation by title is continuous and remains in effect until re­
voked.

The period within which these certifications may be made will terminate on June 10th, and
nominations received thereafter cannot be listed.
On June 11th, or as soon as the list of nominations can be tabulated, there will be mailed
to you, for your information, a list of nominees with the names of the nominating banks. At
the same time you will be furnished a preferential ballot providing for the recording of the
first, second and third choices of director. Within fifteen days after receipt of said list and
ballot every bank should forward its vote to the undersigned.
The result of the election will be announced on or about July 1st.
In returning the enclosed forms please observe the following:
Write plainly or typewrite the information requested.
Affix the seal of your bank to the certificates.
Return the Certificates promptly in the self-addressed envelope enclosed.
Only banks in Group 1 will participate in the nomination and election, and this circular is
sent to banks in Groups 2 and 3 merely for their information.
