F ederal R eserve Bank o f D allas D a l l a s , T exas 75222 Notice 94-58 June 1, 1994 SPECIAL ELECTION OF CLASS A DIRECTOR REPORT OF NOMINATIONS— PROCEDURES To All Member Banks in the Eleventh Federal Reserve District: In accordance with the provisions of Section 4 of the Federal Reserve Act and my notice dated April 19,1994, this Bank is conducting the special election of a Class A Director to succeed Jeff Austin, Jr. Mr. Austin resigned as a Class A Director to accept appointment to the T exas State Finance Commission. The name of the candidate, along with the names of the banks that nominated him, is set out on page 3. Except in the case of any member banks that are subsidiaries of the same bank holding company, * there is sent as an enclosure to each bank in Group 2 a ballot for use in voting for a Class A Director. Also enclosed are an envelope bearing on its face the certificate in regard to the vote and a colored envelope marked “Ballot— Directors’ Election,” in which the ballot is to be sealed. W hen several banks are subsidiaries of a bank holding company, the voting form s are being sent only to the bank designated to participate in this election. Banks in Group 2 that will not participate in this election are being sent this notice, without forms, for their information only. The ballot and certificate on the envelope must be executed by an officer who has been authorized to cast the vote. A list of the designated officers, revised to date, forms a part of this notice. In order that the balloting may be secret, the name of the bank and the voting officer should not be written on the ballot but only on the certificate envelope. If the official signature of the officer casting the ballot has not been filed with this Federal Reserve Bank, the official signature should be filed before the polls close. Please follow carefully the instructions which are printed on the ballot and on the envelopes. The following procedure is required in the case of the Class A ballots: (1) The ballot should be marked. (2) It should be placed in the colored envelope marked “Ballot— Directors’ Election” and that envelope sealed. (3) After the certificate on the white certificate envelope is executed, the colored sealed envelope (containing the ballot) should be placed within the white certificate envelope and that envelope sealed. (4) The sealed white certificate envelope containing the sealed ballot envelope should then be returned to me in the enclosed self-addressed envelope. ‘ Section 4 of the Federal Reserve Act, as amended, reads in part as follows: “ ...That w henever any member banks within the same Federal Reserve district are subsidiaries of the same bank holding company within the meaning of the Bank Holding Company Act of 1956, participation in any such nomination or election by such member banks, including such bank holding company if it is also a member bank, shall be confined to one of such banks, which may be designated for the purpose by such holding com pany.” The Board of Governors of the Federal Reserve System has ruled that a holding company affiliate, having one or more subsidiary banks in each of the three groups into which member banks of a Federal Reserve district are divided for the purpose of electing directors, may designate one such bank in each group to participate in the nomination and election of each Class A Director and each Class B Director chosen by the group of which such bank is a member, and such member bank so designated may validly participate in such nomination and election. Accordingly, banks in Group 2 affected by this provision of law are requested to take prompt action to have the appropriate bank holding company designate, if it has not already designated, one of its banks to participate in this election. The polls will open on June 8, 1994, and close at 2 p.m. on June 23, 1994. The candidates are invited to be present or represented on that occasion. While the banks in Group 1 (consisting of banks having capital and surplus of $10,000,000 and over) and Group 3 (consisting of banks having capital and surplus of $2,500,000 and under) will not vote in this election, this notice is sent to them, without forms, for their information. PHILLIPS Chairman of the Board The First National Bank of Panhandle Panhandle, Texas Mr. Phillips is a native of the Texas Panhandle, born in Amarillo and raised in Borger. He attended the University of Texas in Austin, graduating with a B.B.A. degree in Finance and Insurance. In 1967, he graduated from the Southwestern Graduate School of Banking at SMU. He is also a U.S. Navy veteran of the Korean War. In addition to his position as Chairman and President of The First National Bank of Pan handle, he serves as Chairman of the First State Bank of Tulia, Texas, both affiliates of the parent company, Panhandle Bancshares, Inc., a Texas holding company, of which he is also Chairman and President. Mr. Phillips joined The First National Bank of Panhandle in 1961 as a loan officer and attained the position of President in 1968, becoming the bank’s fifth president in its onehundred year history. He organized the bank holding company, Panhandle Bancshares, Inc., in 1976 to acquire control of The First National Bank of Panhandle and eventually purchased control of First State Bank of Tulia in 1983. Mr. Phillips has been active in many banking and civic activities. From 1968 to 1970, he served on the Regional Advisory Committee of Banking Policies and Practices of the Regional Administrator of National Banks. In 1975, he served as Chairman of the 8th District of the Texas Bankers Association. He served a term on the Texas Bankers Association Legislative Affairs Committee and has served on the Texas Tech Ag Conference Planning Committee and TBA Austin Bankers Conference Planning Committee. He currently serves on the Board of Directors of the Independent Bankers Association of Texas and is a director in the North Panhandle Bankers Association. He currently serves as a director of the Federal Reserve Bank of Dallas. He is a past member of the Panhandle Plains Historical Society Executive Board, a past Board member of the Amarillo Area Foundation, a Board member of the Panhandle Heritage Association, a Board member of the Carson County Square House Museum, and, in conjunction with The First National Bank, was a recipient of the Amarillo Chamber of CommerceGolden Nail Award in 1986. He is past president and an active member of the Panhandle Rotary Club, past president of the Panhandle Chamber of Commerce, and past chairman of the First Christian Church Board. He was named Panhandle Chamber of Commerce Citizen of the Year in 1985. He is currently serving on the Board of Directors of the Harrington Regional Medical Center of Amarillo, Texas. He was honored in December 1990 by Texas Tech University and the Texas Bankers Association at their annual Bankers Agricultural Credit Conference as the Outstanding Ag Banker of the Year. Mr. Phillips and his wife, Elaine, have raised and educated two sons and two daughters. Both sons pursued banking careers as have both sons-in-law.
