ELECTION OF DIRECTORS
REPORT OF NOMINATIONS— VOTING PROCEDURES
To All Member Banks
in the Eleventh Federal Reserve District:
In accordance with the provisions of Section 4 of the Federal Reserve Act and my notice dated August 16, 1994,
regarding the election of directors of this Bank to succeed Eugene M. Phillips, Class A Director, and Peyton Yates, Class B
Director, whose terms expire December 31,1994, the names of the candidates nominated and the names of the banks that
made the nominations are set out on pages 3, 4, 5, and 6.
Except in the case of any member banks that are subsidiaries of the same bank holding company, * there is sent as an
enclosure to each bank in Group 1 a ballot for use in voting for a Class B Director and to each bank in Group 3 a ballot for
use in voting for a Class A Director. Also enclosed are an envelope bearing on its face the certificate in regard to the vote
and a colored envelope marked “Ballot-Directors’ Election,” in which the ballot is to be sealed. When several banks are
subsidiaries of a bank holding company, the voting forms are being sent only to the bank designated to participate in
this election; therefore, banks in Groups 1 and 3 that will not participate in this election are being sent this notice, without
forms, only for their information.
The ballot and certificate on the envelope must be executed by an officer who has been authorized to cast the vote. A
list of the designated officers, revised to date, forms a part of this notice. In order that the balloting may be secret, the name
of the bank and the voting officer should not be written on the ballot but only on the certificate envelope. If the official
signature of the officer casting the ballot has not been filed with this Federal Reserve Bank, such official signature
should be filed before the polls close.
Please follow carefully the instructions that are printed on the ballot, on the envelopes, and on page 4 of this
notice.
The following procedure is required in the case of both the Class A and Class B ballots:
(1) The preferential ballot should be marked.
(2) It should be placed in the colored envelope marked “Ballot-Directors’ Election” and that envelope sealed.
(3) Then after the certificate on the white certificate envelope is executed, the colored sealed envelope
(containing the ballot) should be placed within the white certificate envelope and that envelope sealed.
(4) The sealed white certificate envelope containing the sealed ballot envelope should then be returned to me
in the enclosed self-addressed envelope.

*Section 4 of the Federal Reserve Act, as amended, reads in part as follows:
“...That whenever any member banks within the same Federal Reserve district are subsidiaries of the same bank
holding company within the meaning of the Bank Holding Company Act of 1956, participation in any such
nomination or election by such member banks, including such bank holding company if it is also a member bank,
shall be confined to one of such banks, which may be designated for the purpose by such holding company.”
The Board of Governors of the Federal Reserve System has ruled that a holding company affiliate, having one or more
subsidiary banks in each of the three groups into which member banks of a Federal Reserve district are divided for the purpose
of electing directors, may designate one such bank in each group to participate in the nomination and election of each Class
A Director and each Class B Director chosen by the group of which such bank is a member and such member bank so
designated may validly participate in such nomination and election. Accordingly, banks in Groups 1 and 3 affected by
the foregoing provision of law are requested to take prompt action to have the appropriate bank holding company
designate one of such banks to participate in this election, if it has not already made that designation.

Under the law, the ballot must be returned so as to reach me within 15 days after its receipt. The polls will open on
October 5,1994, and close at 2 p.m. on October 20,1994. At that time, the ballot box will be opened at this Bank, the sealed
envelopes containing the ballots will be opened, the votes counted, and the results of the election announced. The candidates
are invited to be present or represented on that occasion.
While the banks in Group 2 will not vote in this election, this notice is sent to them, without forms, for their information.
Group 2 consists of members banks with combined capital and surplus of over $2,500,000, but under $10,000,000.

For your inform ation, there is quoted below an extract from Section 4 of the Federal Reserve Act th a t sets forth the
m ethod of balloting:
"W ithin fifteen days after receipt of the list of candidates the duly authorized officer of a mem ber bank
shall certify to the chairm an his first, second, and other choices for director of Class A or Class B,
respectively, upon a preferential ballot upon a form furnished by the chairm an of the board of directors
of the Federal Reserve Bank of the district. Each such officer shall make a cross opposite the nam e of the
first, second, and other choices for a director of Class A and for a director of Class B, but shall not vote
more than one choice for any one candidate."
In the case of the Class A ballots (G roup 3), w here there are three candidates involved, a m em ber bank, in making
its first and second choices, will be deem ed to have indicated the other candidate as its third choice.

MATTHEW T. DOYLE

year, Mr. Doyle was elected President of Texas Independent
Bancshares and Am erican Independent Bancshares, holding
com panies for the four-com m unity banks with which he is
affiliated in G alveston County. He presently serves as a board
m em ber and Chairm an of the Building Fund, Independent
Bankers Association of Texas, and a m em ber of the Young
Bankers Association, serving as president in 1990.

Matt Doyle was born in Frankfurt, Germ any, in 1958, and
grew up in T exas City, w here he graduated from Texas City
High School. He is a 1980 graduate of Texas Tech University,
Lubbock, with a Bachelor’s Degree in finance. In 1993 his alma
m ater honored him with the Texas Tech College of Business
Young Alum nus O utstanding Achievem ent Aw ard. Mr. Doyle
has com pleted additional studies at the Am erican Bankers
Association Collection School, Houston; O klahom a U niversity/
Am erican Bankers Association Installm ent School, Norman;
and the Southwestern G raduate School of Banking at Southern
M ethodist University, Dallas.
Upon graduation from college, he was affiliated with the
M angum Brick Com pany, M angum, O klahom a, which was
founded by his great grandfather in 1902. In 1981, Mr. Doyle
was elected to the board of directors, assum ing the seat held
by his grandfather for more than 50 years.

Mr. Doyle is Executive Vice President and board m em ber of
the United States M anagem ent Corporation, Hitchcock, and
was recently named to the Executive Board of the G overnor’s
Texas Rehabilitation Com m ission. He is a trustee and form er
foundation m em ber of the College of the M ainland in Texas
City. Mr. Doyle has been an outstanding exam ple by leading
United Fund drives in dollars raised; encouraging bank em ­
ployees to serve in a program that provides individual attention
to grade school students; providing bank financing to restore
the Historic District of G alveston; and assisting with the
G alveston County Fair and Rodeo. His interests extend be­
yond his professional life. Mr. Doyle is a driving force in the
reorganization of the Texas City Jaycees and is a founding
m em ber fo r the Krewe of Brew, which stages the feature
parade fo rth e first w eekend of Mardi Gras on G alveston Island.

In 1981, he joined the Bank of Santa Fe, Santa Fe, Texas,
as a m anagem ent trainee. He quickly advanced and w as soon
elected Assistant Vice President of the bank. In 1988, Mr. Doyle
was elected President of the Bank of Santa Fe and Bank of the
W est in G alveston County. He expanded the Bank of the W est
in 1991 with an additional banking facility on G alveston’s
Broadway. In 1992, he was elected Vice Chairm an of the Board
of Directors at the G ulf National Bank in Texas C ity and a Board
m em ber of the First State Bank of Hitchcock. The following

Mr. Doyle served as Chairm an of the Independent Living
Board fo r the City of Texas City and is on the Finance Com m it­
tee for St. M ary’s Catholic Church. For the past several years,
Mr. Doyle has been a trustee with the G ulf Coast Center of
Mental Health and Retardation and, in 1992, was honored as
“Citizen of the Year” by that group. In addition, he was named
one of the “Five O utstanding Young Texans” in 1993 and was
honored as one of the “Ten O utstanding Young Am ericans” in
1994.

Kirk M cLaughlin, a fourth-generation banker, is President
and C hief Executive O fficer of his fam ily’s Security Bank, Ralls,
which was begun in 1912 by W. E. M cLaughlin. A native of
Ralls, Mr. M cLaughlin joined the bank in 1982 and was named
President in 1989. He is Vice Chairm an of Security Bank and
South Plains Bancshares, Idalou, and McLaughlin Bancshares,
Ralls. He is also an owner and President of C aprock Insurance
Agency in Ralls.

DON R. JONES

Don R. Jones was born in the com m unity of Fairfax, Mis­
souri, in 1948. He received a B.S. and a M.B.A. from Northwest
M issouri State University, M aryville, Missouri, and has com ­
pleted numerous banking courses and curriculum . Mr. Jones
was an adjunct professor of econom ics at the University of
M issouri, Columbia, Missouri.

Mr. M cLaughlin is a form er two-term M ayor of Ralls. W hile
serving as Mayor, he w as appointed by the G overnor to chair
the Com m unity Block G rant Regional Review Com m ittee for
the Texas South Plains. He currently serves as a Trustee of the
Texas Boys Ranch in Lubbock and as a Director of the Ralls
Housing Developm ent Corporation. He is Secretary of the
Ralls Rotary Club, having previously served two term s as
President.

He was elected President and Chief Executive Officer of
T he City National Bank of Colorado City, Texas, in April 1992.
Previously, he served from 1986 as the President and Chief
Executive O fficer of Interfirst Bank, Conroe, Texas, which is
now NationsBank of Texas, N.A., Conroe. He began his bank­
ing career at Traders National Bank in 1971 as a trainee. Mr.
Jones also com pleted credit training, becoming a comm ercial
lender and manager. After receiving his M.B.A. degree, he
joined the First National Bank of St. Louis handling affiliate
participation loans. He has 21 years of banking experience.

He was born in 1958, graduated from Ralls High School in
1976, and earned a B.B.A. with honors from Texas Tech
University in accounting and finance in 1980. Following his
graduation, Mr. M cLaughlin worked in the credit and com m er­
cial loan departm ent of the First National Bank of Am arillo. He
has attended a num ber of professional schools and seminars,
including the Texas Tech School of Banking (to which he
received a scholarship) and the National Agricultural Credit
School in Am es, Iowa.

Among civic activities, Mr. Jones has served on the Boards
of Big Brothers/Big Sisters and United Way. He is currently
President-Elect of the M itchell County Cham ber of Com merce
and has been a m em ber of the Econom ic Developm ent Com­
m ittee fo r his comm unity. Mr. Jones is involved in various other
civic organizations. He is President-Elect of the Rotary Club
and has served as a Board m em ber of the M itchell County
Em powerm ent Zone-Enterprise Com m unity project.

Currently, Mr. M cLaughlin is Senior W arden of St. Paul’s
Episcopal Church, holds the office of Trustee of the Episcopal
Diocese of Northwest Texas, and is the Adm inistrator of its
Education Fund fo r Clergy Children.
He and his wife, Sara, have one daughter, Miranda.
