F ederal r eser ve Bank o f Dallas DALLAS, TEXAS 75222 Circular No. 88-64 September 28, 1988 ELECTION OF DIRECTORS REPORT OF NOMINATIONS-VOTING PROCEDURES To All M em ber Banks in the Eleventh Federal Reserve District: In accordance with the provisions of Section 4 of the Federal Reserve Act, as amended by the Federal Reserve Reform Act of 1977, and my circular dated August 16, 1988, in regard to the election of directors of this Bank to succeed Charles T. Doyle, Class A Director, and Robert Ted Enloe, III, Class B Director, whose terms expire December 31, 1988, there are given herein the names of the candidates nominated for such di rectors and the names of the banks which made the nominations. Except in the case of any member banks that are subsidiaries of the same bank holding company,* there is sent herewith to each bank in Group 1 a ballot for use in voting for a Class B Director and to each bank in Group 3 a ballot for use in voting for a Class A Director. Also enclosed are an envelope bearing on its face the certificate in regard to the vote and a colored envelope marked “Ballot—Directors’ Election,” in which the ballot is to be sealed. When several banks are subsidiaries of a bank holding company, the voting forms are being sent only to the bank designated to participate in this election; therefore, banks in Groups 1 and 3 that will not participate in this election are being sent this circular, without forms, for their information. The ballot and certificate on the envelope must be executed by an officer who has been authorized to cast the vote. A list of the designated officers, revised to date, forms a part of this circular. In order that the balloting may be secret, the name of the bank and the voting officer should not be written on the ballot but only on the certificate envelope. If the official signature of the officer casting the ballot has not been filed with this Federal Reserve Bank, such official signature should be filed before the polls close. The following procedure is required in the case of both the Class A and Class B ballots: (1) The preferential ballot should be marked. (2) It should be placed in the colored envelope marked “Ballot—Directors’ Election” and that envelope sealed. (3) Then after the certificate on the white certificate envelope is executed, the colored sealed envelope (containing the ballot) should be placed within the white certificate envelope and that envelope sealed. (4) The sealed white certificate envelope containing the sealed ballot envelope should then be returned to me in the enclosed self-addressed envelope. *Section 4 of the Federal Reserve Act, as amended, reads in part as follows: "...That whenever any member banks within the same Federal Reserve district are subsidiaries of the same bank holding company within the meaning of the Bank Holding Company Act of 1956, participation in any such nomination or election by such member banks, including such bank holding company if it is also a member bank, shall be confined to one of such banks, which may be designated for the purpose by such holding company." In this connection, the Board of Governors of the Federal Reserve System has ruled that a holding company affiliate, having one or more subsidiary banks in each of the three groups into which member banks of a Federal Reserve district are divided for the purpose of electing directors, may designate one such bank in each group to participate in the nom ination and election of each Class A Director and each Class B Director chosen by the group of which such bank is a member, and such member bank so designated may validly participate in such nomination and election. Accordingly, banks in Groups 1 and 3 affected by the foregoing provision of law are re quested to take prompt action to have the appropriate bank holding company designate, if it has not already designated, one of such banks to participate in this election. The polls will open on October 5, 1988, and close at 2 p.m. on October 20, 1988. At that time, the ballot box will be opened at this Bank, the sealed envelopes containing the ballots will be opened, the votes counted, and the results of the election announced. The candidates are invited to be present or represented on that occasion. While the banks in Group 2 will not vote in this election, this circular is sent to them, without forms, for their information. Group 2 consists of member banks with combined capital and surplus of over $2,000,000, but under $6,000,000. He was born in Houston, Texas, July 2,1931, and has lived in Fort Worth, Texas, all of his life. He attended schools in Fort Worth: graduated from Phillips Academy at Andover, Massachusetts, in June, 1949. He received his degree in June, 1953, from Cornell University at Ithaca, New York. He served as First Lieutenant in the U.S. Arm y from May, 1954, through April, 1956, as A rtille ry Battery Commander. Mr. W illiam son's entire career has been with W illiam sonDickie Manufacturing Company. During school years, summ ers were spent in various jobs in all areas of garm ent manufactur ing, sales and finance. In 1956, his full-tim e ca re e r began as a factory manager and progressed through Procedures Analyst, Controller, Adm inistrative Vice-President, Vice-President and General Manager, President and General Manager, and in 1972 was made Chairman of the Board and Chief Executive Officer, his current position. W illiam son-Dickie Manufacturing Company manufactures and sells garm ents throughout the world. On June 20, 1985, W illiam son-Dickie was honored by the Newcomen Society of the United States. Mr. W illiam son was the guest of honor and speaker. Mr. W illiam son is currently a director of the Blessings Corpo ration and serves as Chairman of the Executive Committee and Chief Executive Officer. He is also a director of the Western Company of North Am erica, an oil field servicing firm. He has served several term s on the board of Am erican Apparel Man ufacturers Association, and is a past president. He currently serves as a member of the Textile Advisory Committee for the Department of Commerce of the United States. He is a director of the Texas Research League. He serves on the Cornell Uni versity Council and is on the Advisory Board of the Cornell Business School. He also serves as a Trustee of the University of Dallas. Currently Mr. W illiam son is serving on the boards of the Fort Worth Ballet (imm ediate past-president), Van Cliburn Foundation (international piano competition), and Southwestern Exposition and Fat Stock Show. In past years he has served on the boards of many business and civic organizations. Mr. and Mrs. W illiam son (the form er Gail Potts) were m arried in 1955 and reside in Fort Worth. They have three children: K im berly W illiam son Darden and Philip Charles W illiam son of Fort Worth, and Annette W illiam son Pomeroy of Austin, Texas. T. "CHUCK" DOYLE Chairman and Chief Executive Officer Gulf National Bank Texas City, Texas Chuck Doyle was born in Mangum, Oklahoma. He graduated Mangum High School in 1952; received his Associate of Arts de gree in 1954 from Kemper M ilitary Academy in Booneville, Missouri; BA degree in Business and Economics, 1956, Univer sity of Oklahoma; MBA in Economics, 1961, University of Houston. Scholastic Honor Societies: Betta Gamma Sigma (business), Omicron Chi Epsilon (economics), and Sigma lota Epsilon (management). He has been a member of the Am erican Academy of Management since 1962. Mr. Doyle firs t entered the banking profession in 1971 as President of First State Bank in Hitchcock, Texas. Following graduation from the University of Oklahoma, he was employed by Union Carbide Corporation at Texas City for 13 years as Manager of Industrial Relations and Labor Negotiator. He served 18 years as Com missioner and M ayor Pro Tem for the City of Texas City, and was president of the Houston-Galveston Area Council of Governments. In 1972, Mr. Doyle and a group of local businessmen pur chased controlling interest in the First State Bank in Hitchcock. In 1975, he organized the Bank of the West in Galveston; in 1977, Bank of Santa Fe in Alta Loma; in 1982, Gulf National Bank in Texas City; and in 1985, Gulf Shores Bank in Crystal Beach. All of these institutions are located in Galveston County. Mr. Doyle was a member of the organizing board of Texas In dependent Bank in Dallas and has served as a member of the Executive Committee and Chairman of the Audit Committee. He was District I Chairman, Houston area, of Texas Bankers Asso ciation, and Chairm an of the Community Bank Division of the TBA, and is currently serving his second term on the TBA Board of Directors. Mr. Doyle served as President in 1986-87 of the In dependent Bankers Association of Am erica, and is currently Chairman of the Board of IBAA Bancard, Inc. He helped organ ize the Senior Bank Officers School at Baylor University, and has served as a member of the Advisory Board of Texas Tech School of Banking and the Advisory Board of the SMU Southwest Grad uate School of Banking. Mr. Doyle has served in numerous professional and civic o r ganizations, and has received recognition for his civic activities, including being named one of the Five Outstanding Young Texans in 1964. He served in the United States Army from 1956 to 1958 as a member of the 32nd Arm ored Division in Germany, and was comm issioned with the rank of Captain. He was named the Outstanding Independent Banker of the Year in 1987 by the Independent Bankers Association of Texas. Mr. Doyle is m arried and has four sons and one daughter, and four grandchildren.
