F ederal reserve bank of DALLAS, TEXAS D allas 75222 Circular No. 86-83 October 1, 1986 ELECTION OF DIRECTORS REPORT OF NOMINATIONS—VOTING PROCEDURES To All Member Banks in the Eleventh Federal Reserve District: In accordance with the provisions of Section 4 of the Federal Reserve Act, as amended by the Federal Reserve Reform Act of 1977, and my circular dated August 19,1986, in regard to the election of directors of this Bank to succeed Miles D. Wilson, Class A Director, and Kent Gilbreath, Class B Director, whose terms expire December 31,1986, there are given herein the names of the candidates nominated for such directors and the names of the banks which made the nominations. Except in the case of any member banks that are subsidiaries of the same bank holding company,* there is sent herewith to each bank in Group 2 a ballot for use in voting for a Class A Director and to each bank in Group 3 a ballot for use in voting for a Class B Director. Also enclosed are an envelope bearing on its face the certificate in regard to the vote and a colored envelope marked “Ballot— Directors’ Election,” in which the ballot is to be sealed. When several banks are subsidiaries of a bank holding company, the voting forms are being sent only to the bank designated to participate in this election; therefore, banks in Groups 2 and 3 that will not participate in this election are being sent this circular, without forms, for their information. The ballot and certificate on the envelope must be executed by an officer who has been authorized to cast the vote. A list of the designated officers, revised to date, forms a part of this circular. In order that the balloting may be secret, the name of the bank and the voting officer should not be written on the ballot but only on the certificate envelope. If the official signature of the officer casting the ballot has not been filed with this Federal Reserve Bank, such official signature should be filed before the polls close. Please follow carefully the instructions which are printed on the ballot, on the envelopes, and on page 6 of this circular. The following procedure is required in the case of both the Class A and Class B ballots: (1) The preferential ballot should be marked. (2) It should be placed in the colored envelope marked “ Ballot— Directors’ Election” and that envelope sealed. (3) Then after the certificate on the white certificate envelope is executed, the colored sealed envelope (containing the ballot) should be placed within the white certificate envelope and that envelope sealed. (4) The sealed white certificate envelope containing the sealed ballot envelope should then be re turned to me in the enclosed self-addressed envelope. ‘ Section 4 of the Federal Reserve Act, as amended, reads in part as follows: “ ...That whenever any member banks within the same Federal Reserve district are subsidiaries of the same bank holding company within them eaning of the Bank Holding Company Act of 1956, participation in any such nomination or election by such member banks, including such bank holding company if it is also a member bank, shall be confined to one of such banks, which may be designated for the purpose by such holding company.” In this connection, the Board of Governors of the Federal Reserve System has ruled that a holding company affiliate, having one or more subsidiary banks in each of the three groups into which member banks of a Federal Reserve district are divided for the purpose of electing directors, may designate one such bank in each group to participate in the nomination and election of each Class A Director and each Class B Director chosen by the group of which such bank is a member, and such member bank so designated may validly participate in such nomination and election. Accordingly, banks in Groups 2 and 3 affected by the foregoing provision of law are requested to take prompt action to have the ap propriate bank holding company designate, if it has not already designated, one of such banks to participate in this election. Under the law, the ballot must be returned so as to reach me within 15 days after its receipt. The polls will open on October 8,1986, and close at 2 p.m. on October 23,1986. At that time, the ballot box will be opened at this Bank, the sealed envelopes containing the ballots will be opened, the votes counted, and the results of the election announced. The candidates are invited to be present or represented on that occasion. Greer was born in Galveston, Texas. He re ceived his BBA degree in Banking and Finance from the University of Texas at Austin, where he was also a member of the Texas Cowboys. (In 1979, he was named a Distinguished Alumnus of the University of Texas College of Business Administration.) Mr. Greer began his banking career in 1955 where he served as a State Bank examiner for four years, including a year as Senior Examiner in charge of the Amarillo District. In 1959, Mr. Greer was Vice President of the South Main Bank in Houston, where he served for two years. From January 1961-November 1962, he served as Executive Vice President at Heights State Bank, Houston. In November 1962, he rejoined South Main Bank, Houston as President and served until November 1969. In July 1969, Mr. Greer joined Cullen Center Bank and Trust, Houston, as the founding President. He later served as Chairman and finally as Senior Chairman of the Board of Cullen Bank and as Vice Chairman of the Board of Cullen/Frost Bankers, Inc. Mr. Greer is currently Chairman of the Board of Tanglewood Bank, Houston. He also serves as Chairman of the Board of Texas National Bank, Austin; Vice Chairman of the Board of Oak Hill National Bank, Austin; and Consultant to West Houston National Bank, Houston. In addition, he served as past Chairman of the Young Presidents’ Organization-International (Houston Chapter); and as past Director of the worldwide Young Presidents’ Organization; past President, Texas Bankers Association (1981-1982); past President, University of Texas Ex-Student’s Association-Houston Chapter; past member of the American Bankers Association Council and Government Relations Council Administrative Committee. Mr. Greer is presently involved as a member of the Steering Committee of Brookwood; member of the University of Texas College of Business Administration Foundation Advisory Council; Director of the Texas Medical Center, Inc.; and Presi dent of the Development Board of the University of Texas Health Science Center, Houston. He also serves as Director of Jefferson-Pilot Corporation and of Jefferson Standard Life In surance Company, Greensboro, North Carolina. Mr. Greer is married and has two sons and two daughters. BARRY N. JEFFREY Chairman First Liberty National Bank Liberty, Texas Mr. Barry N. Jeffrey was born in Austin, Texas. He graduated from Rice University in 1958 with a B.A. in mechanical engineering and received an M.B.A. from Harvard University in 1960. After graduation from Harvard, he served for a year as an officer in the U.S. Coast Guard stationed in Boston, Massachusetts. From 1961 to 1963, he was employed in New York City as an investment analyst for A.S. & R.D. Gittlin, private investors. In 1963, he returned to Liberty to manage his family in terests in the Liberty area. He continues to function in that capacity; his family interests includes cattle ranching, rice and soybean farming, real estate development and oil and gas investments. Jeffrey purchased working control of First Liber ty National Bank and was elected Chairman of the Board in 1973. He has taken an active part in bank management from 1973 to the present. Jeffrey also serves as President of American Rice, Inc., a rice milling and marketing cooperative operating in Texas, Louisiana and Mississippi. He is a Trustee and past president of the Texas Rice Research Foundation, a producer organiza tion supporting rice production research. Jeffrey is Chairman of the Five-State Rice Producers Group. He is also a director and officer of Boyt Realty, a company developing real estate in Galveston County. Mr. Jeffrey has served in numerous community activities. These include serving as Chairman of the Liberty County Cen tral Appraisal District, President of the Liberty ISD Board of Trustees, and Director of the Society of Performing ArtsHouston, Texas. He was educated at Southern Methodist University and received a degree in economics in June of 1965. While at Southern Methodist University, he was designated a University Scholar, served on the Student Senate, received the Outstanding Business Student Award and was President of his fraternity, Phi Delta Theta. He now serves as Chairman of the Board, President and Chief Executive Officer of Hunt Oil Company, Chairman of the Board of Hunt Investment Corporation and Chairman of the Board of Woodbine Development Corporation. Additionally, Mr. Hunt serves as Chairman of the Board of Southwest Media Corporation whose current publishing pro perties include D magazine, Texas Homes magazine and Houston City Magazine. He also serves as a member of the Board of Directors of InterFirst Bank Dallas, Dresser In dustries, Lone Star Steel, and C hili’s. His current involvement in civic affairs includes service as Chairman of the Dallas Citizens Council and membership on the Board of Governors and Board of Trustees at Southern Methodist University. He formerly served as Chairman of the Dallas Central Business District Association in 1978 and as Chairman of the North Texas Commission in 1979 and 1980. Mr. Hunt also served as President of the Domestic Petroleum Council in Washington, D.C. in 1980 and 1981. Mr. Hunt is a past President of the Southern Methodist University Alumni Association and served for three years as a director of the Dallas Chamber of Commerce and for 10 years as a Trustee of the Dallas Museum of Art. In 1982, Mr. Hunt became a member of the Board of Directors of the American Petroleum Institute and in 1985 became a member of the National Petroleum Council. He also currently serves as a member of the Advisory Board of the Center for Strategic and International Studies at Georgetown University in Washington, D.C. Mr. Hunt also served as President of the Dallas Petroleum Club in 1975. In 1977, he was given Southern Methodist Univer sity’s Distinguished Alumnus Award. He was named Outstand ing Young Man of Dallas in 1978 by the Dallas Jaycees and one of the Five Outstanding Young Texans for 1978 by the Texas Jaycees. The Dallas Press Club named him “ Headliner of the Year” in 1979. He is a former President of the Phi Delta Alumni Association of Dallas and was named National Alumnus of the Year in 1973 by Phi Delta Theta National Fraternity. He is married and has five children. GARY E. WOOD Finance Professor and Director of Governmental Relations Baylor University Waco, Texas Dr. Gary E. Wood was reared in Rule and Munday, Texas. Dr. Wood attended Texas Tech University for two years, followed by two years at Baylor University where he graduated Magna Cum Laude with a major in Economics and Finance. During his college years, Dr. Wood worked summers at the First National Bank in Munday. Dr. Wood subsequently earned a Masters Degree in Economics at the University of Florida in 1967. His schooling was then interrupted by service in the United States Air Force, where he was a Distinguished Graduate of Officer Training School. Following this service, Dr. Wood worked for three years for the Southwest National Bank (now First City Bank) of El Paso. He then enrolled in the University of Texas at Austin, earning a Ph.D. degree in Finance with a concentration in Banking. Upon completion of the Ph.D. degree, Dr. Wood joined the staff of the University of Texas at San Antonio (UTSA) where he taught banking, money and banking, and corporate finance. During his three years in San Antonio, Dr. Wood attended the Southwestern Graduate School of Banking at Southern Methodist University, graduating in Class 20. During this period he also co-authored an American Institute of Banking textbook entitled, “ Introduction to Commercial Lending.” He left San Antonio in 1979 to join the faculty at Baylor University. At Baylor, Dr. Wood again taught courses in banking, finance, and economics. After completing one year at Baylor, he was asked to join the Washington staff of Senator John Tower. He began his service as Staff Economist on the Senator’s personal staff, and later served as Chief Economist for the Republican Policy Committee of the United States Senate. C om m u nity N ational Bank NOTE—A list of the banks in Group 3, showing the officers authorized to cast the vote of each bank, is given on pages 15 through 27 of this circular. 5 IMPORTANT For your information, there is quoted below an extract from Section 4 of the Federal Reserve Act which sets forth the method of balloting: “Within fifteen days after receipt of the list of candidates the duly authorized officer of a member bank shall certify to the chairman his first, second, and other choices for director of Class A or Class B, respec tively, upon a preferential ballot upon a form furnished by the chairman of the board of directors of the Federal Reserve Bank of the district. Each such officer shall make a cross opposite the name of the first, second, and other choices for a director of Class A and for a director of Class B, but shall not vote more than one choice for any one candidate.” In the case of the Class A ballots (Group 2), where there are two candidates involved, a member bank, in making its first choice, will be deemed to have indicated the other candidate as its second choice. In the case of the Class B ballots (Group 3), where there are two candidates involved, a member bank, in making its first choice, will be deemed to have indicated the other candidate as its second choice. GROUP 2 C onsists of all m em ber banks having capital and surplus of over $2,000,000, but under $6,000,000. Banks in this group elect one Class A Director.
