ELECTION OF DIRECTORS
REPORT OF NOMINATIONS — VOTING PROCEDURES

To All M em b er Banks
in th e Eleventh Federal Reserve District:

In accordance with the provisions of Section 4 of the Federal Reserve Act and my circular dated September 7,
1971, in regard to the election of directors of this Bank to succeed Mr. A. W. Riter, Jr., Class A Director, and
Mr. Hugh F. Steen, Class B Director, whose terms expire December 31, 1971, there are given herein the names
of the candidates nominated for such directors and the names of the banks which made the nominations.
There is sent herewith to each bank in Group 2 a ballot for use in voting for a Class A Director and to each
bank in Group 3 a ballot for use in voting for a Class B Director. An envelope bearing on its face the certificate
in regard to the vote and a colored envelope marked “ Ballot— Directors’ Election,” in which the ballot is to be
sealed, are also enclosed.
The ballot and certificate on the envelope must be executed by an officer who has been authorized to cast
the vote. A list of the designated officers, revised to date, forms a part of this circular. In order that the balloting
may be secret, the name of the bank and of the voting officer should not be written on the ballot but only on the
certificate envelope. If the official signature of the officer casting the ballot has not been filed with this Federal
Reserve Bank, such official signature should be filed before the polls close.
Please follow carefully the instructions w hich a r e printed on th e ballot, on th e env elo p e s, a n d on
p a g e 2 of this circular.
The follow ing procedure is required in th e c ase of both th e Class A a n d Class B ballots:
(1) The preferential ballo t should b e m arked.
(2) It should then be placed in the colored env e lo p e m ark ed “ Ballot — Directors’ Election” a n d th a t
e n v e lo p e se a le d .
(3) Then a fte r th e certificate on the w hite certificate e n v e lo p e is execu ted, the colored se a le d
env elo p e (containing the ballot) should b e p lac e d within the w hite certificate e n v elo p e a n d th a t
e n v e lo p e se a le d .
(4) The s e a le d w hite certificate env e lo p e containing th e s e a le d ballot e n v e lo p e should then b e
returned to me in the enclosed se lf-a d d re s s e d en v elo p e.
Under the law, the ballot must be returned so as to reach me within 15 days after its receipt. The polls will
o p e n on O ctober 19, 1971 a n d close a t 2 p.m. on N ovem ber 3, 1971. At that time the ballot box will be
opened a t this Bank, the sealed envelopes containing the ballots will be opened, the votes counted, and the results
of the election announced. The candidates are invited to be present or represented on that occasion.
While th e b a n k s in G roup 1 will not vote in this election, this circular is se n t to them , w ithout forms,
for their inform ation. Group 1 consists of member banks with combined capital and surplus of $4,000,000
and over.

For your information, there is quoted below an extract from Section 4 of the Federal Reserve Act which sets forth
the method of balloting:
“ W ithin fifteen d a y s afte r receipt of th e list of c a n d id a te s th e duly au th o rize d officer of a m em ber
b a n k shall certify to th e ch airm an his first, second, a n d oth e r choices for director of Class A or Class B,
respectively, upon a preferential ballot upon a form furnished by the chairm an of th e b o a rd of direc­
tors of th e Federal Reserve Bank of th e district. Each such officer shall m ak e a cross opp o site the n a m e
of the first, second, a n d other choices for a director of Class A a n d for a director of Class B, but shall
not vote m ore th a n one choice for a n y o n e c a n d id a te .”
In the case of the Class B ballots (Group 3), where there are three candidates involved, a member bank, in making
its first and second choices, will be deemed to have indicated the other candidate as its third choice.

as a member of the Comptroller of the Currency’s Re­
gional Advisory Committee on Banking Policies and
Practices during 1968-1969. He was elected to serve as
a Class A Director of the Federal Reserve Bank of Dallas
for the 1969-1971 term.

Mr. Riter is an Elder in the First Presbyterian Church of
Tyler and has been active in all phases of church work.
He is a past Chairman of the Committee on Stewardship
for the Presbytery of Northeast Texas.

Mr. Riter was born in Forney, Texas, on March 7,
1924. He was graduated from San Marcos Baptist
Academy and New Mexico Military Institute. He attended
the University of New Mexico, received his B.B.A. degree
from The University of Texas, and attended Harvard
Graduate School of Business Administration. During
World W ar II he served in the South Pacific as a Naval
Supply Officer and was discharged in July of 1946.

He is married and has two children.

National Bank of Tyler on January 15, 1948, and was
associated with that institution for 16 years. On Decem­
ber 1, 1963, he joined The Peoples National Bank of

Mr. Riter has been quite active in civic affairs and in
1958 was the recipient of the W. C. Windsor Award as
Tyler’s Most Outstanding Young Man of the Year. He is
past President of several civic organizations, including
the East Texas Hospital Foundation in 1967, the Texas
Rose Festival Association in 1968, and the Tyler Chamber
of Commerce in 1969. He received the T. B. Butler
Award as Tyler’s Most Outstanding Citizen for the year
1968.

Mr. Riter is an active member of the Robert Morris
Associates and served as President of the Texas Chapter
in 1960. On the national level of RMA, he served as a
member of the National Advisory Committee and as a
member of the Bulletin Committee.
He has been a member of the Administrative Council
of the Texas Bankers Association, served as Treasurer of
that organization in 1967-1968, and in 1966 was Chair­
man of the Texas Bankers Conference. Currently he is
serving as Chairman of the Educational Committee of the
Texas Bankers Association.
In May of 1968 he was appointed to the Executive
Council of the American Bankers Association and served

A native of the Lone Star State, Mr. Mason was born
in Donie in November 1909. He joined Texas Gulf Sulphur
Company in April 1928 at its first sulphur mine near
Matagorda, Texas, and has spent his entire career with
that company. His early career was spent in accounting
work before moving to the post of Coordinator of Foreign
Exploration in 1952. In this position Mr. Mason traveled
in the Middle East prior to being named Executive Vice
President of Texas Gulf’s wholly-owned Mexican affiliate,
Compania Exploradora Del Istmo, with headquarters in
Mexico City. He remained there for nine years and, when
sulphur production was suspended in 1961, moved to
Houston as Executive Assistant to the Senior Vice President.

KENNETH ALLEN SPARKS

K. A. Sparks Contractor, Inc.
Hamilton, Texas
Mr. Sparks was born in Hamilton County, Texas, on
May 23, 1926. He was graduated from Evant High School,
Evant, Texas, in 1943.
Mr. Sparks served in the U. S. Army from 1943 to
1946.

Two years later he was named Assistant General Man­
ager of the company’s Sulphur Division and named
General Manager in 1965. He was elected Vice President
of the Division in July 1968.

After Mr. Sparks' discharge from military service, he
worked for his father, who was a contractor, and even­
tually became a partner in the business. Mr. Sparks became
an independent contractor in 1950, building basically
residential designs. In 1961, he formed a partnership and
entered the commercial construction field. This partnership
later grew into three companies, K. A. Sparks Contractor,
inc., Three D Corporation (Equipment Leasing), and K. A.
Sparks, Individual (Real Estate), which companies Mr.
Sparks now owns.

During World W ar II, Mr. Mason was In the Army from
1942 until late 1945, with 21 months in the European
Theatre as a Finance Officer.
Mr. Mason studied at Louisiana State University and
has had extensive training in administration and employee
relations.
He is member of the Board of Governors, Western
Division, of the American Mining Congress; a member of
the Foundation Board of Wharton County Junior College;
a director of the South Texas Chamber of Commerce;
and a member of the American Institute of Mining, Metal­
lurgical and Petroleum Engineers. In addition, he has
served in many positions in various professional and civic
groups during his career.

He became a member of the Waco Chapter of the As­
sociated General Contractors, and served as Vice Pres­
ident in 1967, President in 1968, Chairman of the Mem­
bership Committee in 1969, a member of the Education
and Safety Committe in 1970, and is presently serving
on that committee.
Mr. Sparks is a Methodist, a member of the Hamilton
Chamber of Commerce, and a member of the Perry Coun­
try Club.

Mr. Mason is a Methodist and a 32nd degree Mason.
He is married and has two sons.

a former member of the Advisory Council for The Univer­
sity of Texas a t El Paso. He is a former Chairman of the
El Paso Metropolitan National Alliance of Businessmen, a
joint government-industry effort to stimulate hiring of
hard-core unemployed and needy youths.

In 1945, Mr. Sparks married Jean Moore of Evant.
They have two sons and one daughter.

Mr. Steen was born in Eula, Texas, and attended high
school in Clyde, Texas. He joined El Paso Natural Gas
Company in 1929 and, except for a leave of absence to
attend Louisiana State University, has been with the firm
since that time. He was appointed Field Superintendent
in 1939, and in 1944 was named Assistant General Super­
intendent of the company's entire system. He became
Vice President and General Superintendent in 1953 and
was elected a director and Vice President and M anager
of Pipeline Operations in 1957. He was elected President
of El Paso Natural Gas Company in January 1965.

sidiary of El Paso Natural Gas Company, and Farah
Manufacturing Company, Inc. (men’s slacks).
Mr. Steen is extremely active in natural gas industry
affairs. He is currently President of the Pacific CoasS Gas
Association, a director of the Texas Manufacturers Asso­
ciation, a member of the American Gas Association’s
Government Affairs Committee, a member of the Advisory
Council of the Southern Gas Association, and a trustee for
the Institute of Gas Technology. He is a past Chairman of
the Transmission Section of the American Gas Association,
a former President and a former director of the Southern
Gas Association, a former member of the Emergency Ad­
visory Committee for Natural Gas of the U. S. Department
of the Interior, and a former member of the National
Petroleum Council's Pipeline Committee.
Mr. Steen has been involved in nearly every major
fund-raising and civic activity in El Paso in recent years.
In addition, he is presently serving as a member of the
Executive Board for the Yucca Council, Boy Scou's of
America. He is a past President of Rotary, a past Chair­
man and director of Junior Achievement of El Paso, and
