ELECTION OF DIRECTORS
REPORT OF N O M IN A T IO N S — V O T IN G PROCEDURES

To All Member Banks
in the Eleventh Federal Reserve District:
In accordance with the provisions of Section 4 of the Federal Reserve Act and my circular dated August 31,
1976, in regard to the election of directors of this Bank to succeed Gene D. Adams, Class A Director, and
Stewart Orton, Class B Director, whose terms expire December 31, 1976, there are given herein the names of the
candidates nominated for such directors and the names of the banks which made the nominations.
There issent herewith toeach bank inGroup 1 a ballotforuse invoting fora Class B Director and toeach bank
in Group 3 a ballot for use in voting for a Class A Director. An envelope bearing on its face the certificate in
regard to the vote and a colored envelope marked "Ballot— Directors’Election,” in which the ballot is to be
sealed, are also enclosed.
The ballot and certificate on the envelope must be executed by an officer who has been authorized to cast
the vote. A list of the designated officers, revised to date, forms a part of this circular. In order that the
balloting may be secret, the name of the bank and of the voting officer should not be written on the ballot but
only on the certificate envelope. Ifthe officialsignature of the officer casting the ballot has not been filedwith this
Federal Reserve Bank, such officialsignature should be filed before the pollsclose.
Please follow carefully the instructions which are printed on the ballot, on the envelopes, and on
page 2 of this circular.
The following procedure isrequired in the case of both the Class A and Class B ballots:
(1) The preferential ballot should be marked.
(2) It should then be placed in the colored envelope marked “Ballot — Directors’ Election” and
that envelope sealed.
(3) Then after the certificate on the white certificate envelope is executed, the colored sealed
envelope (containing the ballot) should be placed within the white certificate envelope and that
envelope sealed.
(4) The sealed white certificate envelope containing the sealed ballot envelope should then be
returned to me in the enclosed self-addressed envelope.
Under the law, the ballot must be returned so as to reach me within 15 days after itsreceipt. The polls will
open on October 13, 1976 and close at 2 p.m. on October 28, 1976. At that time the ballot box will be opened
at this Bank, the sealed envelopes containing the ballots will be opened, the votes counted, and the results of the
election announced. The candidates are invited to be present or represented on that occasion.
While the banks in Group 2 will not vote inthis election, this circular issent to them, without forms, for
their information. Group 2 consists of member banks with combined capital and surplus of $1,000,000 and
over, but under $6,000,000.

For your information, there isquoted below an extract from Section 4 of the Federal Reserve Act which sets forth
the method of balloting:
“ Within fifteen d a y s a f te r receipt of the list of c a n d id a te s th e duly a u th o riz e d officer of a m e m b e r
b a n k shall certify to the c h a irm a n his first, seco nd, a n d o th e r choices for director of Class A or Class B,
respectively, upon a preferential b allot upon a form furnished by th e c h airm an of the b o a r d of direc­
tors of th e Federal Reserve Bank of the district. Each such officer shall m a k e a cross o pp o site th e n a m e
of th e first, seco nd , a n d o ther choices for a director of Class A a n d for a director of Class B, b u t shall
not v o te m ore th a n o n e choice for a n y one c a n d id a t e .”

In the case of the Class A ballots (Group 3}, where there are three candidates involved, a member bank, in making
itsfirstand second choices,willbe deemed to have indicated the other candidate as itsthirdchoice.
Foryour furtherinformation, Section 4 ofthe Federal ReserveAct, as amended, reads in partas follows:
. . That w h e n e v e r a n y m e m b e r b a n k s within th e s a m e Federal Reserve district a r e subsid iaries of
th e s a m e b a n k holding c o m p a n y within th e m e a n in g of the Bank Holding C o m p a n y Act of 1956,
participation in a n y such n om in ation or election b y such m e m b e r b a n k s , including such b a n k h o ld ­
ing c o m p a n y if it is also a m e m b e r b a n k , shall b e confined to on e of such b a n k s , which m a y b e
d e s ig n a te d for the pu rp o se by such holding c o m p a n y .”

In this connection, the Board of Governors of the Federal Reserve System has ruled that a holding company affiliate,
having one or more subsidiary banks in each of the three groups intowhich member banks of a Federal Reserve district
are divided for the purpose of electing directors, may designate one such bank in each group to participate in the
nomination and election of each Class A Director and each Class B Director chosen by the group of which such bank is
a member, and such member bank so designated may validly participate in such nomination and election. Accordingly,

the University of Houston Excellence Campaign. Mr.
Orton was Campaign Chairman of the 1968-69 United
Fund, Presidentofthe United Fund in 1969-70, and Chair­
man of the Board of Trustees of that organization in
1970-71.
Mr. and Mrs. Orton reside in Houston, Texas, and have
two children— Judy, who ismarried and livesinHouston,
and John, a practicing attorneyinHouston.

Mr. Orton was born in Cincinnati, Ohio, on Novem­
ber 19, 1915.
Mr. Orton isa long-time Federated executive. Following
graduation from the University of Michigan, he joined
Shillito's, Federated’s Cincinnati store, where he rose to
Vice President and General Merchandise Manager. He
later served as Executive Vice President of the Boston
Store inMilwaukee, Wisconsin. Following a special assign­
ment in Federated's home office in Cincinnati, he was
named Vice Presidentand General Merchandise Manager
of Foley’sin March of 1964. Mr. Orton became Executive
Vice President of Foley's in February 1965 and President
inFebruary 1967.
During World War II,Mr. Orton served with the United
States Army from 1942 to 1946, part of which time he
served as an officerintheEuropean Theater ofOperations.
Mr. Orton is a member of the Board of Directors of
the Better Business Bureau of Houston and the Texas
Research League; a Trustee of the Museum of Fine Arts;
and a member of the Board of Directors and Executive
Committee of the Houston Chamber of Commerce. He is
a Trustee of the University of Houston Foundation, serves
on the Advisory Committee of the University of Houston’s

Mr. Adams was born in Brownwood, Texas, August 6,
1933. He attended the Eastland Public Schools through
the fourth grade and completed his public school educa­
tion in Monahans, Texas, where he graduated in 1950.
After attending Odessa Junior College for one year, he
received his B.B.A. degree in management from HardinSimmons University in Abilene in 1954. Later he returned
to H.S.U. on a part-time basis, and received his M.A.
degree in banking and economics in 1962. During the
Korean conflicthe served inthe Signal Corps of the Army
of the United States from 1954 to 1956, receiving an
honorable discharge with the rank of Specialist 3rd Class.

He began his banking career in 1954 with the F & M
National Bank, Abilene, Texas, which is now The First
National Bank, as a proofoperator. In 1958, he was pro­
moted to Assistant Cashier and later to Auditor. In 1960,
he became Cashier of the Chelmont State Bank inElPaso,
which is now the Bank of El Paso. Mr. Adams assumed
the position of Vice President and Cashier of the Lamesa
National Bank in Lamesa, Texas, in 1961, and in 1964
he moved to Plainview to become Vice President and
Cashier ofThe FirstNational Bank. He has been President
and Chief Executive Officer of The First National Bank of
Seymourforthe past 12 years.

Mr. Adams has been active in civicaffairsfora number
of years. Currently he is a member of the Chamber of
Commerce, the Board of Development of Hardin-Simmons
University, the Masonic Lodge, past President of the Sey­
mour Industrial Foundation, Inc., and the Industrial Com­
mittee of the West Texas Chamber of Commerce. He has
served on the Comptroller of the Currency's Advisory
Board for the Eleventh National Bank Region which con­
sistsofTexas and Oklahoma.

In 1968, Mr. Adams was selected for inclusion in
“Who's Who in Texas," and in 1972 was honored in
“PersonalitiesoftheSouth."
Mr. Adams ismarried to the former Irma Howington of
FortWorth, Texas. They have two children— Darrell, age
20, who is married and resides in Vernon, Texas, and
Jayne, age 16.
He and his family are members of The First Baptist
Church in Seymour, where Mr. Adams serves as Deacon.

Mr. Joseph was born m Houston, Texas, on August 5,
1926. He graduated from Texas A&M University in 1948.
He attended Baylor University Law School and was ad­
mitted totheStateBarofTexas in 1953.
During World War II,Mr. Joseph served for two years
intheUnited StatesNavy.
Mr. Joseph is Chairman of the Board of First National
Bank of Hamilton, which position he has held for approxi­
mately four and one-half years. He is also Chairman of
the Board of Western National Bank, Austin, Texas,
a bank that was organized inApril of 1976. In addition
to serving as Chairman of the Board of Tomanet Corpo­
ration, Round Rock, Texas, and President and Chairman
of the Board of Tomanet Charitable Foundation, Mr.
Joseph is a director of Midwest Steel Company of
Hurst, Texas, and isowner and operator of the Tomanet
Ranch, a 5,500-acre ranch west of Hamilton.
Prior to coming to the First National Bank of Hamilton,
Mr. Joseph served as Chairman of the Board of the Buckholts State Bank, Buckholts, Texas, Lott State Bank, Lott,
Texas, Citizens State Bank, Georgetown, Texas, The First
State Bank of Jarrell, Texas, First National Bank of Normangee, Texas, Union State Bank of Florence, Texas,
First State Bank of Dime Box, Texas, Iredell State Bank,
Iredell, Texas, and Cove State Bank, Copperas Cove,
Texas; and President of the Texas State Bank of Austin,
Texas, and Farmers State Bank of Round Rock, Texas.
Mr. Joseph helped to organize and served as a director
of the Oak Forest State Bank in Houston, San Jacinto
Savings and Loan Association of Houston, and Bellmead
State Bank ofWaco.
Mr. Joseph has been active in civicaffairsfora number
ofyears. He iscurrentlyserving on the Board of the Doug­
las MacArthur Academy of Freedom of Howard Payne
College in Brownwood, on the Board of Trustees of the
BillGlass Evangelistic Association, and as a District Direc­
tor of the Hamilton/Coryell Soil and Water Conservation
District. He isa member of the Calvary Baptist Church of
Hamilton and Chairman of the Board of Deacons of that
church, and is a member of the Executive Board of the
Texas BaptistMen.
Formerly Mr. Joseph served three terms as the Repre­
sentative for District 53 of the Texas Legislature, House
of Representatives, representing Waco and McClennan
Counties; as Chairman of the Advisory Council of the
Southwestern Baptist Theological Seminary in Fort Worth,
the Regional Manpower Planning Advisory Council of
the Central Texas Council of Governments, and the Ham­
ilton County Council of Governments Manpower Planning
Committee; and as a member of the Executive Board and
the Public Relations Committee of the Baptist General

LUTHER MAY, JR.

Olney, Texas
Mr. May was born in Somerville, Texas (Burleson
County), on August 20, 1928. He attended Brooksmith
High School in Brown County and received a certificateIn
accounting and bookkeeping from Brownwood College.
Mr. May began his military service in April 1945 and
was released into the Reserves in February 1947. In Jan­
uary 1952, he was recalled into military service by the
United States Air Force, serving in both Korea and Oki­
nawa. He was released from active duty in December
1955.
Active in banking, farming, ranching, and the oil in­
dustry, Mr. May began his banking career with the
Citizens National Bank at Brownwood, Texas, in May
1947, where he served as bookkeeper. InDecember 1949,
he moved to San Angelo, Texas, where he was in charge
of operations for The Central National Bank of San
Angelo. After returning from militaryservice at the end of
1955, Mr. May joined The FirstNational Bank of Midland,
Texas. Then on May 1, 1966, as a member of the pur­
chasing group of The First National Bank of Olney, he
became President of that bank, the position which he has
held since that time.
Active in civic affairs, Mr. May ispast President of the
Olney Chamber of Commerce, past director of the Board
of Industry and Commerce, past Regent of Midwestern
University in Wichita Falls, a past member of the Board
of Governors of the First United Methodist Church in
Olney, and has served on both the Small Town Task Force
and the Rural Economic Development Committee of the
Governor's Office ofthe State ofTexas.
