ELECTION OF DIRECTORS
REPORT OF NOMINATIONS—VOTING PROCEDURES

To All Member Banks
in the Eleventh Federal Reserve District:
In accordance with the provisions of Section 4 of the Federal Reserve Act, as amended by the Federal
Reserve Reform Act of 1977, and my circular dated August 16,1983, in regard to the election of directors of
this Bank to succeed Miles D. Wilson, Class A Director, and Kent Gilbreath, Class B Director, whose terms
expire December 31,1983, there are given herein the names of the candidates nominated for such directors
and the names of the banks which made the nominations.
Except in the case of any member banks that are subsidiaries of the same bank holding company,*
there is sent herewith to each bank in Group 2 a ballot for use in voting for a Class A Director and to each
bank in Group 3 a ballot for use in voting for a Class B Director. Also enclosed are an envelope bearing on
its face the certificate in regard to the vote and a colored envelope marked “ B a llo t— Directors’ Election,”
in which the ballot is to be sealed. When several banks are subsidiaries of a bank holding company, the
voting forms are being sent only to the bank designated to participate in this election; therefore, banks in
Groups 2 and 3 that will not participate in this election are being sent this circular, w ithout forms, for their
information.
The ballot and certificate on the envelope must be executed by an officer who has been authorized to
cast the vote. A list of the designated officers, revised to date, forms a part of this circular. In order that the
balloting may be secret, the name of the bank and the voting officer should not be written on the ballot but
only on the certificate envelope. If the official signature of the officer casting the ballot has not been filed
with this Federal Reserve Bank, such official signature should be filed before the polls close.
Please follow carefully the instructions which are printed on the ballot, on the envelopes, and on
page 3 of this circular.
The following procedure is required in the case of both the Class A and Class B ballots:
(1) The preferential ballot should be marked.
(2) It should be placed in the colored envelope marked “Ballot— Directors’ Election” and that
envelope sealed.

(3) Then after the certificate on the white certificate envelope is executed, the colored sealed
envelope (containing the ballot) should be placed within the white certificate envelope and that
envelope sealed.
(4) The sealed white certificate envelope containing the sealed ballot envelope should then be re­
turned to me in the enclosed self-addressed envelope.
‘ Section 4 of the Federal Reserve Act, as amended, reads in part as follows:
“ ...That whenever any member banks w ithin the same Federal Reserve district are subsid iarie s of the same
bank holding company within the meaning of the Bank Holding Company A ct of 1956, participation in any
such nom ination or election by such member banks, includin g such bank holding company if it is also a
member bank, shall be confined to one of such banks, which may be designated for the purpose by such
holding com pany.”
In this connection, the Board of Governors of the Federal Reserve System has ruled that a holding company affiliate,
having one or more subsidiary banks in each of the three groups into which member banks of a Federal Reserve district
are divided for the purpose of electing directors, may designate one such bank in each group to participate in the
nomination and election of each Class A Director and each Class B Director chosen by the group of which such bank is
a member, and such member bank so designated may validly participate in such nomination and election. Accordingly,
banks in Groups 2 and 3 affected by the foregoing provision of law are requested to take prompt action to have the ap­
propriate bank holding company designate, if it has not already designated, one of such banks to participate in this
election.

Under the law, the ballot must be returned so as to reach me within 15 days after its receipt. The polls
will open on October 5, 1983, and close at 2 p.m. on October 20, 1983. At that time, the ballot box will be
opened at this Bank, the sealed envelopes containing the ballots will be opened, the votes counted, and
the results of the election announced. The candidates are invited to be present or represented on that
occasion.
While the banks in Group 1 will not vote in this election, this circular is sent to them, without forms, for
their information. Group 1 consists of member banks with combined capital and surplus of $4,000,000 and
over.

IMPORTANT
For your information, there is quoted below an extract from Section 4 of the Federal Reserve Act which sets forth
the method of balloting:
“Within fifteen days after receipt of the list of candidates the duly authorized officer of a member bank
shall certify to the chairman his first, second, and other choices for director of Class A or Class B, respec­
tively, upon a preferential ballot upon a form furnished by the chairman of the board of directors of the
Federal Reserve Bank of the district. Each such officer shall make a cross opposite the name of the first,
second, and other choices for a director of Class A and for a director of Class B, but shall not vote more
than one choice for any one candidate.”
In the case of the Class A ballots (Group 2), where there are two candidates involved, a member bank, in making its
first choice, will be deemed to have indicated the other candidate as its second choice.

RAYMOND F. BARKER

Mr. Barker is married and has two grown daughters. He is a
member of the First Methodist Church in Kerrville.
Nominated by the Follow ing Bank in Group 2:
TEXAS

A native of San Saba, he graduated from San Saba High
School, attended Tarleton State College in Stephenville, and
continued his education in Lubbock. Barker graduated from
Texas Tech University, earning his degree in finance. He
entered the banking profession with the American State Bank
in Lubbock in 1951. Barker worked in all phases of business
development, operations, and lending, and was Executive Vice
President when he resigned to accept the position of Presi­
dent, Chief Executive Officer, and Director of the First State
Bank of Shallowater in 1969. Barker remained with Shallowater
Bank ten years, resigning to accept the responsibilities of
Chairman of the Board, President, and Chief Executive Officer
of the Charles Schreiner Bank, Kerrville, on September 1,1971.
Mr. Barker also serves in a single executive post in six
banks. These include First National Bank, Boerne; First State
Bank, Bandera; First State Bank, Ingram; Southwest National
Bank, Austin; Lorenzo State Bank, Lorenzo; Shadow Hills
National Bank, Lubbock; and a bank holding company
organization, Schreiner Bancshares, Inc., Kerrville.
He has been active in civic and public affairs, having served
as Chairman of District 2 of the Texas Bankers Associatio n,
two-term director of West Texas Chamber of Commerce, and is
a life member of Lubbock Chamber of Commerce. He has also
served on numerable Hill Country projects such as the Kerr
County Chamber of Commerce, Chairman of the United Way
Campaign, Chairman of the Schreiner College Fund, and
Associate Director of the Sid Peterson Memorial Fund.

MILES D. WILSON

Mr. Wilson was born in Denison, Texas, in 1933. He
graduated from Denison High School in 1950 and received a
B.B.A. degree from The University of Texas at Austin in 1954.
After serving two years of active duty with the U.S. Air Force,
Mr. W ilson became a National Bank Examiner and served as
an Assistant Examiner for four years and as a Head Examiner
for three years.
In 1964, he was elected President of The First National Bank
of Bellville; in 1979, he was elected Chairman of the Board. Mr.
Wilson is also Chairman of the Board and Chief Executive Of­
ficer of Community Bancorporation, Inc., Bellville, Texas. He is
a graduate of the Southwestern Graduate School of Banking
at Southern Methodist University, Senior Bank Officers School
at Harvard University, Bank Investment School at Southern
Methodist University, and Chief Executive Officer School of
the American Bankers Association.

CANDIDATES FOR CLASS A DIRECTOR— Continued

From 1970 to 1972, he served on the Adm inistrative Council
of the Texas Bankers Association, representing the Houston
District; and he is currently Chairman of the Comm unity
Bankers Division of the Texas Bankers Association. Mr.
Wilson served on the Executive Com m ittee of the Com m unity
Bankers Division of the American Bankers Association and
served as Chairman of that Division’s Educational Committee.
In 1979, Mr. Wilson served as director and coordinator of the
Chief Executive O fficer School of the American Bankers
Association. He is the organizer and co-chairman of the
Foresight Group Sigma, which is an association of approx­
im ately 15 com m u nity bankers from around the nation that
meets semi-annually to exchange ideas and discuss industry
developments and problems.
Since 1981, he has served as Director of the Federal Reserve
Bank of Dallas. Also, he serves on the Advisory Board of the
Senior Bank Executive School at Baylor University.
Mr. W ilson has served as Chairman of the Bellville Hospital
Foundation and Authority for ten years. During that time, he
raised the funds for and supervised the construction of a
multi-m illion dollar accredited hospital and an adjoining clinic
facility. Mr. W ilson has served many years on the Austin Coun­
ty Troop Com m ittee of the Boy Scouts of America. He served
for four years as a director and Treasurer of the Bellville Little
League and served multiple terms as President of the Bellville
Chamber of Commerce and the Bellville Industrial Foundation.
Mr. W ilson is Chairman of the Bellville C om m unity Founda­
tion, which is a tax-exempt vehicle for channeling develop­
ment funds into the community.
Mr. W ilson is married to the former Carolyn Haley of
Oakwood, Texas, and they have two sons, Haley and Andy,
and one daughter, Stacy. He and his fam ily are members of the
Church of Christ.

CANDIDATE FOR CLASS B DIRECTOR

KENT GILBREATH

Dr. Gilbreath is married to the former Shirley Nims of Santa
Fe, New Mexico. They have two daughters, both of whom are
still in school. The Gilbreaths live in Waco, but Dr. Gilbreath
enjoys spending as much time as possible at the fam ily farm
in Valley Mills.

Born in Central Texas, Dr. Gilbreath was reared in Valley
Mills, Texas, where he worked throughout his youth in his
father’s general store and on the fam ily farm. He graduated
from Valley Mills High School as valedictorian of his class. He
was also active in sports in high school being selected to the
Super Centex football team. After high school, he attended
Baylor University where he earned his B.A. degree in
Economics magna cum laude. One year later he received his
Master’s degree from Baylor, and then went on to earn his
Ph.D. in Economics at the University of Florida. Throughout
his collegiate years, Dr. Gilbreath earned numerous awards, in­
cluding an Humble Oil Company scholarship and several
fellowships.
In June, 1981, Dr. Gilbreath was named Associate Dean of
the Hankamer School of Business. He has been a professor for
the past ten years in the Department of Economics and
Finance at Baylor University where he specializes in Energy
Economics. In 1980, he received the Distinguished Professor
Award from the Hankamer School of Business at Baylor, and
in 1982 he was selected “ Most O utstanding Professor” at
Baylor. Prior to coming to Baylor, Dr. Gilbreath taught Interna­
tional Economics aboard World Campus Afloat of Chapman
College, traveling around the world with 500 students. Before
joining the faculty of World Campus Afloat, he was a professor
in the School of Business at Northeastern State College in
Tahlequah, Oklahoma.
The University of Oklahoma has published a book by Dr.
Gilbreath dealing with small business development. He has
also published several articles dealing with such topics as
world com m odity markets, the energy-food trade off, interna­
tional finance, population projections for Texas, and tax
reform in Texas. He has received research grants from various
organizations including the General Mills Foundation and the
World Order Foundation.
At Baylor, he has served as Chairman of the University
Council and Chairman of the Steering Com m ittee of the In­
stitute of Environmental Studies. He has also served on the
School of Business’ Executive Council and served as Chair­
man of the School of Business’ Alumni Committee.
In addition to being a member of several professional and
honorary associations, he is a member of the McLennan Coun­
ty Mental Health A ssociation and the Central Texas Zoological
Society. He has also served as an advisor to the Heart of Texas
Council of Governments. He founded and coached the Baylor
Soccer Team and helped organize the Y.M.C.A. youth soccer
program in Waco. He also served as Chairman of the Finance
Com mittee of the Texas Collegiate Soccer League. He is a
member of the 7th and James Baptist Church in Waco.
