ELECTION OF DIRECTORS
REPORT OF NOMINATIONS—VOTING PROCEDURES

To AM Member Banks
in the Eleventh Federal Reserve District:
In accordance with the provisions of Section 4 of the Federal Reserve Act, as amended by the Federal
Reserve Reform Act of 1977, and my c ircular dated August 18,1981, in regard to the election of directors of
this Bank to succeed Lewis H. Bond, Class A Director, and J. Wayland Bennett, Class B Director, whose
terms expire December 31, 1981, there are given herein the names of the candidates nominated for such
directors and the names of the banks which made the nominations.
Except in the case of any member banks that are subsidiaries of the same bank holding company,*
there is sent herewith to each bank in Group 1 a ballot for use in voting for a Class A Director and to each
bank in Group 2 a ballot for use in voting for a Class B Director. Also enclosed are an envelope bearing on
its face the certifica te in regard to the vote and a colored envelope marked “ B a llo t— Directors’ Election,”
in which the ballot is to be sealed. When several banks are subsidiaries of a bank holding company, the
voting forms are being sent only to the bank designated to participate in this election; therefore, banks in
Groups 1 and 2 that will not participate in this election are being sent th is circular, w ithout forms, for their
inform ation.
The ballot and ce rtificate on the envelope must be executed by an o fficer who has been authorized to
cast the vote. A list of the designated officers, revised to date, forms a part of this circular. In order that the
balloting may be secret, the name of the bank and the voting o fficer should not be written on the ballot but
only on the certifica te envelope. If the official signature of the officer casting the ballot has not been filed
with this Federal Reserve Bank, such official signature should be filed before the polls close.
Please follow carefully the instructions which are printed on the ballot, on the envelopes, and on
page 3 of this circular.
The following procedure is required in the case of both the Class A and Class B ballots:
(1) The preferential ballot should be marked.
(2) It should be placed in the colored envelope marked “ Ballot— Directors’ Election” and that
envelope sealed.
(3) Then after the certificate on the white certificate envelope is executed, the colored sealed
envelope (containing the ballot) should be placed within the white certificate envelope and that
envelope sealed.
(4) The sealed white certificate envelope containing the sealed ballot envelope should then be re­
turned to me in the enclosed self-addressed envelope.
"Section 4 of the Federal Reserve Act, as amended, reads in part as follows:
“ ...That whenever any member banks within the same Federal Reserve district are subsidiaries of the same
bank holding company within the meaning of the Bank Holding Company Act of 1956, participation in any
such nomination or election by such member banks, including such bank holding company if it is also a
member bank, shall be confined to one of such banks, which may be designated for the purpose by such
holding company.”
In this connection, the Board of Governors of the Federal Reserve System has ruled that a holding company affiliate,
having one or more subsidiary banks in each of the three groups into which member banks of a Federal Reserve district
are divided for the purpose of electing directors, may designate one such bank in each group to participate in the
nomination and election of each Class A Director and each Class B Director chosen by the group of which such bank is
a member, and such member bank so designated may validly participate in such nomination and election. Accordingly,
banks in Groups 1 and 2 affected by the foregoing provision of law are requested to take prompt action to have the ap­
propriate bank holding company designate, if it has not already designated, one of such banks to participate in this
election.

Under the law, the ballot m ust be returned so as to reach me w ithin 15 days after its receipt. The polls
will open on October 7,1981, and close at 2 p.m. on October 22,1981. At that time, the ballot box w ill be
opened at th is Bank, the sealed envelopes containing the ballots will be opened, the votes counted, and
the results of the election announced. The candidates are invited to be present or represented on that
occasion.
While the banks in Group 3 will not vote in this election, this circular is sent to them, without forms, for
their information. Group 3 consists of member banks with combined capital and surplus of $1,500,000 and
under.

IMPORTANT
For your information, there is quoted below an extract from Section 4 of the Federal Reserve Act which sets forth
the method of balloting:
“Within fifteen days after receipt of the list of candidates the duly authorized officer of a member bank
shall certify to the chairman his first, second, and other choices for director of Class A or Class B, respec­
tively, upon a preferential ballot upon a form furnished by the chairman of the board of directors of the
Federal Reserve Bank of the district. Each such officer shall make a cross opposite the name of the first,
second, and other choices for a director of Class A and for a director of Class B, but shall not vote more
than one choice for any one candidate.”
In the case of the Class A ballots (Group 1), where there are two candidates involved, a member bank, in making its
first choice, will be deemed to have indicated the other candidate as its second choice.

He is a director and past President of the North Texas Com­
mission; a director and past President of the Fort Worth
Chamber of Commerce; a past President of the Tarrant County
United Fund; a director of Fort Worth’s Progress, Inc.; a direc­
tor, former Chairman and Treasurer of the Texas Research
League; a director of the Southwestern Exposition and Fat
Stock Show; a director of the Petroleum Corporation of Texas;
and a member and past President of the Exchange Club of Fort
Worth.
From 1964 to 1976, Mr. Bond served as a director of Texas
and Pacific Railway Company. He is a director of State
Reserve Life Insurance Company and Millers Insurance Group
and is also a member of the Board of Trustees of St. Joseph
Hospital.
He is an Elder and a Trustee of the First Presbyterian
Church.
Mr. Bond is married to the former LeKathrin Ozbirn of Sen­
tinel, Oklahoma. They have three daughters— Kathrin (Mrs.
Michael Lee Malone); Susan Lee (Mrs. James Robert Green,
Jr.), and Jane Ann.

Lewis H. Bond is Chairman of the Board and Chief Executive
Officer of Texas American Bancshares Inc., Fort Worth, and
serves as a director of both Texas American Bancshares and
its lead bank, The Fort Worth National Bank. He previously
served as Chairman of the Board and Chief Executive Officer
of The Fort Worth National Corporation (now Texas American
Bancshares Inc.) and The Fort Worth National Bank from
January 27, 1972 to January 22, 1976.
Mr. Bond joined The Fort Worth National Bank on June 15,
1952, was appointed Assistant Vice President and Petroleum
Engineer on January 1, 1953, and was promoted to Vice Presi­
dent and Petroleum Engineer on June 24,1954. He was elected
President and a director on March 26,1959, and when The Fort
Worth National Corporation was organized on April 30, 1970,
became President and a director. On January 27, 1972, he was
elected Chairman of the Board and Chief Executive Officer of
both Texas American Bancshares Inc., and the Fort Worth Na­
tional Bank, serving as a director of both organizations as well.
Since January 22, 1976, he has devoted full time to the ac­
tivities of Texas American Bancshares.
Born in Ashport, Tennessee, Mr. Bond attended public
schools in Vernon, Texas, then received a B.S. degree in
petroleum engineering from the University of Oklahoma in
1947. His education was interrupted by service during World
War II in the U.S. Army from 1943 to 1946, from which he was
honorably discharged as a Captain.
Mr. Bond served a three-year term from 1972 to 1974 as
Federal Advisory Councilman for the Eleventh Federal Reserve
District and has completed one three-year term as a director of
the Federal Reserve Bank of Dallas. He also served a threeyear term as a director of the Association of Reserve City
Bankers and is a past Chairman of its Membership Committee.
In addition, he served three years on the State Judicial
Qualifications Commission.

engineer in the State of Texas, a director of The Independent
Petroleum Association of America, an advisor to the Commit­
tee on Objectives for Midland, a member of the Midland Finan­
cial Committee, a member of the Governor’s Steering Commit­
tee, a member of the Legislative Committee of The Texas
Banker’s Association, a member of the Advance Support Gifts
Committee of the United Way, a director of Transwestern
United Corporation, and a director of the Industrial Founda­
tion of Midland, Inc.
He is also a member of the Midland Country Club, the Green
Tree Country Club, and The Midland Petroleum Club.
Mr. Fraser, a twenty-year resident of Midland, enjoys hunt­
ing, fishing, and is a private pilot. He and his wife, Roberta,
have five children: three sons in college and two daughters
who are still at home.

Charles D. Fraser is Chairman of the Board, President, and
Chief Executive Officer of The First National Bank of Midland,
Texas. He joined First National on December 6, 1966 as an
Assistant Vice President and petroleum engineer, was elected
a director in 1977, was elected President and Chief Executive
Officer in 1980, and was then elected Chairman of the Board in
1981.
He worked as an independent petroleum consultant before
going to work for Mobil Oil. While working for Mobil, he was
stationed in Libya where he did a feasibility study of the
development of that country.
Born in Denver, Colorado, Mr. Fraser attended The Universi­
ty of Texas in Austin where he was a member of Phi Gamma
Delta Fraternity. He received his B.S. and M.S. in petroleum
engineering in 1958.
He is on the Executive Committee of The Permian Basin
Petroleum Association, a director and past president of the
Midland Chamber of Commerce, a registered petroleum

J. WAYLAND BENNETT

Denver Research Institute, and individual businesses on pro­
blems related to finance, economic development, and program
development.
He has taught agricultural finance and agricultural business
management courses for several years and has been actively
involved with the various water planning groups and agencies
concerned with Texas water problems, as well as agricultural
and industrial growth and development since the 1950s. He
has managed the Texas Tech University Foundation farms
since their acquisition in the early 1970s.
Dr. Bennett is listed in several scientific and honorary
publications. In 1970, he was presented a “ Certificate of
Recognition” by the National Association of State Universities
and Land Grant Colleges, the Resident Instruction Section, for
services to that organization. He is a past President of the Na­
tional Association of Colleges and Teachers of Agriculture.
The students of the College of Agricultural Sciences have
named him an “ Outstanding Teacher."
He has published several articles related to agriculture and
agricultural business development in the West Texas area. In
addition, several reports of a private nature have been
prepared and published for the agency and/or institution
responsible for the study.
Dr. Bennett is married to the former Betty Jane Hughes of
Brownfield, Texas. They have one daughter, Mrs. Marilyn
Lyons, a teacher in the Austin Public School System. He is a
member of the First United Methodist Church. The family
resides in Lubbock, Texas.

Dr. Bennett was born at Loraine, Texas where he lived and
attended public school before entering Texas Tech University
in 1941. After three semesters his education was interrupted
by service during World War II in the U.S. Army Air Force from
1943 to 1946 with the Air Transport Command in the Pacific
Theater. He received a B.S. Degree in Agricultural Economics
in August of 1948 and in September of 1948 he was appointed
to the faculty of Texas Tech as an Assistant Professor.
After serving two years on the Texas Tech faculty, he was
granted a leave of absence to pursue graduate studies at Loui­
siana State University. Dr. Bennett received both his M.S. and
Ph.D. degrees from L.S.U. and returned to Texas Tech in 1953.
His professional career has been spent in higher education
at Texas Tech University where he has been Chairman of the
Agricultural Economics Department, has served as Associate
Dean of Agriculture during two different time periods and as
Acting Dean on two previous occasions. He was appointed
Assistant Vice President for Academic Affairs in 1970. In 1973,
Dr. Bennett resigned this position to return to the College of
Agricultural Sciences as Associate Dean for Industry Rela­
tions. He immediately began working with an advisory board
of area bankers and organized the Bankers Agricultural Credit
Conference for which he still serves as Program Coordinator.
This highly successful Bankers Agricultural Credit Conference
is currently jointly sponsored by the Texas Bankers Associa­
tion and the Agricultural Economics Department of Texas
Tech University.
In 1979, Dr. Bennett was named Charles C. Thompson Pro­
fessor of Agricultural Finance in the Department of
Agricultural Economics.
He has been active in community affairs, having served on
the Board of Directors of the Lubbock Area Workshop for the
Blind, on the Lubbock Chamber of Commerce and as Chair­
man of the Agriculture Committee. In addition, he has served
on the Water and Agriculture Committees of the West Texas
Chamber of Commerce, is a longtime member of the Lubbock
Maid of Cotton Committee, is a member of the Texas Tech
University Cabinet for the United Way, and has been President
of the Southwest Lubbock Rotary International Club.
Dr. Bennett has served as a consultant to the U.S. Feed
Grains Council in its market development work in West Africa,
Egypt, and Europe. He was selected by Governor John
Connally as a member of a four-man study team to visit and
report the potential effects of the developing agricultural
policy of the European Common Market on Texas agricultural
products. He has served as a consultant to banks,
agribusiness firms, other institutions of higher education, the
