F ederal r es er v e Bank of Dallas DALLAS, TEXAS 75222 Circular No. 7 8 -1 1 9 August 29, 1978 ELECTION OF DIRECTORS N O M IN A T IO N PROCEDURES To All M e m b e r Banks in the Eleventh Federal Reserve District: An election will be held under the provisions o f Section 4 o f the Federal Reserve Act, as amended by the Federal Reserve Reform Act o f 1977, to choose successors to the fo llow ing directors o f this Bank, whose terms expire December 31, 1978: Class A Director — Robert H. Stewart, III Chairman o f the Board First International Bancshares, Inc. Dallas, Texas Class B Director — Thomas W . Herrick Cattle and Investments Am arillo, Texas Mr. Stewart, the Class A Director, was elected by banks in Group 1, consisting o f banks having capital and surplus o f $ 6 ,0 0 0 ,0 0 0 and over, and his successor will be chosen by the banks in this group. Mr. Stewart, who has served as a director o f this Bank since 1973, has requested that his name not be placed in nomination fo r reelection. This request is in accordance w ith the current policy approved by the Board o f Directors o f this Bank fa voring rotation o f directors after serving two consecutive three-year terms. Mr. Herrick, the Class B Director, was elected by banks in Group 2, consisting o f banks having capital and surplus o f $ 1 ,0 0 0 ,0 0 0 and over, but under $ 6 ,0 0 0 ,0 0 0 , and his successor will be chosen by the banks in this group. Mr. Herrick, who has served as a director o f this Bank since 1973, has requested that his name not be placed in nomination fo r reelection. This request, likewise, is in accordance with the current policy approved by the Board o f Directors o f this Bank favoring rotation o f directors afte r serving two consecutive three-year terms. The banks comprising Groups 1 and 2 are listed on the follow ing pages. The group in which a member bank will be entitled to vote will be determined by its classification as o f the date o f this letter, even though its capital and surplus may subsequently change prior to the date o f the election. Except in the case o f any member banks that are subsidiaries o f the same bank holding company,* each bank in Group 1 is permitted to nominate one candidate fo r Class A Director and each bank in Group 2 is permitted to nominate one candidate fo r Class B Director. The nominations must be m ad e by resolution of the Board of Directors, certified to m e a n d received in my office on o r before September 29, 1978. A form and return envelope fo r this purpose are enclosed. On O ctober 6, 1978, a list o f the candidates (indi cating by whom nominated) and a preferential b allot will be mailed to each bank in the voting groups. The ballot must be cast within 15 days afte r receipt. The polls will open at 9 a.m. on O ctober 11, 1978, and close at 2 p.m. on O ctober 26, 1978. A t that time, the b a llo t box will be opened at this Bank, the votes counted, and the results o f the election announced. The candidates are invited to be present or represented on that occasion. ♦Section 4 of the Federal Reserve Act, as a m e n d e d , reads in part as follows: “ . . . That whenever any member banks within the same Federal Reserve district are subsidiaries o f the same bank holding company within the meaning o f the Bank Holding Company Act o f 1956, participation in any such nomination or election by such member banks, including such bank holding company if it is also a member bank, shall be confined to one o f such banks, which may be desig nated fo r the purpose by such holding com pany.” In this connection, the Board o f Governors o f the Federal Reserve System has ruled that a holding company affiliate, having one or more subsidiary banks in each o f the three groups into which member banks o f a Fed eral Reserve district are divided fo r the purpose o f electing directors, may designate one such bank in each group to participate in the nomination and election o f each Class A Director and each Class B Director chosen by the group o f which such bank is a member, and such member bank so designated may valid ly participate in such nomination and election. Accordingly, banks in Groups 1 a n d 2 affected by the fo regoing pro vision of la w are requested to take prompt action to h ave the a p prop riate b a n k holding company designate, if it has not a lre a d y designated, one of such banks to participate in this election. Officers so authorized are listed on the fo llow ing pages. Inasmuch as the authority conferred on these officers continues until revoked, they need not be redesignated. Each member bank which has not designated an officer, or officers, fo r the purpose o f signing the ballot, or any bank that desires to change its designation, should do so by resolution o f its Board o f Directors and certify the designation to me before the polls close. A form fo r this purpose will be furnished upon request. If the official signature of the officer, or officers, authorized to cast the ballot has not been filed with this Federal Reserve Bank, such official signature should be filed before the polls close. W h ile the banks in Group 3 w ill not vote in this election, this circular is sent to them, w ith out forms, for their information. Group 3 consists o f member banks with combined capital and surplus o f under $ 1 ,0 0 0 ,0 0 0 . Sincerely yours, Chairman o f the Board Enclosures (2) Information Concerning Eligibility for Class A Directorship of a Federal Reserve Bank Section 4 o f the Federal Reserve Act, as amended by the Federal Reserve Reform Act o f 1977, contains the follow ing provisions: “ Class A shall consist o f three members, without discrimination on the basis o f race, creed, color, sex, or national origin, who shall be chosen by and be representative o f the stockholding banks.” " N o officer or director o f a member bank shall be eligible to serve as a Class A director unless nominated and elected by banks which are members o f the same group as the member bank o f which he is an officer or d irector.” " A n y person who is an officer or director o f more than one member bank shall not be e ligible fo r nomination as a Class A director except by banks in the same group as the bank having the largest aggregate resources o f any o f those o f which such person is an officer or d ire cto r.” " N o Senator or Representative in Congress shall be a member o f the Board of Governors o f the Federal Reserve System or an officer or a director o f a Federal Reserve Bank.” The Board o f Governors o f the Federal Reserve System has expressed the opinion “ . . . that, to be consistent with the spirit and underlying principles o f the Federal Reserve Act, it is inappropriate, as a general rule, fo r officers and directors o f Federal Reserve Banks and Branches to hold partisan political or public office in the service o f the United States, or o f any state, territory, county, district, political subdivision, or municipality thereof, or to act as members o f political party committees."
