Federal reserve bank of Dallas September 30,1947 ELECTION OF DIRECTORS To the Member Banks o f the Eleventh Federal Reserve District: An election will be held under the provisions o f Section 4 of the Federal Reserve Act to choose successors to the following directors o f this bank whose terms expire December 31, 1947: Class A director - Mr. J. E. Woods, Chairman of Board Temple National Bank, Temple, Texas Class B director - Mr. W. F. Beall, President and General Manager 3 Beall Brothers 3, Department Stores Jacksonville, Texas The Class A director will be elected by banks in Group 2, and the Class B director by banks in Group 3. The banks in Group 1 do not elect a director this year. Group 1 consists o f banks having capital and surplus in excess of $499,000; Group 2 consists of hanks with capital and surplus not exceeding $499,000 and not less than $100,000; and Group 3 consists of banks having capital and surplus of less than $100,000. Lists of banks comprising Groups 2 and 3 are given on the following pages. Each bank in Group 2 is permitted to nominate a candidate fo r Class A director and each bank in Group 3 a candidate for Class B director. The nomination must be made by resolution of the Board o f Directors and a certified copy of the resolution must be forwarded in time to reach me on or before October 31, 1947. A form for this purpose is enclosed. On or about November 7, 1947, a list o f candi dates (indicating by whom nominated) and a preferential ballot will be mailed to each bank in the voting groups. The polls will open on November 10, 1947 and close at 2:00 p.m. on November 25, 1947 and the ballots must be executed during that period and be mailed so as to reach me before the closing of the polls. On the last day of the voting period, the ballot box will be opened in the Board Room of this bank, the votes counted, and the results o f the election announced. The candidates are invited to be present or represented on that occasion. In order to be counted, the ballot must be executed by an officer authorized by resolution o f the Board o f Directors to cast the vote for the bank. On the following pages are shown the titles o f officers heretofore designated for that purpose. The authority conferred on them continues until revoked. Each bank that has not designated such an officer, or officers, or any bank that desires to change its authori zation, should do so by resolution of its Board of Directors and certify the appointments to me before the polls close. A form is enclosed which may be used for either purpose. When an authorization is made, it is preferable that designations should be by title. While the banks in Group 1 will not vote in this election, this circular is sent to them, without forms, for their information. Yours very truly, J. R. No officer or director o f a member bank shall be eligible to serve as a Class A director unless nominated and elected by banks which are members o f the same group as the member bank o f which he is an officer or director. Any person who is an officer or director of more than one member bank shall not be eligible for nomination as a Class A director except by banks in the same group as the bank having the largest aggregate resources o f any of those of which such person is an officer or director. Under a resolution o f the Federal Reserve Board, adopted December 23, 1915, persons holding political or public office in the service of the United States, or o f any state, territory, county, district, political subdivision, or municipality thereof, or acting as members of political party committees, can not, consistently with the spirit and underlying principles of the Federal Reserve Act, serve as directors or officers of Federal Reserve banks. The Federal Reserve Board also passed a resolution, December 28, 1915, that “ national bank examiners shall not hereafter be elected. . . to directorships in Federal Reserve banks.” GROUP 2 Consisting of all member banks with a combined capital and surplus not exceeding $499,000 and not less than $100,000. No Class B director shall be an officer, director or employee o f any hank. Under a resolution o f the Federal Reserve Board, adopted December 23, 1915, persons holding political or public office in the service o f the United States, or o f any state, territory, county, district, political subdivision, or municipality thereof, or acting as members o f political party committees, can not, consistently with the spirit and underlying principles o f the Federal Reserve Act, serve as direc tors or officers o f Federal Reserve banks. The Federal Reserve Board also passed a resolution, December 28, 1915, that “ national bank examiners shall not hereafter be elected. . . to directorships in Federal Reserve hanks.” Under date of July 2, 1925, the Federal Reserve Board advised it had “ reached the conclusion that a person whose sole occupation is that of officer o f an insurance company is not eligible for elec tion as a Class B director o f a Federal Reserve bank.” GROUP 3 Consisting of all member banks with a combined capital and surplus of less than $100,000.
