federal Reser ve ban k of Da l l a s September 30,1953 ELECTION OF DIRECTORS To the M em ber Banks o f the Eleventh Federal Reserve Districts An election will be held under the provisions of Section 4 of the Federal Reserve Act to choose successors to the following directors of this bank whose terms expire December 31, 1953: Class A director - Mr. W. L. Peterson, President The State National Bank Denison, Texas Class B director - Mr. W. F. Beall, President and General Manager 3 Beall Brothers 3, Department Stores Jacksonville, Texas The Class A director will be elected by banks in Group 2, and the Class B director, by banks in Group 3. The banks in Group 1 do not elect a director this year. In accordance with the announcement contained in my circular letter of September 13, 1949, Group 1 consists of banks with capital and surplus of $650,000 and over; Group 2 consists of banks with capital and surplus of over $150,000 and less than $650,000; and Group 3 consists of banks with capital and surplus of $150,000 and less. Lists of banks comprising Groups 2 and 3 are given on the following pages. Each bank in Group 2 is permitted to nominate a candidate for Class A director, and each bank in Group 3, a candidate for Class B director. The nomination must be made by resolution of the member bank’s Board of Directors, and a certified copy o f the resolution must be forwarded in time to reach me on or before October 30, 1953. A form for this purpose is enclosed. On or about November 6, 1953, a list of the candidates with the names of the nominating banks and a preferential ballot will be mailed to each bank in the voting groups. The polls will open on November 9, 1953, and close at 2:00 p.m. on November 24, 1953. The ballots must be executed during that period and be mailed so as to reach me before the closing of the polls. On the last day of the voting period, the ballot box will be opened in the Board Room of this bank, the votes counted, and the results of the election announced. The candidates will be invited to be present or represented on that occasion. In order to be counted, a ballot must be executed by an officer authorized by resolution of the member bank’s Board of Directors to cast the vote for that bank. On the following pages are shown the titles o f officers heretofore designated for that purpose. The authority conferred on them continues until revoked. Each bank that has not designated such an officer or officers, or any bank that desires to change its authorization should do so by resolution of its Board of Directors and certify the appointments to me before die polls close. A form is enclosed which may be used for either purpose. When an authorization is made, it is preferable that designations should be by title. While the banks in Group 1 will not vote in this election, this circular is sent to them, without forms, for their information. Yours very truly, J. R. No officer or director of a member bank shall be eligible to serve as a Class A director unless nominated and elected by banks which are members of the same group as the member bank of which he is an officer or director. Any person who is an officer or director of more than one member bank shall not be eligible for nomination as a Class A director except by banks in the same group as the bank having the largest aggregate resources of any of those of which such person is an officer or director. Under a resolution of the Federal Reserve Board, adopted December 23, 1915, persons holding political or public office in the service of the United States, or of any state, territory, county, district, political subdivision, or municipality thereof, or acting as members of political party committees, can not, consistently with the spirit and underlying principles of the Federal Reserve Act, serve as directors or officers of Federal Reserve banks. No Gass B director shall be an officer, director or employee of any bank. Under a resolution of the Federal Reserve Board, adopted December 23, 1915, persons holding political or public office in the service of the United States, or of any state, territory, county, district, political subdivision, or municipality thereof, or acting as members of political party committees, can not, consistently with the spirit and underlying principles of the Federal Reserve Act, serve as directors or officers pf Federal Reserve banks.
