F ederal r eser ve Ban k OF DALLAS Dallas, Texas, September 29, 1943 ELECTION OF DIRECTORS To the Member Banks of the Eleventh Federal Reserve District: A n election w ill be held under the provisions o f section 4 o f the Federal R eserve A c t to choose successors to the follow in g directors o f this bank: Class B director, G eorge A . Hill, Jr., President o f the H ouston Oil Com pany o f Texas, H ouston, T exas, whose term expires Decem ber 31, 1943. Class A director, Frank Turner, President o f the F irst National Bank o f D ecatur, Texas, w hose term expires D ecem ber 31, 1943. Mr. Hill w as elected b y banks in G roup 1 and Mr. Turner by banks in G roup 3. Consequently, their successors w ill be chosen, respectively, by these groups. G roup 1 consists o f banks having capital and surplus in excess o f $499,000, and Group 3 com prises banks w ith capital and surplus o f less than $100,000. Lists o f banks com posing the votin g grou ps togeth er with designated votin g officers o f record are given on the follow in g pages. E ach bank in Group 1 is perm itted to nom inate a candidate fo r Class B director, and each bank in G roup 3 a candidate fo r Class A director.* The nom inations must be made b y resolution o f the board o f directors and certified to me on or b efore O ctober 30, 1943. A form fo r this purpose, togeth er w ith a self-addressed envelope, is enclosed. On or about N ovem ber 5, 1943, a list o f the candidates (indicating by whom nom inated) and a preferential ballot w ill be m ailed to each bank in the votin g grou ps m entioned. The ballots must be cast within fifteen days a fte r receipt. The polls w ill open on N ovem ber 8, 1943, and w ill close at three o’clock p.m. on N ovem ber 24, 1943. A t that tim e the ballot box w ill be opened in the Board room o f this bank, the votes counted and results o f the election announced. The candi dates are invited to be present or represented on that occasion. The Federal Reserve A ct requires that each mem ber bank, by resolution o f its board o f directors or b y am end ment to its by-law s, authorize som e officer to cast the vote in beh alf o f the bank in the election o f Class A and Class B directors, and in order to be counted the ballot must be executed by an officer designated to cast the vote. W here officers have been designated b y titles only, it is not necessary f o r the m em ber bank to make a new designation, as the authority conferred by titles is effective until revoked as to any persons having the titles specified. A n officer designated by name and title m ay cast the bank’s vote provided he still holds the office specified, but i f there has been a change in his official title, the authority previously conferred becom es ineffective and a new designation must be made. COZZO D eputy Chairman o f the Board ♦Section 4 o f the Federal Reserve Act contains the following provisions: “ Class A shall consist of three members, who shall be chosen by and be representative o f the stockholding banks. No officer or director of a member bank shall be eligible to serve as a Class A director unless nominated and elected by banks which are members of the same group as the member bank of which he is an officer or director. Any person who is an officer or director of more than one member bank shall not be eligible for nomination as a Class A director except by banks in the same group as the bank having the largest aggregate resources of any of those of which such person is an officer or director. Class B shall consist of three members, who at the time o f their election shall be actively engaged in their district in commerce, agriculture or some other industrial pursuit. No director o f Class B shall be an officer, director, or employee of any bank.
