FEDERAL RESERVE BANK OF DALLAS Dallas, Texas, September 24, 1937 ELECTION OF DIRECTORS To the Member Bank Addressed: Beginning November 1, 1937, an election will be held under the provisions of Section 4 of the Federal Reserve Act, to choose successors to the following directors of this bank whose terms expire December 31,1937. Class A Director—Pat E. Hooks, President, First National Bank, Itasca, Texas. Class B Director— A. S. Cleveland, Wm. D. Cleyeland and Sons, Houston, Texas. The Class A director was elected by banks in Group 3, and the Class B director by Group 1 banks. Consequently, their successors will be chosen respectively by these groups. The banks in Group 2 do not elect a director this year. Group 1 consists of banks having a capital and surplus in excess of $499,000. Group 3 consists of banks having a capital and surplus less than $100,000. Lists of banks composing Groups 1 and 3 are given on the following pages. Each bank in Group 3 is permitted to nominate a candidate for Class A director, and each bank in Group 1, a candidate for Class B director. The nomination must be made by resolution of the board of directors and certified to me and received in my office on or before October 23, 1937. A form for this purpose is enclosed. A list of the candidates (indicating by whom nominated), and a preferential ballot will be mailed to each bank in the two groups mentioned in time to reach it on the date the polls open. Thie ballot must be cast within fifteen days after receipt. The polls will open on November 1 and close at 3:00 P. M., November 16, 1937. At that time the ballot box will be opened in the Board Room of this bank, the votes counted, and result of the election announced. Any of the candidates are invited to be present or represented on that occasion. In order to be counted the ballot must be executed by an officer of the bank, authorized to cast the vote. On the following pages are given the names and titles of the officers who, according to our records, have been heretofore designated for this purpose. Some of the banks in the groups which vote this year do not have the required designation on file in this office, either because they have never made a designation or because the designations on file with us have become inoperative by reason of changes in their official staffs. In every such case the designation space has been left blank in the sub-joined lists, and a new designation by title only should be made. To each bank from which we have no current and correct designation on file we are today forwarding a form for use in making a designation. Section 4 of the Federal Reserve Act as amended by the Banking Act of 1933 provides: “ That whenever any two or more member banks within the same Federal reserve district are affiliated with the same holding company affiliate, participa tion by such member banks in any such nomination or election shall be confined to one of such banks, which may be designated for the purpose by such holding company affiliate.” If any bank is affected thereby it should have the holding company designate by resolution of its board of directors which affiliated bank is to participate in the nomination and election, and should send me a certified copy of the resolution. While the banks in Group 2 will not vote in this election, the circular is sent to them without the nomination form for their information. Very truly yours, Chairman of the Board Section 4 of the Federal Reserve Act provides that: Directors of Class A shall consist of three members, who shall be chosen by and be representative of the stockholding banks. No officer or director of a member bank shall be eligible to serve as a Class A direc tor unless nominated and elected by banks which are members of the same group as the member bank of which he is an officer or director. Any person who is an officer or director of more than one member bank shall not be eligible for nomination as a Class A director except by banks in the same group as the bank having the largest aggregate resources of any of those of which such person is an officer or director. Directors of Class B shall consist of three members, who at the time of their election shall be actively engaged in their district in commerce, agriculture or some other industrial pursuit. No director of Class B shall be an officer, director or employe of any bank. No Senator or Representative in Congress shall be a member of the Federal Reserve Board or an officer or a director of a Federal reserve bank.
