FED ERAL RESERVE BANK O F D AL LA S Dallas, Texas, September 24, 1936 ELECTION O F D IR E C T O R S To the Member Bank Addressed: Beginning November 2, 1936, an election will be held under the provisions of Section 4 of the Federal Reserve Act, to choose successors to the following directors of this bank whose terms expire December 31, 1936. Class A Director— R. E. Harding, President, Fort Worth National Bank, Fort Worth, Texas. Class B Director— J. R. Milam, Vice-President, The Cooper Company, Inc., Waco, Texas. The Class A director was elected by banks in Group 1, and the Class B director by Group 2 banks. Consequently, their successors will be chosen, respectively, by these groups. The banks in Group 3 do not elect a director this year. Group 1 consists of banks having a capital and surplus of over $499,000. Group 2 consists of banks having a capital and surplus of $100,000 to $499,000, inclu sive. Lists of banks composing Groups 1 and 2 are given on the following pages. Each bank in Group 1 is permitted to nominate a candidate for Class A director, and each bank in Group 2, a candidate for Class B director. The nomination must be made by resolution of the Board of Directors and certified to me and received in my office on or before October 24, 1936. A form for this purpose is enclosed. A list of the candidates (indicating by whom nominated), and a preferential ballot will be mailed to each bank in the two groups mentioned in time to reach it on the date the polls open. The ballot must be cast within fifteen days after receipt. The polls will open on November 2 and close at 3:00 P. M., November 17, 1936. At that time the ballot box will be opened in the Board room of this bank, the votes counted, and result of the election announced. Any of the candidates are invited to be present or represented on that occasion. In order to be counted the ballot must be executed by an officer of the bank authorized to cast the vote. On the following pages are given the names and titles of the officers who, according to our records, have been heretofore designated for this purpose. Some of the designations on file in this office are now out of date by reason of the fact that in some cases certain officers who were designated by name and title no longer hold the respective titles under which they were designated. In such cases the designation has been omitted from the lists herein, and a new designation by title only should be made. To each bank from which we have no current and correct designation in our files we are today forwardlr>g a form for use in making the necessary designation. Section 4 of the Federal Reserve Act as amended by the Banking Act of 1933 provides: “That whenever any two or more member banks within the same Federal reserve district are affiliated with the same holding company affiliate, participa tion by such member banks in any such nomination or election shall be confined to one of such banks, which may be designated for the purpose of such holding company affiliate.” Each bank affected thereby should have the holding company designate by resolution of its board of directors which affiliated bank is to participate in the nomination and elec tion, and should send me a certified copy of the resolution. While the banks in Group 3 will not vote in this election, this circular is sent to them without the nomination form for their information. Very truly yours, Chairman of the Board Section 4 of the Federal Reserve Act provides that: Directors of Class A shall consist of three members, who shall be chosen by and be representative of the stockholding banks. No officer or director of a member bank shall be eligible to serve as a Class A direc tor unless nominated and elected by banks which are members of the same group as the member bank of which he is an officer or director. Any person who is an officer or director of more than one member bank shall not be eligible for nomination as a Class A director except by banks in the same group as the bank having the largest aggregate resources of any of those of which such person is an officer or director. Directors of Class B shall consist of three members, who at the time of their elec tion shall be actively engaged in their district in commerce, agriculture or some other industrial pursuit. No director of Class B shall be an officer, director or employee of any bank. No Senator or Representative in Congress shall be a member of the Board of Gover nors of the Federal Reserve System or an officer or a director of a Federal reserve bank.
