FEDERAL RESERVE BANK OF DALLAS September 21, 1933 ELECTION OF DIRECTORS To the Member Bank Addressed: Beginning November 2, 1933, an election will be held under the provisions of Section 4 of the Federal Reserve Act, to choose successors to the following directors of this bank whose terms expire December 31, 1933: Class A Director— R. E. Harding, President, Fort Worth National Bank, Fort Worth, Texas. Class B Director—J. R. Milam, Wholesale Grocer, Waco, Texas. The Class A director was elected by banks in Group 1, and the Class B director by Group 2 banks. Consequently, their successors will be chosen, respectively, by these groups. The banks in Group 3 do not elect a director this year. Group 1 consists of banks having a capital and surplus in excess of $399,000. Group 2 consists of banks having a capital and surplus of not more than $399,000 and not less than $100,000. Lists of banks composing Groups 1 and 2 are given on the following pages. Each bank in Group 1 is permitted to nominate a candidate for Class A director, and each bank in Group 2, a candidate for Class B director. The nomination must be made by resolution of the Board of Directors and certified to me and received in my olfice on or before October 26, 1933. A form for this purpose is enclosed. A list of the candidates (indicating by whom nominated), and a preferential bal lot will be mailed to each bank in the two groups mentioned in time to reach it on the date the polls open. The ballot must be cast within fifteen days after receipt. The polls will open on November 2 and close at 3:00 P. M., November 17, 1933. At that time the ballot box will be opened in the Board Room of this bank, the votes counted, and result of the election announced. Any of the candidates are invited to be present or represented on that occasion. In order to be counted the ballot must be executed by an officer of the bank author ized to cast the vote. On the following pages are given the names and titles of the officers who, according to our records, have been heretofore designated for this purpose. Some of the designations on file in this office are now out of date by reason of a change in the title of the officer previously designated or reorganization of the bank. In such cases the designation has been omitted from the lists herein, and a new designation by title only should be made. It is quite important that the designation be certified to me before the polls close on November 17, 1933. Another form for this purpose is enclosed to those banks which do not have a current designation on file. Section 4 of the Federal Reserve Act as amended by the Banking Act of 1933 provides: “ That whenever any two or more member banks within the same Federal reserve district are affiliated with the same holding company affiliate, partici pation by such member banks in any such nomination or election shall be con fined to one of such banks, which may be designated for the purpose by such holding company affiliate.” This publication was digitized and made available by the Federal Reserve Bank of Dallas' Historical Library (FedHistory@dal.frb.org) While the banks in Group 3 will not vote in this election, the circular is sent to them without the nomination form for their information. Very truly yours, Chairman of the Board Section 4 of the Federal Reserve Act provides that: Directors of Class A shall consist of three members, who shall be chosen by and be representative of the stockholding banks. No officer or director of a member bank shall be eligible to serve as a Class A direc tor unless nominated and elected by banks which are members of the same group as the member bank of which he is an officer or director. Any person who is an officer or director of more than one member bank shall not be eligible for nomination as a Class A director except by banks in the same group as the bank having the largest aggregate resources of any of those of which such person is an officer or director. Directors of Class B shall consist of three members, who at the time of their elec tion shall be actively engaged in their district in commerce, agriculture or some other industrial pursuit. No director of Class B shall be an officer, director or employe of any bank. No Senator or Representative in Congress shall be a member of the Federal Reserve Board or an officer or a director of a Federal reserve bank. In a resolution adopted December 23, 1915, the Federal Reserve Board expressed the opinion “ that persons holding political or public office in the service of the United States, or of any state, territory, county, district, political subdivision, or ^municipality thereof, or acting as members of political party committees, cannot consistently with the spirit and underlying principles of the Federal Reserve Act, serve as directors or officers of Federal reserve banks.” On December 28, 1915, the Federal Reserve Board resolved that “ national bank examiners shall not hereafter be elected * * * to director ships in Federal reserve banks.” Under date of July 2, 1925, the Federal Reserve Board advised it had “ reached the conclusion that a person whose sole occupation is that of officer of an insurance company is not eligible for election as a Class B director of a Federal reserve bank.” LIST OF BANKS COMPOSING GROUP 1 (Banks with Combined Capital and Surplus in Excess of $399,000) ARIZONA Town Bank Designated Voting Officer Tucson-----------------------Consolidated National Bank______________ Vice President LOUISIANA Monroe_______________Ouachita National Bank in Monroe_________ Chr. of Bd., Pres., Vice Pres., Cash.
