FE D ER AL R E SE R V E B AN K OF DALLAS October 1, 1929 ELECTION OF DIRECTORS To the Member Bank Addressed: Beginning November 15, 1929, an election will be held under the provisions of Sec tion 4 of the Federal Reserve Act, to choose successors to the following directors of this bank, whose terms expire December 31, 1929: Class A Director— Howell E. Smith, President, First National Bank, McKinney, Texas. Class B Director—J. J. Culbertson, Cotton Seed Products, Paris, Texas. The Class A director was elected by banks in Group 2, and the Class B director by Group 3 banks. Consequently, their successors will be chosen, respectively, by these groups. The Banks in Group 1 do not elect a director this year. Group 2 consists of banks having capital and surplus of not more than $399,000 and not less than $100,000. Group 3 consists of banks having capital and surplus less than $100,000. Lists of the banks composing Groups 2 and 3 are given on the following pages. Each bank in Group 2 is permitted to nominate a candidate for Class A director, and each bank in Group 3 a candidate for Class B director.* The nomination must be made by resolution of the Board of Directors and certified to me and received in my office on or before November 12, 1929. A form for this purpose is enclosed. On November 13, a list of the candidates (indicating by whom nominated) and a preferential ballot will be mailed to each bank in the two groups mentioned. The ballot must be cast within fifteen days after receipt. The polls will open on November 15, and close at 3:00 P. M., December 2, 1929. At that time the ballot box will be opened in the Board Room of this bank, the votes counted, and result of the election announced. Any of the candidates are invited to be present or represented on that occasion. In order to be counted the ballot must be executed by the officer of the bank author ized to cast the vote. On the following pages are given the names of the officers who according to our records have been heretofore designated for this purpose. Inasmuch as the authority conferred on these officers continues until revoked, they need not be reappointed. Each bank that has not designated such an officer, or any bank that desires to change its authorization, should do so by resolution of its Board of Directors, and certify the appointment to me before the polls close. A form for this purpose is enclosed. It is suggested that the designation be by title, instead of name. This will obviate the necessity for a new designation in the event there is a change in officers. While the banks in Group 1 will not vote in this election, this circular is sent to them without forms for their information. Very truly yours, Chairman of the Board This publication was digitized and made available by the Federal Reserve Bank of Dallas' Historical Library (FedHistory@dal.frb.org) ♦Section 4 of the Federal Reserve Act provides that, directors o f : “ Class A shall consist of three members, who shall be chosen by and be representative of the stockholding banks. “ No officer or director of a member bank shall be eligible to serve as a Class A direc tor unless nominated and elected by banks which are members of the same group as the member bank of which he is an officer or director. “ Any person who is an officer or director of more than one member bank shall not be eligible for nomination as a Class A director except by banks in the same group as the bank having the largest aggregate resources of any of those of which such person is an officer or director. “ Class B shall consist of three members, who at the time of their election shall be actively engaged in their district in commerce, agriculture or some other industrial pursuit. “ No director of Class B shall be an officer, director or employe of any bank. “ No Senator or Representative in Congress shall be a member of the Federal Reserve Board or an officer or a director of a Federal reserve bank.” In a resolution adopted December 23, 1915, the Federal Reserve Board expressed the opinion “ that persons holding political or public office in the service of the United States, or of any State, territory, county, district, political subdivision, or municipality thereof, or acting as members of political party committees, cannot consistently with the spirit and underlying principles of the Federal Reserve Act, serve as directors or officers of Federal reserve banks.” On December 28, 1915, the Federal Reserve Board resolved that “ national bank examiners shall not hereafter be elected * * * to directorships in Federal reserve banks.” Under date of July 2, 1925, the Federal Reserve Board advised it had “ reached the conclusion that a person whose sole occupation is that of officer of an insurance company is not eligible for election as a Class B director of a Fed eral reserve bank.” LIST OF BANKS COMPOSING GROUP 2 (Banks with Combined Capital and Surplus not exceeding $399,000 and not less than $100,000) (To Elect a Class “ A” Director) ARIZONA Town Bank Designated Voting Officer Douglas--- ------------------First National Bank........ ........ .................. Mullins, Cashier ..The President ..The Cashier FE D E R A L R E SE R V E B A N K OF DALLAS October 25, 1929 Under date of June 3 the Secretary of the Treasury addressed a letter to you in which he made known plans for issuing the new national bank currency. We are in receipt of a letter from the Treasury Department advising that it now appears certain that new small-size notes will be available for all issuing national banks by the end of this month and that steps are being taken to handle greatly increased redemptions of old-size bank notes on and after November 1. In order to insure prompt redemption of your old-size notes and prompt shipment of the new-size notes, the Department advises that it will be necessary during the period of increased redemptions to place in effect a plan for immediate reimbursement of the 5 per cent redemption fund. The Department has accordingly requested that we communicate with the national banks in this district concerned, advising them of the emer gency and asking their formal authority for making charges in their reserve accounts upon receipt of advice by this bank from the Treasurer of the United States of redemptions of their old-size notes. This arrangement will continue only during the period of increased redemp tions and in order to facilitate and expedite the substitution of the new-size for the old-size currency. We have prepared the attached form for your convenience in fur nishing this bank formal authority for making charges to your reserve ac count covering redemption notices which we receive from the Treasurer of the United States and will appreciate your executing and returning the form to us at your earliest convenience. Mail advice will be given you in the usual manner covering any such charges that we may make to your re serve account. Since you will have no advance notice of such charges and in order that they may not affect your reserve balance with us, where necessary, analysis adjustments will be made in your account for the amount involved on a basis of the mail schedule to and from your city. We are glad to assist in this way in the handling of the in creased redemption of your old-size notes and are sure that the Treasurer will appreciate your cooperation in authorizing immediate reimbursement of your 5 per cent fund.
