F E D E R A L R E S E R V E B A N K Circular No. 52 Series of 1921 OF DALLA S October _8th. 1921. ELECTION OF DIRECTORS TO TH E CASHIER: On December 31, 1921, the terms of Messrs. John T. Scott, Class A Director, representing bank in Group 1, and Frank Kell, Class B Director, representing- hanks in Group 2, will expire. The Federal Reserve Board has designated Thursday, November 17th, as the day for opening the polls for the election of their successors, who will serve for three years each. The Federal Reserve Act provides that: “NO OFFICER OR DIRECTOR OF A MEMBER BAN K SH ALL BE ELIGIBLE TO SERVE AS A CLASS A DIRECTOR UNLESS N O M IN A T ED AN D ELECTED BY BANKS W H IC H ARE MEMBERS OF TH E SAME GROUP AS T H E B A N K OF W H IC H HE IS AN OFFICER OR DIRECTOR.” The law also provides that each member bank shall be permitted to nominate one candidate for Director of Class A, and one candidate for Director of Class B, and by a resolution of its Board, or an amendment to its by-laws, authorize its President, Cashier, or some other officer to cast their vote. Forms of resolutions are enclosed herewith to banks in groups 1 and 2, upon which the Board of Directors of such banks should nominate a Director, and authorize one of its active officers to cast their ballot, unless a previous designation has been made. These resolutions, duly certified, should be returned to the undersigned as soon as possible after your Board has taken action. Lists of banks in groups 1 and 2 which, accoiding to the records of this office, have previously made a designation of an official to vote for them are included in this circular. These designations continue until revoked, and unless a change has been made in the official previously authorized another designation is not necessary. The period within which these certifications may be made will terminate on November 10th, and nominations received thereafter can not be listed. On November 11th, or as soon as the list of candidates can be tabulated, there will be mailed to all member banks in the district, for their information, a list of nominees with the names of the banks making the nominations. A t the same time, banks in groups 1 and 2 will be furnished a preferential ballot providing for the recording of the first, second and other choices of directors to be-elected. W ithin fifteen days after receipt of said list and ballot every bank should record its vote. The result of the election will be announced on or about December 3rd. The Federal Reserve Board has classified the banks which will participate in the election in this district, as fo llo w s: ! Group 1— Banks with aggregate capital and surplus exceeding $399,000. Group 2— Banks with aggregate capital and surplus not exceeding $399,000, and not less than $ 100,000. W hile only banks in groups 1 and 2 will nominate and elect directors, this circular is sent to all banks in the district for their information. There are appended hereto (1) excerpts from Section 4 of the Federal Reserve Act prescribing the manner in which directors of Federal Reserve Banks shall be elected; (2) Lists compiled from the latest data in hand of banks in groups 1 and 2. (3) Lists of banks in groups 1 and 2 which have made designations. Every member bank in groups 1 and 2 is urged to participate in the election. W hile the nomi nation of a candidate for director is optional with member banks, the designation of an official to cast the vote is mandatory. The candidates will, of course, appreciate a large vote, and it is hoped that every member bank will take a lively interest in the election. Respectfully, Chairman of the Board. EXTRACTS FROM SECTION 4 OF THE FEDERAL RESERVE ACT Every Federal Reserve Bank shall be conducted under the supervision and control of a Board of Directors. Such Board of Diiectors shall be selected as hereinafter specified and shall consist of nine members, holding office for three years, and divided into three classes, designated as Classes A, B and C. Class A shall consist of three members, who shall be chosen by and be representative of the stock holding banks. Class B shall consist of three members, who at the time of their election shall be actively engaged in their district in commerce, agriculture or some other industrial pursuit. Class C shall consist of three members, who shall be designated by the Federal Reserve Board. No Senator or Representative in Congress shall be a member of the Federal Reserve Board or an officer or a director of a Federal Reserve Bank. No director of Class B shall be an officer, director, or employee of any bank. No director of Class C shall be an officer, director, employee, or stockholder of any bank. Directors of Class A and Class B shall be chosen in the following manner: The Federal Reserve Board shall classify the member banks of the district into three general groups or divisions, designating each group by number. Each group shall consist as nearly as may be of banks of similar capitalization. Each member bank shall be permitted to nominate to the chairman of the board of directors of the Federal Reserve Bank of the district one candidate for director of Class A and one candidate for director o f Class B. The candidates so nominated shall be listed by the chairman, indicating by whom nominated, and a copy of said list shall, within fifteen days after its completion, be furnished by the chairman to each member bank. Each member bank by a resolution of the board or by an amendment to its by-laws shallauthorize its president, cashier, or some other officer tocast the vote of the member bank in the elections of Class A and Class B directors. Within fifteen days after receipt of the list of candidates the duly authorized officer of a member bank shall certify to the chairman his first, second, and other choices for director of Class A and Class B, respective ly, upon a preferential ballot upon a form furnished by the chairman of the Board of Directors of the Federal Reserve Bank of the district. Each such officer shall make a cross opposite the name of the first, second, and other choices for a director of Class A and for a director of Class B, but shall not vote more than one choice for any one candidate. No officer or director of a member bank shall be eligible to serve as a Class A di rector unless nominated and elected by banks which are members of the same group as the member bank of which he is an officer or director. Any person who is an officer or director of more than one member bank shall not be eligible for nom ination as a Qass A director except by banks in the same group as the bank having the largest aggregate re sources of any of those of which such person is an officer or director. Resolutions of the Federal Reserve Board in Regard to Eligible Persons By resolution of the Federal Reserve Board, adopted December 23, 1915, the opinion is expressed that persons holding political or public office in the service of the United States, or of any state, territory, county, district, political subdivision, or municipality thereof, or acting as members of political party committees, cannot consistently with the spirit and underlying principles o f the Federal Reserve Act, serve as directors of Federal Reserve Banks.
