Dear Mr. Everson:
At the request of alter Cook of the United States National
Bank, I am giving you son® of the background of an application filed
with you today by Walter S. Klein, attorney, covering the payment of
attorney’s fees to him in connection with the estate of the late
Peter H. Edlefsen, brother of John dlefsen a former vice-president
of the bank.
Che bank officers are concerned about this application and
the amount of the fe es, but because of Edlefsen’s relationship with the
bank and because Klein is a close relative of one of the bank o fficers,
none of the bank’s officers wish their name to be used in connection
with the matter.
It seems that Walter S. £lein who holds a substitute power
of attorney for the three German nationals who are beneficiaries under
the terms of ;]dlefsen’s w ill, is not attorney for the estate nor has he
done any work in connection therewith except to accept a substitute
power of attorney and to execute certain license applications and
transfer the funds as permitted under the licences.
The fee which he requests represents 15$ of the total of the
funds handled by him and is over twice the anount charged by the attor­
ney for the estate who has handled nearly a ll of the detail in connection
with the settlement of the estate.

Cook suggests that possibly without o ffic ia l action on his
bank’s part the Federal Reserve Bank under its Foreign Funds Control
program and in order to protect the Alien’s property might require the
attorney to submit a detailed statem nt of the duties performed and a
detailed schedule covering the fees requested and that possibly such
a request would result in a voluntary reduction in the amount of fees
asked.

From information supplied us by the various parties concerned, the
following represents the history and progress to date of the disposal of the Everett
Hotel, 318 N. W. Broadway, Portland, Oregon,
Up to about February, 1942, the furnishings and business of this hotel
stood in the name of Mrs, Kimi Anazawa an alien, at which time ownership was trans­
ferred to Thomas E. Linden an American friend and worker in the Japanese Episcopal
Mission in which Mrs, Anazawa was a member. Our fir st interview with Mrs, Anazawa
took place on March 23rd when the above information was revealed, and also that she
was purchasing various appliances at a total cost of # 34 5 on which about f l 73 had
been paid. We suggested that she have Linden assume these contracts which jfche did,
LindenTs fir st call at this office was on April 6th, at which time he indicated he
wished to s e ll the hotel for #1,500 plus cancellation or assumption of a #1,500
chattel mortgage on the furnishings.
Payments by Mrs, Anazawa of #25 per month have reduced the mortgage to
approximately #1,300. On April 29th Linden advised us that one Hugh Monroe,
529 S, E. Grand Avenue (East 0645) had shown an interest in purchasing the hotel
for $1,400 plus assumption of the mortgage; that he had made an earnest money deposit
which expired on April 21st and it appeared that the deal now would not be consummated.
We suggested that a compromise in price be offered Monroe and he fin ally agreed to
take the hotel for #1,500. This was satisfactory to Linden, also it would give him
a cash equity of about #200 after paying off the chattel mortgage.
It now develops at this stage of the transaction from conversation with
Linden and H. W. Johnson, real estate broker and friend of Monroe, that the latter
was negotiating for a three year lease of the building through Dean Vincent, Inc.
representing Metropolitan Life Insurance Company, owners, rent to be $125 per month
and calling for a $500 cash deposit to secure the lease. The present rental is
$75 on a month to month basis, although earlier in Mrs. Anazawafs six year occupancy
she had leased at $125 per month. Further on this point, Monroe fin a lly decided
that he didn*t want the furnishings at #1,500 and would force Linden to vacate
building with a ll his posessions. This was brought to light when he called at this
office to inquire regarding hotel furniture which we had in storage and which was
for sale.
On June 2nd, I called at the office of Dean Vincent, Inc., and met with
Mr. Rogers and representatives of the Metropolitan Life Insurance Company. They
advised the lease with Monroe on above terms was drawn but had not yet been approved,
by the Metropolitan Life Insurance Company, also that they would favor a responsible
purchaser of the hotel over Monroe and would return to him his deposit. On June 1st,
Thomas Linden, the owner, was inducted into the army and he turned over his affairs
in connection with the hotel to his father who called at this office the following
day. We gave him as complete a picture as possible of what had transpired and
referred him to H. W. Johnson, broker, who,the same day, had indicated to us he
could find a purchaser for the hotel. Linden senior gave Johnson a minimum net
figure on which to work of $1,500.
The chattel mortgage on the furnishings is held by Kojiro Uyesugi who
represents a Japanese estate. It is reported that Morris A. Goldstein attorney,
has a power of attorney to negotiate the mortgage and we understand has offered
to settle for #1,250. Mrs. Clarence Oliver, 5015 N. E. Cleveland, close friend
of the Uyesugi family has called many times to get information in regard to this
mortgage and we have supplied her with a ll we had. Uyesugi is very anxious to
protect the heirs of the estate and w ill not take any material cut on the face
amount of the mortgage.

From information supplied us by the various parties concerned, the
following represents the history and progress to date of the disposal of the L^verett
o tel, 318 N. sr. Broadway, Portland, Oregon*
Up to about February, 1942, the furnishings and business of this hotel
stood in the name of Mrs* Kind .anazawa an alien , at which tine ownership was trans­
ferred to Thomas s# Linden an American friend and worker in the Japanese Episcopal
Mission in which Mrs. Anazawa was a member* Our fir st interview with Mrs* Anazawa
took place on March 23rd when the above information was revealed, and also that she
was purchasing various appliances at a total cost of #345 on which about $173 had
been paid* e suggested that she have Linden assume these contracts which she did.
Linden’s fir st call at this office was on April 6th, at which time he indicated he
wished to s e ll the hotel for #1,500 plus cancellation or assumption of a #1,500
chattel mortgage on the furnishings.
Payments by Mrs. Anazawa of $25 per month have reduced the mortgage to
approximately #1,300. On April 29th Linden advised us that one Hugh Monroe,
529 S. IS. Grand Avenue (last 0645) had shown an interest in purchasing the hotel
for #1,400 rdus assumption of the mortgage; that he had made an earnest money deposit
which expired on April 21st and it appeared that the deal now would not be consummted.
Me suggested that a compromise in price be offered Monroe and he fin ally agreed to
take the hotel for #1,500. This was satisfactory to Linden, also it would give him
a cash equity of about $200 after paying off the chattel mortgage.
It now develops at this stage of the transaction from conversation with
Linden and H. W. Johnson, real estate broker and friend of Monroe, that the latter
was negotiating for a three year lease of the building through Dean Vincent, Inc.
representing Metropolitan Life Insurance Company, owners, rent to be |125 per month
and calling for a #500 casa deposit to secure the lease. The present rental is
|75 on a month to month basis, although earlier in Mrs. Anazawa’s six year occupancy
she had leased at #125 per month, further on th is point, Monroe fin a lly decided
that he didn’t want the furnishings at >1,500 and would force Linden to vacate
building with a ll his posessions. This was brought to light when he called at this
office to inquire regarding hotel furniture which we had in storage and which was
for sale.
On June 2 nd, I called at the office of Dean Vincent, Inc., and met with
Mr# Rogers and representatives of the Metropolitan Life Insurance Company. They
advised the lease with Monroe on above terms was drawn but had not yet been approved,
by the Metropolitan Life Insurance Company, also that they would favor a responsible
purchaser of the hotel over Monroe and would return to him his deposit. On June 1st,

A meeting was held this afternoon at 2 p.m. in the office of Dean Vincent
Inc, It closed tne sale of the subject hotel. There were present Rogers,, represent­
ing .Metropolitan Life Insurance owner’s -tts^jessepk of the property; Andy Radakovich,
attorney for tine purchaser; H, Johnson, real estate broker; Morris Goldstein Jr.,
representing ni3 father, holder of the mortgage against the hotel furnishings
under power ol attorney; Mr. T. E. Linden Sr., representing his son, owner of the
hotel; and the undersigned, representing the Federal Reserve Bank. The total
consideration paid for the property was $1700 out of which was taken $1303.14
to satisfy the mortgage and a ll back interest^ owed by Kimi Anazawa to C. Uyesugi.
As tne seller had agreed to a selling price of $15*00, Mr. H. W. Johnson received
$ 1 0 0 commission in addition to the earnest money deposit of $100 which he had
been holding since about June 4th. A slight verbal controversy took place between
Mr. T. E. Linden Sr. and Mr. H. //. Johnson over the balance of the additional $100
whicn Mr. Linden finally paid, admitting that his memory was a l i t t l e faulty as
to the net selling price. He was reminded of the fact that his son had agreed to
se ll the notel for $1500 net early in May. The sale and occupancy by the new
owner as of July 1st, a ll rentals, u tilitie s , and b ills being adjusted as of
that date.
