Dear S i r : The i n s t r u c t i o n s f o r t h e u n i f o r f n p r o c e d u r e i n e l e c t i o n s of C l a s s A a n d B d i r e c t o r s w h i c h were p u t i n t o e f f e c t p u r s u a n t t o t h e B o a r d ' s l e t t e r of March 3 1 , 1927 (X-4820) p r o v i d e t h a t when t h e C h a i r m a n of t h e F e d e r a l r e s e r v e h a n k r e c e i v e s t h e s e a l e d e n v e l o p e on t h e f a c e of w h i c h i s t h e s i g n a t u r e of t h e o f f i c e r of t h e v o t i n g member b a n k c o n t a i n i n g t h e c o l o r c d e n v e l o p e h o l d i n g t h e b a l l o t , t h e C h a i r m a n w i l l c h e c k t h e s i g n a t u r e on t h e s e a l e d c e r t i f i c a t e envelope a g a i n s t h i s l i s t to see t h a t the proper o f f i c e r h a s c a s t t h e V o t e a n d w i l l mark t h e e n v e l o p e on i t s f a c e " o f f i c i a l " or "not o f f i c i a l " and immediately pass i t through the s l o t i n t o the locked b a l l o t box. At t h e s u g g e s t i o n of one of t h e c h a i r m e n t h e F e d e r a l Reserve Board h a s r e c o n s i d e r e d t h i s p a r t i c u l a r p r o v i s i o n of t h e i n s t r u c t i o n s f o r procedure in e l e c t i o n s and has decided t h a t i t s h o u l d b e a m e n d e d . The f o l l o w i n g p r o c e d u r e s h o u l d b e f o l l o w e d i n future elections: When p u r s u a n t t o t h e i n s t r u c t i o n s t h e Chairman c h e c k s t h e s i g n a t u r e on t h e s e a l e d c e r t i f i c a t e e n v e l o p e a g a i n s t h i s l i s t a n d f i n d s t h a t t h e s i g n a t u r e on t h e e n v e l o p e i s n o t t h a t of t h e o f f i c e r who h a s b e e n a u t h o r i z e d b y t h e member bank t o c a s t t h e v o t e of s u c h b a n k , o r f i n d s t h a t t h e member b a n k f r o m w h i c h t h e b a l l o t was r e c e i v e d h a s n o t f i l e d a r e s o l u t i o n a u t h o r i z i n g any o f f i c e r to v o t e , he should promptly r e t u r n the s e a l e d c e r t i f i c a t e envelope, unopened a n d u n m a r k e d , t o t h e member bank f r o m w h i c h i t was r e c e i v e d , i n o r d e r t h a t t h e b a n k may p r o p e r l y c a s t i t s v o t e i n a c c o r d a n c e w i t h t h e r e q u i r e m e n t s i f t h i s c a n be done b e f o r e t h e c l o s i n g o f t h e p o l l s . In r e t u r n i n g the s e a l e d c e r t i f i c a t e envelope a p p r o p r i a t e e x p l a n a t i o n s h o u l d b e made a n d p r o p e r f o r m s s h o u l d b e e n c l o s e d i n o r d e r t h a t t h e member b a n k may t h e n h a v e i t s v o t e c a s t by t h e o f f i c e r a u t h o r i z e d f o r t h i s p u r p o s e o r may a d o p t a r e s o l u t i o n a u t h o r i z i n g one of i t s o f f i c e r s to cast i t s vote. I f t h e member b a n k t a k e s t h e n e c e s s a r y s t e p s t o c o r r e c t t h e d e f e c t i n t h e c a s t i n g of i t s v o t e a n d d o e s p r o p e r l y c a s t i t s v o t e i n a c c o r d a n c e w i t h the r e q u i r e m e n t s so t h a t t h e b a l l o t i s r e c e i v e d b y t h e Chairman p r i o r t o t h e c l o s i n g o f t h e p o l l s , i t s v o t e s h o u l d t h e n be c o u n t e d .
