Nomination of Directors
To All Member Ban ks, and Others Concerned,
in the Second F e d e ral Reserve D istrict:

An election will be held under the provisions of section 4 of the Federal Reserve Act, as
amended, to choose successors, to serve for three-year terms, to the following directors of this
Bank whose term s will expire December 31, 1975: class A director, N e w m a n E. W a it , J r .,
President, The Adirondack T rust Company, S aratoga Springs, N. Y., and class B director,
J a c k B. J a c k s o n , President, J . C. Penney Co., New York, N . Y.
Mr. W ait has been a class A director since Jan u a ry 1, 1973. Following a long-standing
precedent that class A directors of this Bank serve only one full term, Mr. W ait has indicated
that he will not be a candidate for reelection.
Both directors were elected by member banks in Group 3 and their successors will be
chosen by this group. Member banks in Groups 1 and 2 will not participate in this election.
The classification of member banks for the purposes of nomination and election of class A
and B directors of the Federal Reserve Bank of New York is as follow s:
Group 1 consists of banks with capital and surplus of more than $65,000,000;
Group 2, of banks with capital and surplus of $3,000,000 to $65,000,000, inclusive; and
Group 3, of banks with capital and surplus of less than $3,000,000.

F o r the purposes of this election, a member b ank’s classification will be determined by its
capital and surplus as of the date of this circular, even though its capital and surplus may
change before the polls close. The list of banks comprising Group 3 begins on page 3.
Except in the case of any member banks th at are subsidiaries of the same bank holding
company,* each bank in Group 3 is perm itted to nominate a candidate fo r class A director

* Section 4 of the Federal Reserve Act, as amended, reads in part as follows:

“ .. .T h at whenever any member banks w ithin the same Federal Reserve district are subsidiaries
of the same bank holding company w ithin the m eaning of the Bank H olding Company Act of 1956,
participation in any such nom ination or election by such member banks, including such bank holding
company if it is also a member bank, shall be confined to one of such banks, which may be designated
for the purpose by such holding company. ’ ’
Accordingly, banks in Group 3 affected by the foregoing provision of the law are requested to take prompt
action to have the appropriate bank holding company designate, if it has not already designated, one of such
banks to participate in this nomination and election.
If such bank holding company does not have on file with this Bank an appropriate resolution either permanently
designating one of such banks to participate in nominations or elections of this Bank’s directors or setting forth
the authority under which such designations will be made from time to time, such bank holding company may
wish to file such resolution with this Bank. A form of resolution authorizing officers of a bank holding company to
make such designations is enclosed for such bank holding companies.




and a candidate for class B director.! The nominations should be made by resolutions of
the boards of directors of the nominating banks and certified copies of such resolutions should
be sent to me so as to reach me on or before Thursday, December 4, 1975. The enclosed printed
nomination forms show the appropriate forms of resolution, and one executed copy of each
form should be returned to me.
On December 5, 1975, copies of the list of candidates (indicating by whom nominated) and
preferential ballots will be mailed to the banks in Group 3. The law provides that the ballot shall
be cast within 15 days after receipt of this list. The polls will open at 10 a.m., December 8,
1975, and will close at 12 noon on Tuesday, December 23, 1975. Upon the closing of the polls,
the ballot box will be opened in the board room of this Bank, the votes counted and checked by
tellers, and results of the election announced. The candidates may, if they so desire, be present
or represented on that occasion.
In order to be counted as valid, the ballot m ust be executed by an officer authorized to
cast the vote and must be received by me at or before the time thus fixed for the closing of
the polls (i.e., at or before 12 noon on Tuesday, December 23, 1975). The officers heretofore
designated for this purpose by each bank in Group 3 are shown on the list beginning on page
3. Any Group 3 bank that desires to change its authorization should do so by resolution of its
board of d irecto rs; a certified copy of such resolution must reach me before the polls close. A
form for this purpose will be furnished upon request.
Because banks in Groups 1 and 2 will not participate in this election, this circular is sent
to them without form s and for their inform ation only.

f Section 4 of the Federal Reserve Act, as amended, reads in part as follows:

“ Class A shall consist of three members, who shall be chosen by and be representative of the
stockholding banks. .. .No officer or director of a member bank shall be eligible to serve as a class A
director unless nom inated and elected by banks which are members of the same group as the member
bank of w'hich he is an officer or director.
“ A ny person who is an officer or director of more than one member bank shall not be eligible for
nom ination as a class A director except by banks in the same group as the bank having the largest
aggregate resources of any of those of which such person is an officer or d irecto r.”
“ Class B shall consist of three members, who at the time of their election shall be actively engaged
in th eir district in commerce, agriculture or some other industrial pursuit. . . .No director of class B
shall be an officer, director, or employee of any bank.”

Federal Reserve System or an officer or a director of a Federal reserve bank.”

The directors of the Federal Reserve Bank of N ew York to be elected in this year’s regular election, for the three-year
terms ending December 31, 1978, w ill be chosen by the member banks in Group 3, as classified by the Board o f Governors
of the Federal Reserve System, that is, those banks with capital and surplus of less than $3,000,000.
The undersigned committee, appointed by the bankers associations of N ew York, N ew Jersey, and Connecticut to make
recommendations to member banks of candidates for directors of the Federal Reserve Bank of N ew York, and to inform
member banks of the qualifications of these candidates, recommends for nomination the follow ing gentlemen, who have

President
First National Bank o f Cortland, Cortland, N . Y.
H arry J. T aw was born July 18, 1913, in Brooklyn, N . Y. H e now resides in Cortlandville, N . Y.

Mr. Taw began his banking career as a national bank examiner in 1937, in which capacity he served through 1957.
In 1958 he joined the First National Bank of Cortland, becoming an executive vice president and director in 1959. In
January 1969 he was appointed president of the bank.
He is currently a member of the board of directors of the Independent Bankers Association of N ew York State.
He has also served in several capacities over the years with the N ew York State Bankers Association, including treasurer
and member of the administrative board, and member-at-large and group III representative of the council of administration.
Among his many civic activities, Mr. Taw is currently vice president of the Cortland County Development Corporation,
a director of the College Development Foundation of Cortland, Inc., and a director and former president of the Cortland
Free Library.

J a c k B. J a c k s o n was born January 27, 1916, in Sherman, Tex., and now resides in N ew Vernon, N . J. H e was
graduated from Austin College in Sherman, Tex., in 1938 with a bachelor’s degree in business. In 1972 he was named
a trustee of Austin College.

Mr. Jackson joined the J. C. Penney Company at its Sherman, Tex., store in 1941. He became a store manager in
Memphis, Tenn., in 1952 and a district manager in 1953. Mr. Jackson was appointed southern regional manager in 1962
and was given the additional responsibility of vice president in 1969- In 1970 he came to the company’s N ew York head­
quarters, becoming director o f regional operations in 1971 and president in 1972. H e has been a director of the cor­
poration since 1971.
Mr. Jackson’s professional activities include membership in The Economic Club of N ew York, The Presidents Club
of N ew York, and The Sales Executive Club of N ew York. H e is also a member o f the board of the Economic D evelop­
ment Council of N ew York City, Inc.
Mr. Jackson is now a class B director of the Federal Reserve Bank of N ew York, having been elected for the threeyear term ending December 31, 1975.
