REPORT OF NOMINATIONS — VOTING PROCEDURES

In accordance with the provisions of Section 4 of the Federal Reserve Act, as am ended by the Federal Reserve
Reform Act o f 1 9 7 7 , and my circular dated January 2 3 , 1 9 7 9 , in regard to the special election o f a Class B
Director of this Bank to succeed G erald D. Hines who resigned as a Class B Director to accept appointm ent as a
Class C Director o f this Bank effective January 1, 1 9 7 9 , and to serve the unexpired portion o f a th ree-year term
ending Decem ber 3 1 , 1 9 8 0 , there are given herein the names o f the candidates nominated for such directorship
and the names o f the banks which m ade the nominations.
Except in the case of any member banks that are subsidiaries of the same bank holding com pany,* there is
sent herewith to each bank in G roup 3 a ballot fo r use in voting fo r a Class B Director. Also enclosed are an
envelope bearing on its face the certificate in regard to the vote and a colored envelope marked “ Ballot —
Directors' Election," in which the ballot is to be sealed. W hen several banks are subsidiaries o f a bank holding

therefore, banks in G roup 3 that will not participate in this election are being sent this circular, without forms, for

* Section 4 of the Federal Reserve Act, as am ended, reads in part as follows:
" . . . That w henever any member banks within the same Federal Reserve district are subsidiaries o f the
same bank holding company within the meaning o f the Bank Holding Com pany Act of 1 9 5 6 , partici­
pation in any such nomination or election by such member banks, including suchbank holding company
if it is also a member bank, shall be confined to one of such banks, which may be designated fo r the
purpose by such holding com pany.”
In this connection, the Board of Governors o f the Federal Reserve System has ruled that a holding company
affiliate, having one or more subsidiary banks in each o f the three groups into which member banks o f a Federal
Reserve district are divided for the purpose of electing directors, may designate one such bank in each group
to participate in the nomination and election o f each Class A Director and each Class B Director chosen by
the group o f which such bank is a member, and such member bank so designated may validly participate in

IMPORTANT
For your inform ation, there is quoted below an extract from Section 4 o f the Federal Reserve Act which sets forth
the method o f balloting:

“ W ithin fifteen days a fte r receipt of the list o f candidates the d u ly au th orized officer of a m em ber
b a n k shall certify to the chairm an his first, second, an d other choices fo r director o f Class A or Class B,
respectively, upon a preferential b a llo t upon a form furnished by the chairm an of th e b oard o f direc­
tors of the Federal Reserve Bank o f the district. Each such officer shall m ake a cross opposite the nam e
of the first, second, an d other choices for a director o f Class A an d fo r a director o f Class B, but shall

KENT GILBREATH

M r. Barbee was born on December 2 6 , 19 23 , in W es­
laco, Texas. He attended the W eslaco Public Schools and
grad u ated from the W eslaco Independent School District
in M a y 1 9 4 2 . He entered Texas A & M University in Sep­
tem ber 1 9 4 2 . In February 1 9 4 3 , he enlisted in the A ir
Force for service during W o rld W a r II. He served as a
P38 fighter pilot in the 13th A ir Force. His principal service
was in the Pacific Theater o f operations, with prim ary bases
in the Philippine Islands and N ew G uinea. At the present
time, he is a M a jo r in the Air Force Reserve on inactive
status. A fter service in W o rld W a r II, he returned to Texas
A& M University w here he graduated in January 1 9 4 9 with
a Bachelor of Science degree in Agriculture.

Born in Central Texas, Dr. G ilbreath was reared in
in V alley Mills, Texas, w here he worked throughout his
youth in his father's general store and on the fam ily farm .
He grad u ated from V alley Mills High School as valed ic­
torian o f his class. He was also active in sports in high
school being selected to the Super Centex Football Team.
After high school, he attended Baylor University w here he
earned his B.A. deg ree in Economics m agna cum laude.
O n e year later he received his Master's degree from Bay­
lor, and then went on to earn his Ph.D. in Economics at
the University of Florida. Throughout his collegiate years,
Dr. G ilbreath earned numerous aw ards, including an
Humble O il Com pany scholarship and several fellowships.

After graduation from Texas A & M University, he re­
turned to the Rio G ran d e V alley. Upon his return, he
initially served in the Research Departm ent o f Rio Farms,
with principal work in citrus and avocadoes. Following his
employment with Rio Farms, he was the south Texas re p ­
resentative for the N ia g a ra Chemical Division o f Food
M achinery Corporation in its fertilizer and insecticide
divison. In 1 9 5 6 , he term inated his relationship with
N ia g a ra Chemical to join his present company.

Dr. G ilbreath has been a professor fo r the past six
years in the Departm ent of Economics and Finance at Bay­
lor University w here he specializes in Energy Economics.
Prior to coming to Baylor, Dr. G ilbreath taught Interna­
tional Economics ab o ard W o rld Campus A flo at o f C h ap ­
man College, traveling around the world with 5 0 0 students.
Before joining the faculty o f W o rld Campus A float, he
was a professor in the School o f Business a t Northeastern
State College in Tahlequah, O klahom a.

M r. Barbee has been active in a rea community affairs,
being a past member o f the W eslaco Kiwanis Club, a
form er director of the W eslaco Cham ber o f Commerce,
and a form er director of the Rio G ran d e V alley Council
o f Boy Scouts. He is an elder in the First Presbyterian
Church of W eslaco.

head each year. O n e of the unique features o f the o p e ra ­
tion is the recycling o f fee d lo t waste as fertilizer on 5 0 0
acres o f Coastal Bermuda grass located around the fe e d ­
lot. The coastal hay, along with a lfa lfa pellets produced at
the company feedm ill, is used fo r feed in the feedin g
operation as well as being sold in the south Texas area .

The University o f O klah om a has published a book by
Dr. G ilb reath dealing with small business development.
He has also published several articles dealing with such
topics as world commodity markets, international finance,
population projections for Texas, and tax reform in Texas.
He has received research grants from various organizations
including the G en eral Mills Foundation and the W orld
O rd e r Foundation.

He is a director o f the M ed in a Electric Cooperative,
currently serving as its President, and a member o f the
Board of the Devine Independent School District. In a d d i­
tion, he serves as a Trustee o f St. M ary's University; is a
member of the N atio n al Rifle Association o f Am erica, D e­
vine Cham ber o f Commerce, Texas Feed and G rain Dealers
Association, the Coastal Bermuda Processors Association,
and Texas C attle Feeders Association; and is a past officer
o f Sem bradores de Amistad.

A t Baylor, he has served as Chairm an o f the University
Council and Chairm an of the Steering Comm ittee o f the
Institute o f Environmental Studies. He has also served on
the School o f Business' Executive Council and served as
Chairm an o f the School o f Business Alumni Committee.
In addition to being a member of several professional
and honorary associations, he is a m ember o f the McLen­
nan County M ental Health Association and the Central
Texas Zoological Society. He has also served as an a d ­
visor to the H e art of Texas Council o f Governments. He
founded and coached the Baylor Soccer Team and helped
o rg an ize the Y .M .C .A . youth soccer program in W a c o . He
also served as Chairm an o f the Finance Committee of
the Texas C ollegiate Soccer League. He is a m ember o f
the 7th and James Baptist Church in W a c o .

M r. Morales served in the Texas A ir N atio n al G uard
from 1 9 5 9 to 1 9 6 5 and attain ed the rank o f Airm an First
Class. He is m arried to the form er Loretta Schodts o f San
Antonio, Texas. They have four sons— Pete, III, Ernest,
Fred, and Raul — and one daughter — Cristina.

M r. Pratt was born in Lometa, Texas (Lampasas County),
on June 7, 1 9 2 9 . He graduated from Lamar High School,
Houston, Texas, in 1 9 4 7 , and attended Texas Tech Uni­
verity and Texas A&l University, m ajoring in agriculture.

M r. M orales has been involved in the cattle business
since completion o f his high school education. He started
with his fath er, operating a 6 2 5 -a c re ranch south of
Devine, and M r. M orales w orked with the cattle operation
while attending St. M ary's University. Since graduation, he
has devoted full time to the business and is now the owner
o f M orales Feed Lots, Inc. Currently, the feedlo t handles
8 ,0 0 0 head o f cattle a t a time and processes about 2 4 ,0 0 0

M r. Pratt served in the U.S. A ir Force from June 1 9 5 0
through O ctober 1 9 5 3 , receiving an honorable discharge
as Staff Sergeant.

ranching and farm ing interests in Kinney, Uvalde, and
M averick Counties.

Texas Sheep and G o a t Raisers Association, as President
