Circular No. 17 F E D E R A L R E S E R V E B A N K Senes of 1921 OF DALLAS March 23, 1921. SPECIAL ELECTION OF CLASS A DIRECTOR TO MEMBER BANKS IN GROUP 2: Mr. Ed. Hall, Class A Director of this bank, representing banks in Group 2, has tendered his resignation on account of appointment as State Bank Commissioner of Texas, and it is, therefore, necessary to conduct a special election of a successor to Mr. Hall, to serve for the unexpired term, or to December 31, 1923. Banks in Group 2, comprising those institutions with a capital and surplus not exceeding $399,000, and not less than $100,000, will be the only banks entitled to participate in the special election. Forms of resolutions are enclosed herewith, upon which the Board of Directors of your bank should nominate a candidate, and, unless a previous authorization has been made, designate your President, Cashier, or some other official to cast your vote. If a previous designation has been made, it is not necessary to submit a new one, if there has been no change in your officials. The period within which these certifications may be made will termi nate at noon, April 15th, and nominations received thereafter cannot be listed. This will not prevent your bank from voting, if you have designated an official to cast your vote. On April 18th the list of nominees, showing banks by which nominated, will be sent banks in Group 2, together with a preferential ballot, upon which the first, second, and other choices for director should be recorded. The polls will open on April 20th, and ballots will be received for 15 days thereafter, or up to and including May 4th. The result of the election will be announced on or about May 6th. There are appended hereto (1) extracts from Section 4 of the Federal Reserve Act. (2) A list, based on the latest data available, of the banks composing Group 2 of this District. (3) A list of banks in Group 2 which, according to our records, have made a designation of an official to cast their ballot. Under the terms of the law, quoted herein, it is mandatory upon each bank in Group 2 to designate an official to cast its ballot, and upon the officer so authorized to certify his first, second, and third choices for director. I especially urge upon each bank the importance of participating in the election. It is hoped a lively interest will be created, as in the last election, out of a total of 315 banks in Group 2, only 75 forwarded ballots which were regular and could be counted. It is disappointing to the nomi nee to receive such a small vote. In returning the enclosed forms, please observe the following instruc tions : Write plainly, or typewrite the information requested. Such board of directors shall be selected as hereinafter specified and shall consist of nine members, holding office for three years, and divided into three classes, designated as Classes A, B, and C. Class A shall consist of three members, who shall be chosen by and be representative of the stock-holding banks. Class B shall consist of three members, who at the time of their election shall be actively engaged in their district in commerce, agriculture or some other industrial pur suit. Class C shall consist of three members, who shall be designated by the Federal Re serve Board. No Senator or Representative in Congress shall be a member of the Federal Reserve Board or an officer or a director of a Federal Reserve Bank. No director of Class B shall be an officer, director, or employee of any bank. No director of Class C shall be an officer, director, employee, or stockholder of any bank. Directors of Class A and Class B shall be chosen in the following manner: The Federal Reserve Board shall classify the member banks of the district into three general groups or divisions, designating each group by number. Each group shall consist as nearly as may be of banks of similar capitalization. Each member bank shall be per mitted to nominate to the chairman of the board of directors of the Federal Reserve Bank of the district, one candidate for director of Class A and one candidate for director of Class B. The candidates so nominated shall be listed by the chairman, indicating by whom nominated, and a copy of said list shall, within fifteen days after its completion, be furnished by the chairman to each member bank. Each member bank, by a resolu tion of the board, or by an amendment to its by-laws, shall authorize its president, cashier or some other officer to cast the vote of the member bank in the elections of Class A and Class B directors. Within fifteen days after receipt of the list of candidates the duly authorized officer of a member bank shall certify to the chairman his first, second, and other choices for director of Class A and Class B, respectively, upon a preferential ballot upon a form fur nished by the chairman of the board of directors of the Federal Reserve Bank of the Dis trict. Each such officer shall make a cross opposite the name of the first, second, and other choices for a director of Class A and for a director of Class B, but shall not vote more than one choice for any one candidate. No officer or director of a member bank shall be eligible to serve as a Class A director unless nominated and elected by banks which are members of the same group as the member bank of which he is an officer or director. Any person who is an officer or director of more than one member bank shall not be eligible for nomination as a Class A director except by banks in the same group as the bank having the largest aggregate resources of any of those of which such person is an officer or director. Any candidate having a majority of all votes cast in the column of first choice shall be declared elected. If no candidate have a majority of all the votes in the first column, then there shall be added together the votes cast by the electors for such candidates in the second column and the votes cast for the several candidates in the first column. If any candidate then have a majority of the electors voting, by adding together the first and second choices, he shall be declared elected. If no candidate have a majority of electors voting when the first, and second choices shall have been added, then the votes cast in the third column for other choices shall be added together in like manner, and the candidate then having the highest number of votes shall be declared elected.
