NOMINATIONS FOR DIRECTORS

To the Member Banks of the
Eleventh Federal Reserve District:

In accordance with the provisions of section 4 of the Federal Reserve Act and my circular dated
October 10, 1941, in regard to election of directors of this bank to succeed J. M. West, deceased,
Class B director, J. E. Woods, Class A director, and E. L. Kurth, Class B director, there is given
herewith a list of candidates nominated for such directorships, together with a list of the nom­
inating banks.
There is being sent to each bank in Group 1 a ballot form for use in voting on the candidate to
represent that group as a Class B director; to each bank in Group 2, a ballot form for use in voting
on the candidate for the position of Class A director; and to each bank in Group 3, a ballot form
for use in voting on the candidate to represent that group as a Class B director. There is also en­
closed an envelope bearing on its face the certificate in regard to the vote and an envelope marked
“ Ballot,” in which the ballot is to be sealed.
The ballot and certificate on the envelope must be executed by an officer who has been author­
ized to cast the vote. A list of the designated voting officers was shown in the circular above men­
tioned. AFTER THE BALLOT HAS BEEN PROPERLY MARKED,
(1) It should be sealed in the envelope marked “ Ballot—Directors’ Election.”
(2) Then the sealed ballot envelope should be sealed within the certificate envelope.
(3) The latter, bearing a properly executed certificate, should be returned to me in the enclosed
self-addressed envelope, so as to reach me not later than the closing of the polls at 3:00
P. M. on December 8, 1941. At that time the ballot box will be opened, the votes counted
and the results of the election announced.
The candidates are invited to be present or represented on that occasion.

Mr. Hill was born in Corsicana, Texas, January 12, 1892. He was graduated from Houston High
School and attended Academic and Law Departments of University of Texas; served as assistant
general attorney of I. & G. N. Railroad for five years and served as member of legal firm of Kennerly, Williams, Lee & Hill from 1916 to 1931. From 1928 to 1932 Mr. Hill was vice president and
general counsel of Houston Natural Gas Corporation; also served as vice president and general coun­
sel of the Houston Pipe Line Company and the Houston Oil Company of Texas; elected president of
the latter company in 1932, which office he now holds.
He has been active for years in various charitable and civic organizations such as the Houston
Community Chest, Houston Symphony Orchestra, Houston Water Development Board, San Jacinto
Centennial Association, and the Texas Folk Lore Society; was commissioned captain of Troop C, 7th
Texas Cavalry, during World War I.
Mr. Hill is now serving as director, officer or member of numerous organizations, including
American Petroleum Institute (vice president for Production since 1934), Business Advisory Council
of Department of Commerce, University of Texas Development Board, South Texas Chamber of Com­
merce, San Jacinto Museum of History, Military Affairs Committee of Houston Chamber of Com­
merce, Museum of Fine Arts of Houston, Texas State Historical Association, Philosophical Society
of Texas, East Texas Chamber of Commerce, Independent Petroleum Association of America, Texas
Mid-Continent Oil & Gas Association, Oil-World Exposition, and the Texas Big Bend Park Board.

Mr. Woods was born at Headsville, Robertson County, Texas, December 24, 1885. He received
his early education in the public schools and attended Sam Houston State Teachers College at Hunts­
ville.
He moved to Teague, Texas, in 1907, where he was active in the practice of law for several years,
serving two terms as County Attorney.
He entered the banking field in 1925, when he organized the Teague National Bank. He is now
president of that institution and is also the chairman of the board of Farmers State Bank of Tem­
ple, Texas, where he resides.
Mr. Woods has served as president of the Texas Bankers Association, president of the Temple
Chamber of Commerce, Temple, Texas, and director of the Federal Reserve Bank of Dallas.

Mr. Kurth was born at Kurth Station, Polk County, Texas, July 25, 1885. He attended Southwest­
ern University at Georgetown, Texas, and after receiving a B.S. Degree in 1905, he was employed by
the Lufkin National Bank, Lufkin, Texas. He secured a position as bookkeeper with the Angelina
County Lumber Company, Keltys, Texas, in 1907, later serving as sales manager of the institution,
and in 1916 he was elevated to the position of vice president and general manager of the company,
which position he now holds.
He is affiliated with and an officer of several large lumber companies, including the Clay Build­
ing Material Company of Stephenville, the Farmers-Merchants Lumber Company of Brenham, the
Sloan Lumber Company of Fort Worth, and the Angelina Hardwood Company of Keltys. He also
organized the Southland Paper Mills of Lufkin, and is now serving as its president.
Mr. Kurth is president of East Texas Theatres, Beaumont, a trustee of Southwestern University,
and has served as president of the Southern Pine Association, president of the East Texas Chamber
of Commerce, and director of the Federal Reserve Bank of Dallas.
