ELECTION OF DIRECTORS
REPORT OF NOMINATIONS— VOTING PROCEDURES
To All Member Banks
in the Eleventh Federal Reserve District:
In accordance with the provisions of Section 4 of the Federal Reserve Act, as amended by the Federal Reserve Reform
Act of 1977, and my notice dated August 20,1991, in regard to the election of directors of this Bank to succeed Charles T.
Doyle, Class A Director, and Peyton Yates, Class B Director, whose terms expire December 31,1991, there are given herein
the names of the candidates nominated for such directors and the names of the banks which made the nominations.
Except in the case of any member banks that are subsidiaries of the same bank holding company, * there is sent herewith
to each bank in Group 1 a ballot for use in voting for a Class B Director and to each bank in Group 3 a ballot for use in voting
for a Class A Director. Also enclosed are an envelope bearing on its face the certificate in regard to the vote and a colored
envelope marked “Ballot— Directors’ Election,” in which the ballot is to be sealed. When several banks are subsidiaries of
a bank holding company, the voting forms are being sent only to the bank designated to participate in this election;
therefore, banks in Groups 1 and 3 that will not participate in this election are being sent this notice, without forms, for their
information.
The ballot and certificate on the envelope must be executed by an officer who has been authorized to cast the vote. A
list of the designated officers, revised to date, forms a part of this notice. In order that the balloting may be secret, the name
of the bank and the voting officer should not be written on the ballot but only on the certificate envelope. If the official
signature of the officer casting the ballot has not been filed with this Federal Reserve Bank, such official signature
should be filed before the polls close.
Please follow carefully the instructions which are printed on the ballot, on the envelopes, and on page 4 of this
notice.
The following procedure is required in the case of both the Class A and Class B ballots:
(1) The preferential ballot should be marked.
(2) It should be placed in the colored envelope marked “Ballot— Directors’ Election” and that envelope sealed.
(3) Then after the certificate on the white certificate envelope is executed, the colored sealed envelope
(containing the ballot) should be placed within the white certificate envelope and that envelope sealed.
(4) The sealed white certificate envelope containing the sealed ballot envelope should then be returned to me
in the enclosed self-addressed envelope.

‘ Section 4 of the Federal Reserve Act, as amended, reads in part as follows:
“ ...That w henever any m em ber banks w ithin the sam e Federal Reserve district are subsidiaries of the same bank holding
com pany w ithin the m eaning of the Bank Holding Com pany Act of 1956, participation in any such nom ination or election by such
m em ber banks, including such bank holding com pany if it is also a m em ber bank, shall be confined to one of such banks, which
m ay be designated fo r the purpose by such holding com pany.”
In this connection, the Board of Governors of the Federal Resen/e System has ruled that a holding com pany affiliate, having one or more
subsidiary banks in each of the three groups into which m em ber banks of a Federal Reserve district are divided fo r the purpose of electing
directors, m ay designate one such bank in each group to participate in the nomination and election of each Class A Director and each Class
B Director chosen by the group of which such bank is a member, and such m em ber bank so designated m ay validly participate in such
nomination and election. Accordingly, banks in Groups 1 and 3 affected by the foregoing provision of law are requested to take
prompt action to have the appropriate bank holding com pany designate, if it has not already designated, one of such banks to
participate in this election.

Under the law, the ballot must be returned so as to reach me within 15 days after its receipt. The polls will open on
October 9, 1991, and close at 2 p.m. on October 24, 1991. At that time, the ballot box will be opened at this Bank, the
sealed envelopes containing the ballots will be opened, the votes counted, and the results of the election announced.
The candidates are invited to be present or represented on that occasion.
While the banks in Group 2 will not vote in this election, this circular is sent to them, without forms, for their information.
Group 2 consists of members banks with combined capital and surplus of over $2,000,000, but under $6,000,000.

For your inform ation, there is quoted below an extract from Section 4 of the Federal Reserve A ct which sets forth the
m ethod of balloting:
“W ithin fifteen days after receipt of the list of candidates the duly authorized officer of a m em ber bank
shall certify to the chairm an his first, second, and other choices for d irector of Class A or Class B,
respectively, upon a preferential ballot upon a form furnished by the chairm an of the board of directors
of the Federal Reserve Bank of the district. Each such officer shall m ake a cross opposite the nam e of the
first, second, and other choices for a director of Class A and for a director of Class B, but shall not vote
m ore than one choice for any one cand idate.”

In the case of the Class A ballots (G roup 3), w here there are three candidates involved, a m em ber bank, in m aking its
firs t and second choices, w ill be deem ed to have indicated the other candidate as its third choice.

Mr. Cox began his banking career in 1971, working part-tim e in
the O perations Departm ent at Security National Bank. He began
his full-tim e banking career in 1973 at Security National Bank,
w here he assum ed various responsibilities and positions through­
out the O perations and Lending Departm ents. He soon developed
a well-rounded banking background which enabled him to progress
into m anagem ent-level positions.

A native San Antonian, Jam es B. Cox is the second generation
of his fam ily to oversee the bank founded by his father, B. H. Cox
in 1963.

Being a banker of an independent bank, Mr. Cox is active in the
developm ent and progress of small businesses in San Antonio and
has talked to various groups on developing and establishing a
business. He is involved in various civic organizations, a m em ber
of the Independent Bankers Association of Texas and a m em ber
of W estside Lions Club.

in addition to his position as Chairm an of the Board of Security
Bancorp, Inc., he also serves as Co-Chairm an for Security National
Bank of San Antonio and holds a Director position at Security
National Bank East. Security Bancorp, Inc. is a tw o-bank holding
com pany with both banks located in San Antonio.

Council there. An active layman in the United M ethodist Church, he

High Sunday School.

two children, M argaret, 12, and M adison, 8.

Bronnie F. McNabb, Jr. was born in Corsicana, Texas, in 1951.
He grew up on a farm in Navarro County, Texas, started school in
the sm all com m unity of Emhouse near Corsicana, and continued
through public schools, graduating from C orsicana High School in
1969. Mr. M cNabb received a B.B.A. degree from Baylor University
in 1973. He com pleted The Southwestern G raduate School of
Banking at Southern M ethodist University in 1981.

Mr. M cNabb began his banking career while still a student at

Mr. M cNabb has been active in banking affairs, serving as

EUGENE M. PHILLIPS

rently serves on the Board of Directors of the Independent Bankers
Association of Texas and a director in the North Panhandle
Bankers Association.

He is a past m em ber of the Panhandle Plains Historical Society
Executive Board, a past Board m em ber of the Am arillo Area
Foundation, a Board m em ber of the Panhandle Heritage A ssocia­
tion, a Board m em ber of the Carson County Square House
M useum, and, in conjunction with the First National Bank, was a
recipient of the Am arillo C ham berof Com m erce Golden Nail Award
in 1986. He is past president and an active m em ber of the
Panhandle Rotary Club, past president of the Panhandle Cham ber
of Com merce, and past chairm an of the First Christian Church
Board. He was named Panhandle C ham ber of Com m erce Citizen
of the Year in 1985. He is currently serving on the Board of Directors
of the Harrington Regional M edical C enter of Am arillo, Texas.

Mr. Phillips is a native of the Texas Panhandle, born in Am arillo
and raised in Borger. He attended the University of Texas in Austin,
graduating with a B. B A . degree in Finance and Insurance. In 1967,
he graduated from the Southwestern Graduate School of Banking
at SMU. He is also a U.S. Navy veteran of the Korean War.
In addition to his position as Chairm an and President of the First
National Bank of Panhandle, he serves as Chairm an of the First
State Bank of Tulia, Texas, both affiliates of the parent company,
Panhandle Bancshares, Inc., a Texas holding com pany, of which
he is also Chairm an and President. Mr. Phillips joined the First
National Bank of Panhandle in 1961 as a loan officer and attained
the position of President in 1968, becoming the banks fifth presi­
dent in its one hundred year history. He organized the bank holding
company, Panhandle Bancshares, Inc., in 1976 to acquire control
of the First National Bank of Panhandle and eventually purchased
control of First State Bank of Tulia in 1983.

He was honored in Decem ber 1990 by Texas Tech University
and the T exa s Bankers A sso cia tio n at th e ir annual Bankers
A g ricu ltu ra l C re dit C on fe re n ce as the O u tstanding Ag B anker of
the Year.
Mr. Phillips and his wife, Elaine, have raised and educated two
sons and two daughters. Both sons are bankers as is one son-inlaw. T heir five grandchildren are his pride and joy.

Mr. Phillips has been active in m any banking and civic activities.
From 1968 to 1970, he served on the Regional Advisory C om m it­
tee of Banking Policies and Practices of the Regional A dm inistrator
of National Banks. In 1975, he served as Chairm an of the 8th
District of the Texas Bankers Association. He served a term on the
Texas Bankers Association Legislative Affairs C om m ittee and has
served on the Texas Tech Ag C onference Planning Com m ittee and
TBA Austin Bankers Conference Planning Com mittee. He cur­
