Federal R eserve B an k of Dallas DALLAS, TEXAS 7 5 2 2 2 C ircular No. 89-57 October 4, 1989 ELECTION OF DIRECTORS REPORT OF NOMINATIONS—VOTING PROCEDURES To All Member Banks in the Eleventh Federal Reserve District: In accordance with the provisions of Section 4 of the Federal Reserve Act, as amended by the Federal Reserve Reform Act of 1977, and my circular dated August 22, 1989, in regard to the election of directors of this Bank to succeed Robert G. Greer, Class A Director, and Gary E. Wood, Class B Director, whose terms expire December 31, 1989, there are given herein the names of the candidates nominated for such directors and the names of the banks which made the nominations. Except in the case of any member banks that are subsidiaries of the same bank holding company,* there is sent herewith to each bank in Group 2 a ballot for use in voting for a Class A Director and to each bank in Group 3 a ballot for use in voting for a Class B Director. Also enclosed are an envelope bearing on its face the certificate in regard to the vote and a colored envelope marked “ Ballot—Directors’ Election,” in which the ballot is to be sealed. When several banks are subsidiaries of a bank holding company, the voting forms are being sent only to the bank designated to participate in this election; therefore, banks in Groups 2 and 3 that will not participate in this election are being sent this circular, without forms, for their information. The ballot and certificate on the envelope must be executed by an officer who has been authorized to cast the vote. A list of the designated officers, revised to date, forms a part of this circular. In order that the balloting may be secret, the name of the bank and the voting officer should not be written on the ballot but only on the certificate envelope. If the official signature of the officer casting the ballot has not been filed with this Federal Reserve Bank, such official signature should be filed before the polls close. The following procedure is required in the case of both the Class A and Class B ballots: (1) The preferential ballot should be marked. (2) It should be placed in the colored envelope marked “Ballot—Directors’ Election” and that envelope sealed. (3) Then after the certificate on the white certificate envelope is executed, the colored sealed envelope (containing the ballot) should be placed within the white certificate envelope and that envelope sealed. (4) The sealed white certificate envelope containing the sealed ballot envelope should then be returned to me in the enclosed self-addressed envelope. ’ Section 4 of the Federal Reserve Act, as amended, reads in part as follows: "...That whenever any m em ber banks within the same Federal Reserve d istrict are s u b sidiaries of the same bank holding company within the meaning of the Bank Holding Company Act of 1956, participation in any such nomination or election by such m em ber banks, including such bank holding company if it is also a m em ber bank, shall be confined to one of such banks, which may be designated fo r the purpose by such holding company." In this connection, the Board of G overnors of the Federal Reserve System has ruled that a holding company affiliate, having one or more subsidiary banks in each of the three groups into which m em ber banks of a Federal Reserve d istrict are divided fo r the purpose of electing directors, may designate one such bank in each group to participate in the nomination and election of each Class A Director and each Class B D irector chosen by the group of which such bank is a member, and such m em ber bank so designated may validly participate in such nomination and election. Accordingly, banks in Groups 2 and 3 affected by the foregoing provision of law are re quested to take prompt action to have the appropriate bank holding company designate, if it has not already designated, one of such banks to participate in this election. The polls will open on October 11, 1989, and close at 2 p.m. on October 26, 1989. The candidates are invited to be present or represented on that occasion. While the banks in Group 1 will not vote in this election, this circular is sent to them, without forms, for their information. GREER Chairman of the Board Tanglewood Bank, N.A. Houston, Texas Bob G reer was born in Galveston, Texas. He graduated from Highland Park High School, Dallas, Texas, in 1951 and received his BBA degree in Banking and Finance from the University of Texas at Austin, where he was named a Distinguished Alumnus of the U.T. College of Business Adm inistration. Mr. G reer began his banking career in 1955 when he served as a State Bank Exam iner for four years, including a year as Senior Examiner in charge of the A m arillo District. In 1959, Mr. Greer was Vice President of the South Main Bank in Houston, where he served for two years. From January 1961 - November 1962, he served as Executive Vice President at Heights State Bank, Houston. In November 1962, he re-joined South Main Bank, Houston as President and served until November 1969. In July 1969, Mr. G reer joined Cullen Center Bank and Trust, Houston, as the founding President. The bank opened with $28 m illion in total deposits, a national record up to that tim e. He later served as Chairman and fin ally as Senior Chairman of the Board of Cullen Bank and Vice Chairman of the Board of Cullen/Frost Bankers, Inc. Mr. G reer is currently Chairman of the Board of Tanglewood Bank, Houston. In addition, he has served as past Chairman of the Young Presidents' O rganization - International (Houston Chapter), and as past Director of the w orldw ide Young Presidents' O rganiza tion; past President, Texas Bankers Association (1981-1982); past President, University of Texas Ex-Students' Association Houston Chapter; and past m em ber of the Am erican Bankers Association Council and G overnm ent Relations Council Adm in istrative Committee. Mr. G reer is presently involved as a m em ber of the Steering Committee of Brookwood, Houston; Advisory D irector of Covenant House, Houston; m em ber of the U niversity of Texas College of Business A dm inistration Foundation Advisory Coun cil; Life M em ber of the Board of Directors of the Texas Medical Center, Inc.; Past President and current m em ber of the Devel opm ent Board of U.T. Health Science Center, Houston; and 1988-1989 President of the U.T. Dads' Association (U.T. - Austin). For the fiscal year 1986-1987, Mr. Greer served as President of the Houston Country Club and continues as an active comm ittee m em ber of the Club. WOOD President Texas Research League Austin, Texas Dr. Wood was reared in Rule and Munday, Texas, w here he worked in his father's grocery and farm im plem ent stores. Dur ing these early school years, Dr. Wood earned the Eagle Scout and God and Country Awards. He graduated from Munday High School as salutatorian of his class. While in high school, he was active in sports, being selected as All District Defensive Tackle in 1961. After high school, Dr. Wood attended Texas Tech University for two years, followed by two years at Baylor U niversity where he graduated magna cum laude with a m ajor in Economics and Finance. During his college years, Dr. Wood worked summ ers at the First National Bank in Munday. Dr. Wood subsequently earned a Masters Degree in Economics at the University of Florida in 1967. His schooling was then interrupted by service in the United States A ir Force, w here he was a Distinguished Graduate of Officer Training School. Following this service, Dr. Wood worked for three years for the Southwest National Bank (now First City Bank) of El Paso. He then enrolled in the Univer sity of Texas at Austin, earning a Ph.D. degree in Finance with a concentration in Banking. His doctoral dissertation was entitled, "The Role of Sm aller Com mercial Banks in the Emerging Reality of Electronic Funds Transfer Systems." Upon com pletion of the Ph.D. degree, Dr. Wood joined the staff of the University of Texas at San Antonio (UTSA), where he taught banking, money and banking, and corporate finance. During his three years in San Antonio, Dr. Wood attended the Southwestern Graduate School of Banking at SMU, graduating in Class 20. During this period he also co-authored an American Institute of Banking textbook entitled, "Introduction to Commer cial Lending." He left San Antonio in 1979 to join the faculty at Baylor University. At Baylor, Dr. Wood again taught courses in banking, finance, and economics. After com pleting one year at Baylor, he was asked to join the Washington staff of Senator John Tower. He began his service as Staff Economist on the Senator's personal staff, and later served as Chief Economist for the Republican Policy Committee of the United States Senate. During his years in Washington, Dr. Wood handled Banking Committee issues for the Senator and visited often with Texas bankers on issues of im portance to them. From 1985-88, Dr. Wood served as D irector of G overnm ental Relations for Baylor U niversity while rem aining a m em ber of the Finance faculty. While in Waco, he chaired the Governmental Relations Committee of the Chamber of Commerce and was ac tive in Rotary. He also served as a m em ber of the Board of Di rectors of the Brazos River Authority. During 1986, he served as Co-Chairman of the Speaker Gib Lewis' Economic Advisory Group, and in 1987-1988 as a m em ber of the state Strategic Eco nomic Policy Commission. In 1988, President Reagan appointed him to the Board of Trustees of the Harry S. Truman Scholarship Foundation. Dr. Wood also served as a directo r of the Texas Lyceum Association from 1983 through 1988. In A pril 1988, Dr. Wood became the President of the Texas Research League. The League is an Austin-based, non-profit organization which conducts policy-based research for state governm ent. He has been asked to serve on the Economic Ad visory Board for the Texas Department of Commerce and on the Texas Chamber of Com m erce's Education Task Force. Dr. W ood's wife, Elva, is from El Paso, Texas. His daughter, Wendy, is a student at U.T. Austin.
