ELECTION OF DIRECTORS
REPORT OF NOMINATIONS—VOTING PROCEDURES
To All Member Banks
in the Eleventh Federal Reserve District:
In accordance with the provisions of Section 4 of the Federal Reserve Act, as amended by the Federal
Reserve Reform Act of 1977, and my circular dated August 19,1980, in regard to the election of directors of
this Bank to succeed Frank Junell, Class A Director, and Kent Gilbreath, Class B Director, whose terms ex­
pire December 31, 1980, there are given herein the names of the candidates nominated for such directors
and the names of the banks which made the nominations.
Except in the case of any member banks that are subsidiaries of the same bank holding company,*
there is sent herewith to each bank in Group 2 a ballot for use in voting for a Class A Director and to each
bank in Group 3 a ballot for use in voting for a Class B Director. Also enclosed are an envelope bearing on
its face the certificate in regard to the vote and a colored envelope marked “Ballot— Directors’Election,”
in which the ballot is to be sealed. When several banks are subsidiaries of a bank holding company, the
voting forms are being sent only to the bank designated to participate in this election; therefore, banks in
Groups 2 and 3 that will not participate in this election are being sent this circular, without forms, for their
information.
The ballot and certificate on the envelope must be executed by an officer who has been authorized to
cast the vote. A list of the designated officers, revised to date, forms a part of this circular. In order that the
balloting may be secret, the name of the bank and the voting officer should not be written on the ballot but
only on the certificate envelope. Ifthe official signature of the officer casting the ballot has not been filed
with this Federal Reserve Bank, such official signature should be filed before the polls close.
Please follow carefully the instructions which are printed on the ballot, on the envelopes, and on
page 3 of this circular.
The following procedure is required in the case of both the Class A and Class B ballots:
(1) The preferential ballot should be marked.
(2) It should be placed in the colored envelope marked “Ballot— Directors’ Election” and that
envelope sealed.
(3) Then after the certificate on the white certificate envelope is executed, the colored sealed
envelope (containing the ballot) should be placed within the white certificate envelope and that
envelope sealed.
(4) The sealed white certificate envelope containing the sealed ballot envelope should then be re­
turned to me in the enclosed self-addressed envelope.

'S e c tio n 4 of the Federal Reserve Act, as amended, reads in part as follows:
“ ...That whenever any mem ber banks within the sam e Federal Reserve district are subsidiaries of the same
bank holding com pany within the meaning of the Bank Holding Com pany Act of 1956, participation in any
such nom ination or election by such m em ber banks, including such bank holding com pany if it is also a
mem ber bank, shall be confined to one of such banks, which may be designated for the purpose by such
holding c om pan y.”
In this connection, the Board of Governors of the Federal Reserve System has ruled that a holding com pany affiliate,
having one or more subsidiary banks in each of the three groups into which mem ber banks of a Federal Reserve district
are divided for the purpose of electing directors, may designate one such bank in each group to participate in the
nom ination and election o f each Class A Director and each Class B Director chosen by the group of which such bank is
a member, and such m em ber bank so designated may validly participate in such nomination and election. Accordingly,

banks in Groups 2 and 3 affected by the foregoing provision of law are requested to take prompt action to have the ap ­
propriate bank holding company designate, if it h as not already designated, one of such banks to participate in this
election.

Under the law, the ballot must be returned so as to reach m e within 15 days after its receipt. The polls
will open on October 8,1980, and close at 2 p.m. on October 23,1980. At that time, the ballot box will be
opened at this Bank, the sealed envelopes containing the ballots will be opened, the votes counted, and
the results of the election announced. The candidates are invited to be present or represented on that
occasion.
While the banks in Group 1 will not vote in this election, this circular is sent to them, without forms, for
their information. Group 1 consists of member banks with combined capital and surplus of $4,000,000 and
over.

IMPORTANT
For your inform ation, there is quoted below an extract from Section 4 of the Federal Reserve Act w hich sets forth
the method of balloting:

“Within fifteen days after receipt of the list of candidates the duly authorized officer of a member bank
shall certify to the chairman his first, second, and other choices for director of Class A or Class B, respec­
tively, upon a preferential ballot upon a form furnished by the chairman of the board of directors of the
Federal Reserve Bank of the district. Each such officer shall make a cro ss opposite the nam e of the first,
second, and other choices for a director of Class A and for a director of Class B, but shall not vote more
than one choice for any one candidate.”
In the case of the Class A ballots (Group 2), where there are tw o candidates involved, a mem ber bank, in making its
first choice, will be deemed to have indicated the other candidate as its second choice.

MILES D. WILSON

raised the funds for and supervised the construction of a
multim illion dollar accredited hospital and an adjoining clinic
facility. Mr. W ilson has served many years on the Austin Coun­
ty Troop C o m m ittee of the Boy Scouts of Am erica. He served
for four years as a director and Treasurer of the Bellville Little
League and served m ultiple term s as President of the Bellville
Cham ber of Com m erce and the Bellville Industrial Foundation.
Mr. Wilson is a trustee of the Bellville Com m unity Foundation,
which is a tax-exem pt vehicle for channeling development
funds into the com munity. He organized a project business
course for the Bellville Junior High School and continues to
teach an eighth grade class on the free enterprise system.
Mr. W ilson is married to the form er Carolyn Haley of
O akw ood, Texas, and they have tw o sons, Haley and Andy,
and one daughter, Stacy. He and his fam ily are members of the
Church of Christ.

Mr. W ilson was born in Denison, Texas, in 1933. He
g raduated from Denison High School in 1950 and received a
B.B.A. degree from The University of T exas at Austin in 1954.
After serving tw o years of active duty with the U.S. Air Force,
Mr. W ilson becam e a National Bank Exam iner and served as
an A ssistant Exam iner for four years and as a Head Examiner
for three years.
In 1964, he w as elected President of The First Natio n al Bank
of Bellville; in 1979, he was elected Chairm an of the Board. Mr.
W ilson is a gradu ate of the Southw estern G rad uate School of
Banking a t Southern M ethodist University, Senior Bank O f­
ficers School a t Harvard University, Bank Investment School
at Southern M ethodist University, and Chief Executive O fficer
School of the Am erican Bankers Association.
From 1970 to 1972, he served on the Adm inistrative Council
of the Texas Bankers Association, representing the Houston
District, and he is currently a m em ber of the Com m unity
Bankers C o m m ittee of the Texas Bankers Association. Since
1978, Mr. W ilson has served on th e Executive C o m m ittee of the
Com m unity Bankers Division of th e Am erican Bankers
Association and presently serves as Chairm an of that
Division’s Educational Com m ittee. In 1979, Mr. W ilson served
as a director and coordinator of the Chief Executive O fficer
School of the Am erican Bankers Association. H e is the
organizer and co-chairman of the Foresight Group Sigma,
which is an association of approxim ately 15 com m unity
bankers from around th e nation th a t meets sem iannually to ex­
change ideas and discuss industry developm ents and prob­
lems.
Mr. W ilson has served as Chairm an of the Bellville Hospital
Foundation and Authority for ten years. During that tim e he

develop the first Hill-Burton Hospital in Southeast Oklahoma,
and was active in building Hugo Lake and the Indian Nation
Turnpike.
Currently, Mr. W y a tt is President o f the Corsicana Industrial
Foundation, Chairm an of the Board of the Navarro County
M em orial Hospital Professional Task Force on Hospital
Governance and Finance, m em ber of a five-man c o m m ittee to
further develop a M aster Plan for the City of Corsicana, and a
director o f the Garrity Charity Foundation. Previously, he
served as President of the Corsicana Cham ber of Commerce,
co-chairman of the Corporate G ifts Division of the Y.M.C.A.
drive, Chairm an of the Corsicana C h ap ter of the Dallas Sym­
phony Orchestra Association, Chairm an of th e Navarro C o l­
lege Blue Ribbon Citizens Advisory Com m ittee, President of
the Corsicana Livestock and Agriculture Show, and President
of the United Fund of Navarro County.
Mr. W y a tt is active in the First United M ethodist Church of
Corsicana where he has served as a mem ber of the Ad­
ministrative Board and as Chairm an of the Board of Trustees.
He is married to the former Lila Obuch of Enid, Oklahoma,
and they have five children— Jennifer Sw eeney of Arlington,
David W y a tt of Sherman, C a nd ace Turner of Corsicana,
Vaughn W y a tt of Fort W orth, and Kim W y a tt o f Corsicana.

Mr. W y a tt is a director of Addison Bank, Addison, Texas; The
First National Bank of Corsicana, Corsicana, Texas; and First
Natio n al Bank, Sherm an, Texas. He is also Chairm an of the
Board of First Bancorp, Inc., Corsicana, Texas, and Chairman
of the Board ot tw o of its subsidiaries— the Old Reliable M ort­
gage Com pany and the Old Reliable Insurance Company.
Mr. W y a tt was instrum ental in the establishm ent of one of
the first bank holding com panies, First Bancorp, Inc., in the
S tate of Texas. It is now the largest country bank holding com ­
pany in Texas, with nine banks, a m ortgage company, an in­
surance company, and a small business investment corpora­
tion.
He served as Chief Executive O fficer of The First National
Bank of Corsicana from 1961 to 1979. His prior banking service
w as with The Citizens S tate Bank, Hugo, O klahom a, and The
First National Bank of Paris, Paris, Texas. Mr. W y a tt has serv­
ed as Chairm an and as a director of the T exas Bankers
Association Fifth District.
Born in O klahom a, he graduated from O klaho m a State
University in 1937. Mr. W yatt served five years in the U.S. Army
and com m anded an infantry battalion in th e European
Theatre. Following World W ar II, he owned a ranching o pera­
tion in O klahom a.
Mr. W yatt served for ten years on the Board of Directors of
the O klahom a S tate Departm ent of Agriculture. H e organized

KENT GILBREATH

organizations including the General M ills Foundation and the
W orld Order Foundation.
At Baylor, he has served as Chairm an of the University
Council and Chairm an of th e Steering C o m m itte e of the In­
stitute of Environmental Studies. H e has also served on the
School of Business' Executive Council and served as Ch air­
man of the School of Business Alumni Com m ittee.
In addition to being a mem ber of several professional and
honorary associations, he is a mem ber of the M cLennan Coun­
ty M ental Health Association and th e Central Texas Zoological
Society. He has also served as an advisor to the Heart of Texas
Council of Governm ents. H e founded and coached the Baylor
Soccer T eam and helped organize the Y.M.C.A. youth soccer
program in W aco. He also served as Chairm an of the Finance
C o m m ittee of the Texas C ollegiate Soccer League. He is a
m em ber of the 7th and Jam es Baptist Church in Waco.
Dr. Gilbreath is married to the former Shirley Nim s of Santa
Fe, N ew Mexico. They have two daughters both of whom are
still in school. The G ilbreaths live in W aco, but Dr. Gilbreath
enjoys spending as much tim e as possible at the fam ily farm
in Valley Mills.

Born in Central Texas, Dr. Gilbreath was reared in Valley
Mills, Texas, w here he worked throughout his youth in his
fath er’s general store and on the fam ily farm. H e graduated
from Valley M ills High School as valedictorian of his class. He
was also active in sports in high school being selected to the
Super Centex football team . After high school, he attended
Baylor University where he earned his B.A. degree in
Economics magna cum laude. One year later he received his
M as te r’s degree from Baylor, and then w ent on to earn his
Ph.D. in Economics at the University of Florida. Throughout
his collegiate years, Dr. G ilbreath earned numerous awards, in­
cluding an Hu m b le Oil C om pany scholarship and several
fellowships.
Dr. G ilbreath has been a professor for the past eight years in
the Departm ent of Economics and Finance a t Baylor Universi­
ty where he specializes in Energy Economics. In 1980, he
received th e Distin gu ished Professor Aw ard from the
H ankam er School of Business at Baylor. Prior to coming to
Baylor, Dr. G ilbreath taught International Economics aboard
W orld Cam pus Afloat o f C hapm an College, traveling around
the world with 500 students. Before joining the facu lty of
W orld C am pus Afloat, he w as a professor in the School of
Business a t Northeastern S ta te College in Tahlequah,
O klahom a.
The University of O k la ho m a has published a book by Dr.
Gilbreath dealing with small business developm ent. He has
also published several articles dealing with such topics as
world com m odity markets, the energy-food trade off, interna­
tional finance, population projections for Texas, and tax
reform in Texas. He has received research grants from various
